ATTACHMENT 1
FOURTH AMENDMENT TO AGREEMENT FOR SERVICES
This FOURTH AMENDMENT TO AGREEMENT FOR SERVICES is dated for
identification this 20th day of March 2018 and amends that certain THIRD AMENDMENT TO
AGREEMENT FOR SERVICES dated June 28, 2017, made by and between the Town of Los Gatos,
("Town,") and AIR SYSTEMS (“Service Provider.”)
RECITALS
A. Town and Service Provider entered into an Agreement for Services on October 1, 2015,
(“Agreement”), a copy of which is attached hereto and incorporated by reference as
Attachment 1 to this Amendment.
B. Town and Service Provider entered into a First Amendment to Agreement for Services on
June 21, 2016, (“Agreement”), a copy of which is attached hereto and incorporated by
reference as Attachment 2 to this Amendment.
C. Town and Service Provider entered into a Second Amendment to Agreement for Services on
June 6, 2017, (“Agreement”), a copy of which is attached hereto and incorporated by
reference as Attachment 3 to this Amendment.
D. Town and Service Provider entered into a Third Amendment to Agreement for Services on
June 28, 2017, (“Agreement”), a copy of which is attached hereto and incorporated by
reference as Attachment 4 to this Amendment.
E. Town desires to amend the Agreement to increase compensation for Fiscal Year (FY)
2017/18 in the amount of $30,000, for a total annual contract amount not to exceed $127,996
and exercise the final option to extend the agreement through June 30, 2019.
AMENDMENT
1. Section 2.6 Compensation is amended to read as follows:
Compensation for FY 2017/18 and FY 2018/19:
Preventive maintenance shall remain at $3,583 monthly for a total amount not to
exceed $42,996, inclusive of all costs.
Unanticipated maintenance - Increase compensation of $55,000 in the amount of
$30,000 for a total amount not to exceed $85,000.
For a total annual contract amount, not to exceed $127,996.
2. All other terms and conditions of the Agreement remain in full force and effect.
