RECOMMENDATION:
Authorize the Town Manager to enter into an agreement with Interwest Consulting Group for
supplemental Building Plan Check and associated Consultant services.
BACKGROUND:
The Town has contracted with outside consultants to provide building permit application plan
checking services for more than 19 years. The Town needs to retain consultant plan check and
structural engineering services because the Town does not have a Plan Check Engineer position.
Staff is recommending that our current Plan Check Consultant, O’Brien Code Consulting, Inc. be
the primary Plan Check consultant as noted in Agenda Item 6 for the September 20, 2016
meeting. Additional plan check and associated services may be needed to augment the services
of the primary Plan Check consultant due to the volume of activity in the Building Division. For
this reason, staff is recommending entering into an agreement with Interwest Consulting Group
(ICG) for supplemental plan check services. This firm was selected using the same Request for
Qualifications (RFQ) process that identified O’Brien Code Consulting as the most qualified to be
the Town’s primary Plan Check consultant.

DISCUSSION:
The RFQ was sent to six plan check consultant firms, and three proposals were received:
O’Brien Code Consulting, Inc.
Interwest Consulting Group (ICG)
4LEAF, Inc.
Staff evaluated the proposals and all the proposals were competitive. ICG was determined to be
the most qualified firm based on their staff experience and competitive pricing to provide
supplemental plan check and associated services, including:
Plan Review services of complex projects
On-site Plan Review of less complex projects - two days per week
Technical support
Miscellaneous support, expedited services, emergency response
Pick-up/delivery of plans and comment letters
Building Inspection services
Permit Technician services
The principal and staff of ICG have the experience and qualifications to provide supplemental
plan check services, building inspection services, and permit technician services. ICG has the
following qualifications:
Licensed Civil and Structural Engineers
International Code Council Certified Plans Examiner
Leadership in Energy and Environmental Design Accredited Professional Certified
California Accessibility Specialist Program Certified
International Code Council / Uniform Building Code Building Inspectors
ICG also provides similar services to a large number of jurisdictions in California.
CONCLUSION:
ICG is able to provide supplemental plan check and associated services in addition to building
inspection and permit technician services.
Staff recommends that the Council authorize the Town Manager to enter into an agreement with
ICG for alternate Building Plan Check and Associated Consultant services, building inspection
services, and permit technician services.

AGREEMENT FOR CONSULTANT SERVICES
THIS AGREEMENT is made and entered into on this 1st day of October, 2016, by and between
TOWN OF LOS GATOS, a California municipal corporation, (“Town”) and Interwest Consulting
Group engaged in providing Building Plan Check Consulting Services, herein called
(“Consultant”), whose address is 6280 Las Positas Blvd., Suite 220, Pleasanton, CA 94588. This
Agreement is made with reference to the following facts.
I. RECITALS
1.1 Town desires to engage an alternate Building Plan Check Consultant to provide consulting
services to assist in the processing of plan checks because of Consultant’s experience and
qualifications to perform the desired work and Town needs to undertake activities to
supplement its ability to review building plan checks and enhance customer service,
efficiency, and legal requirements.
1.2 Consultant represents and affirms that it is qualified and willing to perform the desired work
pursuant to this Agreement.
1.3 Consultant warrants it possesses the distinct professional skills, qualifications, experience,
and resources necessary to timely perform the services described in this Agreement.
Consultant acknowledges Town has relied upon these warranties to retain Consultant.
II. AGREEMENTS
2.1 Scope of Services. Consultant shall provide services as described in that certain Proposal to
Provide Building Division Plan Check Review Services sent to Town on July 8, 2016,
which is hereby incorporated by reference and attached as Exhibit A.
2.2 Term and Time of Performance. This contract will remain in effect from October 1, 2016 to
June 30, 2021. Consultant shall perform the services described in this agreement as
follows:
a. Provide complete Building Permit Plan Check Services, including but not limited to,
Initial Plan Check comments on submitted applications, Resubmittal Plan Check
comments on revised plans, and written copies of Initial and Resubmittal Plan Check
comments.
b. As requested by Town, provide copies of work products of all comments, reports, and
studies prepared for Town. Consultant shall provide electronic file copies of these
documents.
c. As requested by Town, provide an updated listing/status report of all Building Permit
Plan Checks reviewed for Town.
d. When needed by Town, Plan Check Consultant and Building Official shall attend
meetings with Town staff, public officials, community leaders, developers, contractors
and the general public. (Maximum of 4 additional meetings per month.)

e. Provide On-site Plan Review services for approximately ten (10) hours per week for
Plan check of minor residential and commercial projects.
f. Provide Technical Support at pre-design and pre-construction meetings and at field
visits as needed. Provide Technical Support and guidance for field inspection
personnel.
g. Provide services as needed by the Town per Scope of Services – Exhibit A.
2.3 Compliance with Laws. Consultant shall comply with all applicable laws, codes,
ordinances, and regulations of governing federal, state and local laws. Consultant
represents and warrants to Town that it has all licenses, permits, qualifications and
approvals of whatsoever nature which are legally required for Consultant to practice its
profession. Consultant shall maintain a Town of Los Gatos business license pursuant to
Chapter 14 of the Code of the Town of Los Gatos.
2.4 Sole Responsibility. Consultant shall be responsible for employing or engaging all persons
necessary to perform the services under this Agreement.
2.5 Information/Report Handling. All documents furnished to Consultant by Town and all
reports and supportive data prepared by the Consultant under this Agreement are the
Town’s property and shall be delivered to Town upon the completion of Consultant's
services or at Town's written request. All reports, information, data, and exhibits prepared
or assembled by Consultant in connection with the performance of its services pursuant to
this Agreement are confidential until released by Town to the public, and Consultant shall
not make any of the these documents or information available to any individual or
organization not employed by Consultant or Town without the written consent of Town
before such release. Town acknowledges that the reports to be prepared by Consultant
pursuant to this Agreement are for the purpose of evaluating a defined project, and Town's
use of the information contained in the reports prepared by Consultant in connection with
other projects shall be solely at Town's risk, unless Consultant expressly consents to such
use in writing. Town further agrees that it will not appropriate any methodology or
technique of Consultant which is and has been confirmed in writing by Consultant to be a
trade secret of Consultant.
2.6 Compensation. Compensation for Consultant's professional services shall be based upon
Town’s pre-approval of each task as noted in the Scope of Services Compensation for each
task and shall not exceed the amount per task noted in Consultant’s Schedule of Fees
attached hereto as part of Exhibit B and incorporated by reference herein. Fees will be
reviewed on an annual basis.

2.7 Billing. Billing shall be monthly by invoice within thirty (30) days of the rendering of the
service and shall be accompanied by a detailed explanation of the work performed by
whom, at what rate and on what date. Also, plans, specifications, documents or other
pertinent materials shall be submitted for Town review, even if only in partial or draft form.
Payment shall be net thirty (30) days. All invoices and statements to the Town shall be
addressed as follows:

2.8 Availability of Records. Consultant shall maintain the records supporting this billing for
not less than three years following completion of the work under this Agreement.
Consultant shall make these records available to authorized personnel of Town at the
Consultant's offices during business hours upon written request of Town.
2.9 Assignability and Subcontracting. The services to be performed under this Agreement are
unique and personal to Consultant. No portion of these services shall be assigned or
subcontracted without the written consent of Town.
2.10 Independent Contractor. It is understood that Consultant, in the performance of the work
and services agreed to be performed, shall act as and be an independent contractor and not
an agent or employee of Town. As an independent contractor he/she shall not obtain any
rights to retirement benefits or other benefits which accrue to Town employee(s). With
prior written consent, Consultant may perform some obligations under this Agreement by
subcontracting, but may not delegate ultimate responsibility for performance or assign or
transfer interests under this Agreement. Consultant agrees to testify in any litigation brought
regarding the subject of the work to be performed under this Agreement. Consultant shall
be compensated for its costs and expenses in preparing for, traveling to, and testifying in
such matters at its then current hourly rates of compensation, unless such litigation is
brought by Consultant or is based on allegations of Consultant's negligent performance or
wrongdoing.
2.11 Conflict of Interest. Consultant understands that its professional responsibilities are solely
to the Town. Consultant has and shall not obtain any holding or interest within Town of
Los Gatos. Consultant has no business holdings or agreements with any individual member
of the Staff or management of Town or its representatives nor shall it enter into any such
holdings or agreements. In addition, Consultant warrants that it does not presently and shall
not acquire any direct or indirect interest adverse to those of Town in the subject of this
Agreement, and it shall immediately disassociate itself from such an interest, should it
discover it has done so and shall, at Town's sole discretion, divest itself of such interest.
Consultant shall not knowingly and shall take reasonable steps to ensure that it does not
employ a person having such an interest in this performance of this Agreement. If after
employment of a person, Consultant discovers it has employed a person with a direct or

indirect interest that would conflict with its performance of this Agreement, Consultan t
shall promptly notify Town of this employment relationship, and shall, at Town's sole
discretion, sever any such employment relationship.
2.12 Equal Employment Opportunity. Consultant warrants that it is an equal opportunity
employer and shall comply with applicable regulations governing equal employment
opportunity. Neither Consultant nor its subcontractors do and neither shall discriminate
against persons employed or seeking employment with them on the basis of age, sex, color,
race, marital status, sexual orientation, ancestry, physical or mental disability, national
origin, religion, or medical condition, unless based upon a bona fide occupational
qualification pursuant to the California Fair Employment & Housing Act.
III. INSURANCE AND INDEMNIFICATION
3.1 Minimum Scope of Insurance:
i. Consultant agrees to have and maintain, for the duration of the contract,
General Liability insurance policies insuring him/her and his/her firm to an
amount not less than: one million dollars ($1,000,000) combined single limit
per occurrence for bodily injury, personal injury and property damage.
ii. Consultant agrees to have and maintain for the duration of the contract, an
Automobile Liability insurance policy ensuring him/her and his/her staff to
an amount not less than one million dollars ($1,000,000) combined single
limit per accident for bodily injury and property damage.
iii. Consultant shall provide to Town all certificates of insurance, with original
endorsements effecting coverage. Consultant agrees that all certificates and
endorsements are to be received and approved by the Town before work
commences.
iv. Consultant agrees to have and maintain, for the duration of the contract,
professional liability insurance in amounts not less than $1,000,000 which is
sufficient to insure Consultant for professional errors or omissions in the
performance of the particular scope of work under this agreement.
General Liability:
i. Town, its officers, officials, employees and volunteers are to be covered as
insured as respects: liability arising out of activities performed by or on
behalf of Consultant; products and completed operations of Consultant,
premises owned or used by Consultant. This requirement does not apply to
the professional liability insurance required for professional errors and
omissions.

ii. Consultant's insurance coverage shall be primary insurance as respects
Town, its officers, officials, employees and volunteers. Any insurance or
self-insurances maintained by Town, its officers, officials, emplo yees or
volunteers shall be excess of Consultant's insurance and shall not contribute
with it.
iii. Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to Town, its officers, officials, employees or
volunteers.
iv. Consultant's insurance shall apply separately to each insured against whom a
claim is made or suit is brought, except with respect to the limits of the
insurer's liability.
3.2 All Coverages. Each insurance policy required in this item shall be endorsed to state that
coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except
after thirty (30) days' prior written notice by certified mail, return receipt requested, has
been given to Town. Current certification of such insurance shall be kept on file at all times
during the term of this agreement with Town Clerk.
3.3 Workers’ Compensation. In addition to these policies, Consultant shall have and maintain
Workers' Compensation insurance as required by California law and shall provide evidence
of such policy to Town before beginning services under this Agreement. Further, Consultant
shall ensure that all subcontractors employed by Consultant provide the required Workers'
Compensation insurance for their respective employees.
3.4 Indemnification. Consultant shall save, keep, hold harmless and indemnify and defend
Town its officers, agent, employees and volunteers from all damages, liabilities, penalties,
costs, or expenses in law or equity that may at any time arise o r be set up because of
damages to property or personal injury received by reason of, or in the course of performing
work which may be occasioned by a willful or negligent act or omissions of Consultant, or
any of Consultant's officers, employees, or agents or any subconsultant.
IV. GENERAL TERMS
4.1 Waiver. No failure on the part of either party to exercise any right or remedy hereunder
shall operate as a waiver of any other right or remedy that party may have hereunder, nor
does waiver of a breach or default under this Agreement constitute a continuing waiver of a
subsequent breach of the same or any other provision of this Agreement.
4.2 Governing Law. This Agreement, regardless of where executed, shall be governed by and
construed to the laws of the State of California. Venue for any action regarding this
Agreement shall be in the Superior Court of the County of Santa Clara.
4.3 Termination of Agreement. Town and Consultant shall have the right to terminate this
agreement with or without cause b y giving not less than fifteen (15) days written notice of

termination. In the event of termination, Consultant shall deliver to the Town all plans,
files, documents, reports, performed to date by Consultant. In the event of such
termination, Town shall pay Consultant an amount that bears the same ratio to the
maximum contract price as the work delivered to Town bears to completed services
contemplated under this Agreement, unless such termination is made for cause, in which
event, compensation, if any, shall be adjusted in light of the particular facts and
circumstances involved in such termination.
4.4 Amendment. No modification, waiver, mutual termination, or amendment of this
Agreement is effective unless made in writing and signed by Town and Consultant.
4.5 Disputes. In any dispute over any aspect of this Agreement, the prevailing party shall be
entitled to reasonable attorney's fees, including costs of appeal.
4.6 Notices. Any notice required to be given shall be deemed to be duly and properly given if
mailed postage prepaid, and addressed to:

or personally delivered to Consultant to such address or such other address as
Consultant designates in writing to Town.
4.7 Order of Precedence. In the event of any conflict, contradiction, or ambiguity between the
terms and conditions of this Agreement in respect of the Products or Services and any
attachments to this Agreement, then the terms and conditions of this Agreement shall
prevail over attachments or other writings.
4.8 Entire Agreement. This Agreement, including all Exhibits, constitutes the complete and
exclusive statement of the Agreement between Town and Consultant. No terms, conditions,
understandings or agreements purporting to modify or vary this Agreement, unless hereafter
made in writing and signed by the party to be bound, shall be binding on either party.

Our proposed Principal-in-Charge, Ron Beehler, SE, CBO, will be the point of contact for all contract administration

Ron has extensive experience within the building industry ; he is a licensed Structural Engineer in the States of
California and Nevada and has been involved with both the plan review and inspections of numerous complicated
and high profile projects . Additionally , as Regional Manager for lnterwest's Building and Safety group, Ron has
coordinated plan review , inspection and counter services for many cities, counties , and state agencies throughout
California providing him with insight on best practices for delivery of building department services . Ron has presented

CALBO , Sacramento Valley Association of Building Officials and the Yosemite ICC Chapter.

BUILDING AND SAFETY PLAN CHECK SERVICES
It is critical that projects flow quickly and smoothly through the regulatory approval process . We fully understand this
key component. Yo u'll find our staff is ready to assist with solutions and recommendat io ns that are specific to your
needs . We can provide complete combination plan review or partia l review of specific disciplines of plan review as
directed by the Town .
All plans examination services will be performed under the direction of a licensed Civil or Structura l Eng inee r and /or
an ICC ce rtified Plans Examiner with CASp Certification as necessary fo r the spec ific project. Our plans examiners
understand and are intimately familiar with applicable building codes and plan review procedures and policies and
will readily assist with solutions to complicated plan review issues.
Plans will be checked for conformance with the latest adopted version of the Cal iforn ia Building Code , California
Residential Code , California Green Building Code, California Mechanical Code , Cali fornia Plumb ing Code, California
Electrical Code, and the Accessibility and Energy Conservation requirements as mandated by State Tit le 24 , Town of
Los Gatos Municipal Code, and all applicable loca l amendments and ordinances .
Plan review services will include review of all project related
buildings and other structures for compliance with all local
ordinances and state and federal laws that pertain to Bui ldi ng
and Safety , and for compliance with the adopted Building
Plumbing Electrical Mechanical and Fire Codes and the
accessibility and Noise and Energy Conservation requirements
as mandated by state Title 24, state Water Efficient Landscape
Ordinance compliance , CASP compliance and all applicable
ordinances .
Our staff will work with project applicants in a collaborative and
professional manner to quickly identify and resolve any violations of codes , sta ndards or local ordinances . We will
provide thorough plan reviews in an effort to provide complete and accurate construction documents to minimize
questions and problems during the construction phase of projects .
Upon completion of our final review, two sets of submitted docume nts bearing lnterwest Consulting plan review
stamps and a final letter recommending the Town's approval of the documents will be returned to the Town for rev iew
and permit issuance .
On-Site Consultant Services & Meeting Attendance
As requested in the RFQ , lnterwest will provide an on-site plan reviewer for approximately 10 hours a week , spread
over two separate days to handle minor residential and co mmercial structural and no n-s truct ural plan review .
Our staff is available for pre-construction or pre-design meetings , fie ld visits , contacts with the design team , and
support for field inspection personnel as needed . With some reasonable limitations , pre-construction and pre-design
meetings associa ted with projects that we plan review are considered part of the plan review service.
C ode Interpretation s
Code interpretations are subje ct to final review and approval by the Build ing Official and or the Town's designated
staff. lnterwest Consulting Group's engineers and plans examiners will pro vide unbiased reco mm endations and
background information to help the Building Official make an informed decision . All plan review comments are subj ect
to re vi ew and approval by the Town Building Department.

Transporting Plans
lnterwest Consulting Group will arrange for all pick-up and delivery of plan rev iew documents from the Town at no
cost. lnterwest uses varied methods of pick-up and delivery with the goal of provid ing same-day service.
Special Project s
lnterwest Consulting Group is able to accommodate special project plan review needs such as fast-track , mu lti-
phased, or accelerated plan reviews. We establish project specific turn-arou nd goals and procedures with jur isdiction
staff for these types of projects based on the complexity of the projects as well as the constructi on schedule.
lnterwest Consulting Group's staff of engineers and plans exam iners will work with the Town of Los Gatos as well as
with applicants and designers to resolve all plan review issues . Our staff will dea l directly with applic ants and their
designers during the plan review process to resolve all issues . lnterwest Consulting Gro up will furnish assigned
personnel with all materials , resources and training necessary to conduct plan reviews, including a current copy of
the applicable policies, procedures and forms.
Communicating Plan Review Res ults
Plan reviews , when not immediately approved , will result in a list of comments refe rri ng to specific details and
drawings, and referencing applicable code sections. lnterwest Consulti ng Group will provide the Town a clear,
concise, and thorough document from which clients, designers, contractors , and owners can work. At the com pletio n
of each plan review cycle , lnterwest Consulting Group will return an electronic and hard copy of the plan review
comment list to the designated applicant and Town representative . Upon completion of the plan review, after all plan
review issues have been resolved, lnterwest Consulting Group will provide two complete sets of all final doc uments
annotated as "reviewed" to the Town of Los Gatos for final approval.
Plan R eview L e tters
At the completion of each review cycle , lnterwest Consulting Group will prov ide a clear, concise plan review letter
indicating all discrepancies noted during the plan review . The specific locations and code references of the noted
discrepancies will be incorporated in the plan review letters . Plan review letters will be completed in a format
requested by the Town of Los Gatos. After each plan review cycle, an electronic copy of the completed plan review
letter will be distributed to the applicant, and copied to the Town . After all plan review issues have been resolved ,
lnterwest Consult ing Group will provide a recommendation of approval and with two copies of the reviewed
construction documents to the Town of Los Gatos . This approval letter will specify the following information:

Electronic Plan Check Services
lnterwest Consulting Group currently provides electronic permitt ing and plan review services for multiple
jurisdictions . We have found the jurisdictions with whom we work, including their respective customers , have a wide
range of needs and expectations regarding electronic plan review and permitting services. We have worked with
some clients to develop electronic plan review systems utilizing several of the open market software applications and
hosting sites available . We have found jurisdictions that have primarily light commercial and res idential development ,
simply need access to our FTP site to allo w their Applicant's to upload digital content directly to our staff. We will

work with the Town to develop an electronic plan review systems that mee ts the needs of the Town utilizing our FTP
site or other method tailored to the Town 's specific needs .
Creating a system tailored to the needs of the individual client utilizing readily available software allows for the
customization of the system to easily integrate the electronic plan review system with the needs of other
departments . With the plethora of commercially available FTP sites available for electronic file hosting there is no
longer a need for agencies to purchase or lease expensive proprietary systems.
Plan Review Tracking Method & Billing Process
Our staff has experience working with most project tracking databases utilized by bui lding departments . Our staff will
update electronic records and make project related database entries as directed by the Town .
We will create and maintain a Jurisdiction File containing our research on any un ique amendments or specifications
required by your jurisdiction , billing arrangements, contact information and any special requests you would like us to
keep in mind .
lnterwest Consulting Group uses a custom-designed database to maintain and track all plans throughout the review
process from the moment you request a pick-up and/or shipment to delivery of the final , approved documents.
Information such as project name, Town's project number, assigned plan reviewer(s), date documents were received ,
plan review cycle and completion date for current review can be prov ided . In addition to standard phone
communication , custom reports can be emailed
In addition, we can provide online tracking for the Town with a custom-designed web template geared to prov ide any
reporting and information needs required .
Our staff is available during normal business hours to answer questions via phone or email regarding the actual plan
review in progress . We maintain active email accounts and our staff will be responsive to any Town or applicant
needs . If we cannot speak directly to a caller, we will return calls no later than 24 hours. All staff members proposed
for services are permanent full-time lnterwest employees. We do not utiliz e subcontractors and /or part time staff for
plan review services .

For complete plan review services for commercial and residential projects reviewed in our offices , we propose a fee
equal to 65% of the plan review fees based on the Town of Los Gatos' adopted fee schedule . Plan review services
will include an initial first review and maximum of two additional reviews of the plans . Any additional plan review
services required beyond the third review will be billed at our hourly rates listed with in the Schedule of Hourly Billing
Rates shown below.
EXPEDITED PLAN REVIEW SERVICES
lnterwest Consulting Group can provide expedited or fast-track plan review services. Fe es for expedited plan reviews
will be charged at a rate of 1.4 times the rate specified for typical plan rev iews as noted above. We propose that
expedited fees , for larger complex projects where the valuation exceeds $5 million, be negotia ted on a case-by-case
basis . Time frames for performance of expedited or fast-track plan review services are typically negot ia ted on a case-
by-case basis based on the size and complexity of the specific project.
SITE CIVIL PLAN REVIEW SERVICES
Plan review services for review of on-site civil improvements can be provided on an hourly basis and charged per our
Schedule of Hourly Billing Rates shown below.
FIRE PLAN REVIEW SERVICES
Fire sprinkler and fire alarm plan review services can be provided on an hourly basis and charged per our Schedu le
of Billing Hourly Rates shown below.

around schedule desired by the Town. Multi-disciplinary reviews are typically performed in our offices but we are
