RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO ENTER INTO AN
AGREEMENT WITH PUBLIC SECTOR CONSULTANTS
BE IT RESOLVED by the Town Council of the Town of Los
Gatos that the Town authorize the Town Manager to enter into the
attached agreement with Public Sector Consultants for relocation
assistance services for the library acquisition project.
PASSED AND ADOPTED at a regular meeting of the Town
Council of the Town of Los Gatos, California, held on the 24th day
of June, 1991, by the following vote:

AGREEMENT FOR RELOCATION SERVICES BiD
THIS AGREEMENT is entered into this day of , 1991, by and
between the Town of Los Gatos, State of California, herein called the "Town ", and PUBLIC
SECTOR CONSULTANTS, engaged in providing Relocation and Redevelopment services
primarily in the State of California, herein called "PSC ".
RECITALS
A. The Town is considering undertaking relocation activities pursuant to the Town of
Los Gatos Relocation Assistance Guidelines and Relocation Assistance
(Government Code Section 7260 et 1M.) and the Relocation Assistant and Real
Property Acquisition Guidelines, 25 California cod�of Regulations Section 6000 et
sea.
B. The Town desires to engage a Relocation Consultant to provide relocation services
from the Town in connection with relocating three households (two (2) tenants in
two (2) households and one (1) tenant in one (1) household) to be displaced as
a result of the new library acquisition.
AGREEMENTS
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
Scope of Services: PSC shall perform services as detailed in Scope of
Services Exhibit "A ".
2. The Scope of Services may be modified, at any time, upon mutual consent
of the parties.
3. All services provided in a timely and responsive manner and in conformance
with all applicable Federal and State laws and professional standards.
4. No expenses to be charged by PSC, EXCEPT if services are required (with
prior authorization) to be performed outside the immediate Bay Area
Counties. Expenses so charged to be on an actual cost basis including
mileage @ 25 cents per mile.
5. Additional services, at Agency request, to be billed at PSC's hourly rate of
$80.00 per hour, plus expenses, if any. In no case should fees in excess
of $7440.00 be billed without the Town's prior consent.
6. Billing by PSC to Agency to be for hours worked on a monthly basis. Hours
worked includes travel time.
7. Agency to make payment within 20 working days of billing.
8. A written statement reciting date of statement, period covered, services
performed and daily hours worked shall constitute sufficient information for
billing /payment purposes.
PSC shall maintain for the period of this contract and any extensions thereof,
comprehensive business liability insurance in the amount of $1,000,000.00
and auto liability insurance in the amount of $500,000.00 for the protection
of its clients. PSC shall deliver a Certificate of Insurance or other evidence
acceptable to the Town, evidencing the required coverage, naming the Town
as an additional insured, and providing that the policy shall not be terminated
without at least 30 days prior written notice to the Town.
10. PSC certifies its Tax ID No. is 566 -44 -8344.
11. PSC does not have nor intend to have for the full term of this agreement,
any employees. Furthermore, PSC does not wish to obtain or be covered
under any WORKERS'S COMPENSATION, Insurance. Therefore, this
statement is included in this agreement in lieu of providing any required
WORKER'S COMPENSATION COVERAGE.
12. This contract shall be for a period of 18 months from acceptance unless all
necessary services are completed earlier or the parties otherwise mutually
agree in writing.
13. It is understood that the services proposed herein may be subcontracted
under the supervision of the undersigned, with the Town's prior written
consent.
14. Independent Contractor. It is understood that PSC, in the performance of
the work and services agreed to be performed, shall act as, and be, an
independent contractor and not an agent or employee of the Town. As an
independent contractor he /she shall not obtain any rights to retirement
benefits or other benefits which accrue to Town employees.
15. Termination of Agreement. The Town and PSC shall have the right to
terminate this agreement with or without cause by giving not less than seven
(7) days written notice of termination. In the event of termination,
PSC shall deliver to the Town all plans, files, documents, and reports,
performed to date by PSC. In the event of such termination, PSC shall be
paid for all satisfactory work, unless such termination is made for cause, in
which event compensation, if any, shall be adjusted in light of the particular
facts and circumstances involved in such termination.
16. Confidential Information. All data, documents discussions or other
information developed or received by or for PSC in performance of this
Agreement are confidential and will not be disclosed to any person except
as authorized by the Town Manager, Town Attorney or their designee or as
required by law.
17. Conflict of Interest. PSC has no holdings or interests within the Town of Los
Gatos. PSC has no business holdings or agreements with any member of
the staff or management of the Town or its representatives.
IN WITNESS WHEREOF, the Town and PSC have executed this Agreement as the
date first above written.

SCOPE OF SERVICES
for
TOWN OF LOS GATOS
Pursuant to my phone conversation of May 23, 1991, following is the scope of
services to provide Relocation services for the Town of Los Gatos -- New Library Site
Project. This proposal contemplates Relocation Services on two (2) residential
properties. For ease of reference, the Town of Los Gatos shall hereinafter referred to
as City and Public Sector Consultants as PSC.
SCOPE OF SERVICES
RELOCATION SERVICES
1. PSC will provide Relocation Services which include but are not limited to the
following:
A. Provided Services:
1. Prepare/provide required replacement housing valuation(s).
2. Provide Relocation Advisor services.
a. Explain relocation benefits and procedures.
b. Assist residential/business occupants in finding
replacement locations.
c. Obtain moving bids.
d. Prepare and process relocation claim forms and
other necessary forms and paperwork.
e. Assist residentiallbusiness occupants in filing an
appeal (if necessary).
f. Provide ongoing counsel and support to the
residential occupants during the relocation
process.
g. Serve proper notices to vacate (if required).
h. Maintain ongoing communications with the Agency as to
relocation status.
B. Agency shall provide:
1. PSC with sufficient copies of Relocation Brochures (residential) for
distribution to project occupants.

2. Any file data previously obtained for either displacee family.
C. Services na Provided:
1. Any payment required for bid services -- payments made
on a pass through basis to Agency.
2. Any legal actions or filings necessary thereto to
evict or cause eviction of relocatees.
a. Court or attorney conference time or expenses as a result of

1. Services requested as a result thereof shall be at PSC's
hourly rate of $80.00 per hour.
PROPOSAL COST ESTIMATE
All services as listed, except subcontractors, to be provided at PSC's
hourly rate of $80.00 per hour. Extraordinary expenses, with np 'or approval, to be
billed at actual cost.
