RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
AUTHORIZING EXTENSION OF AUDIT SERVICES AGREEMENT WITH
PANNELL KERR FORESTER, CERTIFIED PUBLIC ACCOUNTANTS
WHEREAS, Pannell Kerr Forester has provided audit services for the years ending
June 30, 1987, June 30, 1988, June 30, 1989 and are completing the audit for the year
ending June 30, 1990; and
WHEREAS, an extension to the agreement with Pannell Kerr Forester was granted
in March 1990 due to issues relating to the 1989 earthquake and funding from FEMA and
OES; and
WHEREAS, Pannell Kerr Forester is familiar with the financial programs on the
Wang System and the Town of Los Gatos will be converting the financial records to a new
computer system in the fiscal year 1991 -92 and services by an auditor unfamiliar with the
current program and computer would result in delay and additional expense not warranted
for a single year's service; and
WHEREAS, adequate funds have been budgeted in the Adopted Fiscal Year 1991-
92 Operating Budget for the expenditure of the funds necessary to extend the audit services
of Pannell Kerr Forester.
BE IT RESOLVED:
The Town Council hereby finds because of the uniqueness and special characteristics
of the service provided by Pannell Kerr Forester, it would be advantageous to the Town to
grant the extension of audit services, and authorizes the Town Manager to enter into an
agreement extending the agreement for services on the same terms and conditions as
previous years except for an increase in fees to a total of $52,000.
BE IT FURTHER RESOLVED:
That the next year's audit services shall be performed by a different certified public
accountant and Town staff will conduct informal in -house verification of accounting
procedures against Pannell Kerr Forester evaluation.

of Los Gatos, California, held on the 15th day of July, 1991 by the following vote.
