RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO EXECUTE
AN AMENDMENT TO THE LEASE AGREEMENT
BETWEEN THE TOWN OF LOS GATOS
AND THE LOS GATOS MUSEUM ASSOCIATION
WHEREAS, TOWN owns and agrees to lease to Los Gatos
Museum Association the buildings and lots located at 75 Church
Street and 4 Tait Avenue;
NOW, THEREFORE, THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
DOES HEREBY RESOLVE AS FOLLOWS: that the Town Manager be
authorized to execute the attached Amendment to the Lease Agreement
on behalf of the Town of Los Gatos with the Los Gatos Museum
Association.
PASSED AND ADOPTED at a regular meeting of the Town
Council of the Town of Los Gatos, California, held on the 18th day
of November, 1991, by the following vote:

EXHIBIT A
AMENDMENT TO LEASE AGREEMENT
BY AND BETWEEN THE TOWN OF LOS GATOS
AND THE LOS GATOS MUSEUM ASSOCIATION
This AMENDMENT TO AGREEMENT is entered into this day
of November, 1991, and is effective as of the first day of January,
1992, by and between TOWN OF LOS GATOS, a municipal corporation of
the State of California (hereinafter referred to as "TOWN ") and LOS
GATOS MUSEUM ASSOCIATION, a nonprofit organization (hereinafter
referred to as "LGMA").
WHEREAS, TOWN and LGMA executed a one -year Lease
Agreement effective January 1, 1991; and,
WHEREAS, LGMA desires to extend the Lease Agreement
through June 30, 1992;
IT IS THEREFORE AGREED by the parties as follows:
1. Section 2. Term on Page 1 of the original Agreement
is amended as follows:
Term: The lease term shall commence on the
first day of January, 1990, and shall continue
for eighteen months thereafter, and is subject
to termination provisions set out in this
Agreement.
2. Section 5. Use of Premises on Page 2 of the original
Agreement is amended as follows:
USE OF PREMISES: LGMA shall use said premises
only for museums' purposes, including storage
and offices, and, in connection therewith,
shall comply with all governmental laws and
regulations.
3. Section 14. Termination on Page 4 of the original
Agreement is amended as follows:
TERMINATION: Either party may terminate this
Agreement without cause upon six (6) months
advance written notice. Such termination
notice shall be sent to:

4. The terms and conditions of the original Agreement,
except as herein amended, shall remain in full force
and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment
to the Lease Agreement with LGMA on the date written above,
effective January 1, 1992.
