RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING LETTER OF AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND TOWN MANAGER
BE IT RESOLVED, and it is hereby resolved by the Town Council of the Town
of Los Gatos, County of Santa Clara, State of California, that the Town of Los Gatos enter
into that Amendment to the Letter of Agreement with the Town Manager (a copy of which
is attached hereto); and
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby
directed to execute said Amendment to the Letter of Agreement in the name and behalf
of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 5th day of October, 1992 by the following vote:

LETTER OF AGREEMENT

This Amendment to Letter of Agreement is entered in this day of —
1992 and is effective as of 9/4/92, by and between the Town of Los Gatos, a municipal
corporation ('Town ") and David W. Knapp
RECITALS: f_ > ` V
WHEREAS, Town and David W. Knapp executed a Letter of Agreement on
September 4, 1990; and

IT IS THEREFORE AGREED by to parties as follows:
1. The original Letter of Agreement is amended to read as follows:
a. The base salary is increased from $86,700 to $90,168.
b. A one time $4,000 bonus is provided in recognition of performance between
September 4, 1991 and September 4, 1992.
c. The benefit package is adjusted to be to dame as that of all other senior
staff members of to Town for fiscal year 1992 -93.
d. Deletion of requirement that the Town loan for Manager housing be paid
in full in to event of a refinancing of to first mortgage.
2. The terms and conditions of to original Letter of Agreement, except as herein
amended, shall remain in full force and effect.
IN WITNESS WHEREOF, to parties have executed this Amendment to to Letter
of Agreement on to date written above, effective September 4, 1992.
