RESOLUTION OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO SIGN AN
AGREEMENT WITH LIEBERT, CASSIDY & FRIERSON,
BAY AREA EMPLOYMENT RELATIONS CONSORTIUM,
FOR SPECIAL SERVICES RELATING TO LEGAL TRAINING AND CONSULTING
RESOLVED, by the Town Council of the Town of Los Gatos, County of Santa
Clara, State of California, that the Town of Los Gatos enter into an agreement with
Liebert, Cassidy& Frierson on the terms and conditions outlined in attached Exhibit A, and
that the Town Manager is authorized, and is hereby directed, to execute said agreement in
the name and on behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 19th day of October, 1992 by the following
vote:

This Agreement is entered into between the TOWN OF LOS GATOS, hereinafter
referred to as "Town," and the law firm of LIEBERT, CASSIDY & FRIERSON, A
Professional Corporation, hereinafter referred to as "Attorney.,
WHEREAS Town has the need to secure expert training and consulting services to
assist Town in its relations and negotiations with its employee organizations; and
WHEREAS Town has determined that no less than fourteen public agencies in the
Bay Area have the same need and have agreed to enter into identical agreements with
Attorney; and
WHEREAS Attorney is specially experienced and qualified to perform the special
services desired by the Town and is willing to perform such services;
NOW, THEREFORE, Town and Attorney agree as follows:
Attorney Is Services:
During the year beginning October 1, 1992, Attorney will provide the following
services to Town (and the other aforesaid public agencies):
1. Five and one -half days of group training workshops covering such employment
relations subjects as negotiation strategies, employment discrimination and affirmative
action, employment relations from the perspective of elected officials, grievance and
discipline administration for supervisors and managers, planning for and responding to
concerted job actions, current court, administrative and legislative developments in the
personnel relations area, etc., with the specific subjects covered and lengths of individual
workshop presentations to be determined by the Town and the other said local agencies;
2. Availibility of Attorney for Town to consult by telephone.
3. Providing of a monthly newsletter covering employment relations
developments.
Fee:
Attorney will provide these special services to Town for a fee of One Thousand Eight
Hundred Fifty Dollars ($1,850.00) payable in one payment on or about October 31, 1992,
or, at option of Town, one -half on or about October 31, 1992, and the remaining one -half
on or before February 1, 1993. Said fee will cover Attorney's time in providing said
training and consultative services.
Additional Services:
Attorney shall, as and when requested by Town, make itself available to Town to
provide representational and other employment relations services at its normal hourly fees.
Independent Contractor:
It is understood and agreed that Attorney is and shall remain an independent
contractor under this Agreement.
Term:
The term of this Agreement is twelve (12) months commencing October 1, 1992. The
term may be extended for additional periods of time by the written consent of the parties.
Condition Precedent:
It is understood and agreed that the parties o aforesaid rights and obligations are
contingent on no less than fourteen (14) local agency employers entering into a substantially
identical Agreement with Attorney on or about October 1, 1992.
