RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING LETTER OF AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND TOWN MANAGER
BE IT RESOLVED, and it is hereby resolved by the Town Council of the Town
of Los Gatos, County of Santa Clara, State of California, that the Town of Los Gatos enter
into that Amendment to the Letter of Agreement with the Town Manager (a copy of which
is attached hereto).
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby
directed to execute said Amendment to the Letter of Agreement in the name and behalf
of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 4th day of October, 1993 by the following vote:

AMENDMENT TO TOWN MANAGER AGR:93.112
LETTER OF AGREEMENT
This Amendment to Letter of Agreement is entered in this 4th day of October, 1993
and is effective as of 9/4/93, by and between the Town of Los Gatos, a municipal
corporation ( "Town') and David W. Knapp
RECITALS:
WHEREAS, Town and David W. Knapp executed a Letter of Agreement on
September 4, 1990; and
WHEREAS, the Town Council has evaluated David W. Knapp's performance between
September 4, 1992 and September 4, 1993 and has determined that it deserves to be
rewarded.
IT IS THEREFORE AGREED by the parties as follows:
1. The original Letter of Agreement is amended to read as follows:
a. The base salary is increased to $94,676 (5 %).
b. The benefit package is adjusted to be the same as that of all other senior
staff members of the Town for fiscal year 1993 -94.
2. The terms and conditions of the original Letter of Agreement, except as herein
amended, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Letter
of Agreement on the date written above, effective September 4, 1993.
