RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
APPROVING THE COMMON CONTRACT WITH
MONTE SERENO AND SPECIFICATIONS
FOR PROJECT 9421 - BI- ANNUAL STREET RESURFACING
WHEREAS, it is the intention of the Town Council of the Town of Los Gatos to
carry out Project 9421 - Bi- Annual Street Resurfacing in Common with the City of Monte
Sereno;and
WHEREAS, the Director of Building and Engineering Services has presented
Specifications for Project 9421 - Bi- Annual Street Resurfacing Project.
RESOLVED, that the Town Council does hereby authorize Mayor to execute the
Common Contract Agreement between the City of Monte Serene, and the Town of Los
Gatos (Exhibit A) and;
FUTHER RESOLVED, that Specifications - Project 9421 - Bi- Annual Street
Resurfacing Project," dated May 1994, on file in the Office of the Town Clerk, are hereby
approved; and
FURTHER RESOLVED, that the Town Clerk is hereby authorized and directed to
advertise, as required by law, for the receipt of sealed bids or proposals for the doing of the
work specified in the aforesaid Plans and Specifications, which said advertisement shall be
substantially in accordance with the Notice to Bidders, attached hereto and made a part
hereof.

AGREEMENT BETWEEN THE CITY OF MONTE SERENO AND
THE TOWN OF LOS GATOS TO ACCOMPLISH
1994 -1995 STREET RESURFACING PROGRAMS
THROUGH USE OF A COMMON CONTRACT
The City of Monte Sereno ( "City "), a municipal corporation, and the Town of Los
Gatos ( "Town "), a municipal corporation, agree as follows:
RECITALS
A. The City and the Town want to continue their efforts to make their municipal
services as efficient as possible and to complement each other's capabilities to deliver high
quality services to each municipality's residents while sustaining local control.
B. The City and the Town intend to perform street resurfacing work during the
coming 6 months as part of their capital improvement programs.
C. Cooperating in the plan, specification, bidding, inspection, and payment
process involved in that work would save money in both staff and contractor expense.
AGREEMENT
1. City shall submit to the Town its 1994 -1995 street resurfacing program by May
16, 1994, together with the standard requirements that the City imposes on such work.
2. Town shall fold these requirements into its 1994 -1995 street resurfacing
program and produce a combined 1994 -1995 street resurfacing program plans and
specifications ( "1994 -1995 Plans ") for the City and the Town by June 6, 1994, in conformance
with generally accepted engineering practices.
3. City shall review and approve the 1994 -1995 Plans and provide that approval
to the Town. Town shall review and approve the 1994 -1995 Plans.
4. Town shall then advertise and request bids for the approved 1994 -1995 Plans
in conformance with State law.

5. Town and City shall receive the bids submitted and make a joint
recommendation to each Council as to the contractor to which the bid should be awarded.
City and Town shall then approve award of the bid.
6. Town shall then ensure that all bonds and insurance required by the contract
are submitted and that the contract is duly executed by the contractor that has been
awarded the work.
7. Town and City shall work cooperatively to ensure that the contractor complies
with the requirements for progress and quality on the work as provided in the contract.
8. Upon completion of work in the City as provided in the contract, the
contractor will request payment from the City for the work actually performed for the City,
9. The Town shall be responsible for adopting the Notice of Acceptance after
the City notifies the Town that it is satisfied with the work performed by the contractor and
the Town determines that the work under the contract has been completed to the Town's
satisfaction.
10. In consideration of the services to be provided by the Town under this
Agreement, City shall pay the Town as follows:
a. $350 for project administration and management
b. Construction inspection services at $38 per hour as needed and
requested by City.
The Town shall provide a written invoice to the City detailing the hours actually spent on
construction inspection services by the Town.
The payment shall be made by the City to the Town no later than twenty (20) days
following the approval of the Notice of Completion by the Town or receipt of the detailed
invoice from the Town, whichever occurs later.
11. This Agreement is not intended to nor shall it constitute a joint powers
agreement under State law.
12. This Agreement constitutes the entire agreement between the parties. No
amendment or alteration to this Agreement shall be effective unless in writing signed by
both parties.

13. No waiver or failure to require conformance with any particular term of this
Agreement shall be construed as a continuing waiver of that term or any other of the
Agreement.
This Agreement is entered into this day ofd 1994.
