RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING LETTER OF AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND TOWN MANAGER
RESOLVED, by the Town Council of the Town of Los Gatos, County of Santa
Clara, State of California, that the Town of Los Gatos enter into that Amendment to the Letter
of Agreement with the Town Manager (a copy of which is attached hereto).
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby directed
to execute said Amendment to the Letter of Agreement in the name and behalf of the Town of
Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos, California, held on the 20th day of March, 1995 by the following vote:

AYES: Randy Attaway, Joanne Benjamin, Steven Blanton, Linda Lubeck,
Mayor Patrick O'Laughlin.
NAYES: None.

TNDMENT TO TOWN MANAGE
LETTER OF AGREEMENT

This Amendment to Letter of Agreement is entered in this day of 1995
and is effective as of September 4, 1994, by and between the Town of Los Gatos, a municipal
corporation ( "Town ") and David W. Knapp
RECITALS:
WHEREAS, Town and David W. Knapp executed a Letter of Agreement on September
4, 1990; and
WHEREAS, the Town Council has evaluated David W. Knapp's performance between
September 4, 1993 and September 4, 1994 and has determined that it deserves to be rewarded.
IT IS THEREFORE AGREED by the parties as follows:
The original Letter of Agreement is amended to read as follows:
a. Increase salary to $8,088 per month effective September 4, 1994.
b. The benefit package continues to be the same as that of all other senior staff
members of the Town for fiscal year 1994 -95.
2. On September 5, 1995 and annually thereafter, as long as Mr. Knapp is in the
employ of the Town on each such anniversary date, the Town will purchase an
annuity to provide for retirement benefits of $1,000 per month for one year. Each
annuity so purchased will provide benefits for one year only, with the first annuity
providing benefits at age 62.
3. The terms and conditions of the original Letter of Agreement, except as herein
amended, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Letter of
Agreement on the date written above, effective September 4, 1994.
