RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO EXECUTE AN AGREEMENT WITH
THE LOS GATOS COMMUNITY FOUNDATION FOR THE REPRODUCTION, SALES,
AND DISTRIBUTION OF THE TOWN OF LOS GATOS RESOURCE DIRECTORY
FOLLOWS:
THE TOWN COUNCIL OF THE TOWN OF LOS GATOS RESOLVES AS
That the Town Manager is authorized to execute the Agreement (Exhibit A)
with the Los Gatos Community Foundation regarding the production, sales, and distribution of
the Town of Los Gatos Resource Directory, a guide of community services provided in Los
Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 17th day of July, 1995, by the following vote:

Dear MarLyn:
This is to confirm our agreement regarding the "Town of Los Gatos Resource Directory" and the
joint venture between the Community Services Department (CSD) and the Los Gatos
Community Foundation, Inc. (LGCF).
CSD will publish 250 bound copies. Printing and binding costs, valued at $1,050, are
donated by Kinko's.
CSD will receive 30 copies for distribution as deemed necessary by the CSD Director in
exchange for providing the paper valued at $183.00. LGCF will receive 10 copies at no
cost which will be used for marketing purposes. Both organizations will limit the
distribution of "free" copies to the absolute minimum and will encourage its membership
to support the sale of the Directory and the success of this joint venture.
* The Directory will be sold at the Neighborhood Center, the Town Clerk's Office, the Los
Gatos /Saratoga Recreation Department and local Town Businesses, as determined by the
LGCF, at the cost of $5.00 each.
* LGCF will take the lead in marketing and selling the Directory. Assistance will be
provided by CSD.
* Revenue will be deposited into the LGCF bank account at Bank of America, Branch
40142, 333 North Santa Cruz Avenue, Los Gatos, CA 95030.
* Revenue will be used to cover all costs associated with the publication of the Directory in
1997. Any "profit" claimed will be equally divided between the CSD and the LGCF.
Total revenues from this initial publication are estimated at $1,050, and it is assumed that
all labor and materials are provided at no cost to the initial project.
LGCF will number all books for distribution and will endeavor to keep an accurate
account of the distribution. CSD and LGCF will mark the number of the book on each
check as the directory is sold. Checks made payable to LGCF will be forwarded to
MarLyn Rasmussen, LGCF Public Relations Chair, for recording. The information will
be shared with CSD from time to time or as asked for.
LGCF will coordinate an updated Directory in 1997. Assistance will be sought from the
Arts and Community Services Commissions and CSD.
LGCF will solicit donated copying and binding services, or negotiate for best production
costs, for reprints and for the 1997 update.
This letter of agreement is entered into on the day of July, 1995.
