1995-143-Sign The Adopt-A-Bench Grant AgreementRESOLUTION 1995 -143 RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS AUTHORIZING THE TOWN MANAGER TO SIGN THE ADOPT -A -BENCH GRANT AGREEMENT WHEREAS, the existing benches and trash receptacles located along Santa Cruz Avenue and Main Street are in various states of disrepair and need to be replaced; and WHEREAS, Town funds are insufficient to replace the benches and trash receptacles; MI WHEREAS, an opportunity exists to create a public / private partnership that combines funding from the Redevelopment Agency and private donations to pay for benches and trash receptacles. RESOLVED: by the Town Council, that the Town enter into an agreement with the Los Gatos Redevelopment Agency for Adopt -A -Bench Grant, and that the Town Manager is authorized, and is hereby directed, to execute the Agreement attached hereto as Exhibit A in the name and on behalf of the Town. PASSED AND ADOPTED at a meeting of the Town Council of the Town of Los Gatos this 16th day of October, 1995, by the following votes: COUNCIL MEMBERS: AYES: Randy Attaway, Joanne Benjamin, Steven Blanton, Linda Lubeck, Mayor Patrick O'Laughlin NAYS: None ABSENT: None ABSTAIN: None SIGNED: MA"THE F LOS GATOS TOWN CLERK1 AG R: 1HH: R � ADOPT -A -BENCH GRANT AGREEMENT BETWEEN THE 1TOWN OF LOS GATOS AND THE LOS GATOS REDEVELOPMENT AGENCY THIS AGREEMENT is entered into this day of 19 by and between the Town of Los Gatos, State d California, herein called the "Mn," and the Los Gatos Redevelopment Agency, a municipal corporation, herein called the "Agency." RECITALS A. The existing benches and trash receptacles located along Santa Cruz Avenue and Main Street are in various states of disrepair and need to be replaced; and B. The Five -Year Implementation Plan for the Central Los Gatos Redevelopment Project includes streetscape improvements (benches, trash receptacles, and landscape planters for 1995- 96;and C. Redevelopment Agency funds are insufficient to replace all of the benches and trash receptacles; and D. An opportunity exists to create a public / private partnership that combines funding from the Redevelopment Agency and private donations to pay for benches and trash receptacles. E. The Town of Los Gatos established the Adopt -A -Bench Program to increase public interest in the downtown and to create a way for individuals and businesses to contribute donations towards the cost of new benches and trash receptacles. The Program creates a public / private partnership that combines matching funds from the Los Gatos Redevelopment Agency with each donation. AGREEMENTS NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS: 1. Grant Amount: The grant to the Town of Los Gatos shall not exceed $6,000.00. Z. _ ost The total cost (i.e. item cost, tax, freight, maintenance, installation) for each bench and trash receptacle will be shared by the donor and Redevelopment Agency. The donor will contribute 60% and the Redevelopment Agency will contribute 40 %. The Adopt -A -Bench Grant provides the Town with a revenue source to pay the Agency's cost of each domnated item. The Town will create an Adopt -A -Bench designated account for all donations and the Agency grant funds will be placed in a fixed asset purchase account. When a donation is made to the Town and the item is ordered, the Agency's contribution will be transferred to the designated account. The account will provide a funding source for the Department of Parks, Forestry and Maintenance Services (PFM) to purchase and install the benches and trash receptacles. Revised October 13, 1995 N: \DEV\RDA \GRANTRPT.TC Page 1 of 3 Conditions of Donation: All donors will sign an Acknowledgement Form describing the terms and conditions of the donation including the Town's maintenance responsibilities. The Acknowledgement Form indicates that the Town will provide routine maintenance and repair of the bench / trash receptacle but the public interest or limitations on public monies may cause the Town to relocate or otherwise dispose of the item. Each donor may request that a brass plaque with a personalized inscription be affixed to the bench or trash receptacle. Guidelines: Each donor may sponsor a specific bench or trash receptacle by selecting the item from the Central Business District Streetscape and Improvement Guidelines. The Guidelines establish the Town's standards and locations for the streetscape improvements as well as the manufacturer, model, and specifications for installation. The Donor may identify the preferred location for the item to be installed as shown on the Public Improvement Location Map. The Town will install the item as close as possible to the preferred location but the item may be moved or removed at any time. Grant Terms a. The donated item shall be located within the Central Los Gatos Redevelopment Project Area. b. The Grant funds shall not be used to pay for maintenance. C. The brass plaque shall indicate that funding was provided in part by the Los Gatos Redevelopemt Agency. d. The donated item shall be the property of the Town of Los Gatos. e. If the Town sells the item, the proceeds of the sale shall be devoted to capital improvements within the Redevelopment Project Area.
