RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING LETTER OF AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND TOWN MANAGER
RESOLVED, by the Town Council of the Town of Los Gatos, County of Santa
Clara, State of California, that the Town of Los Gatos enter into that Amendment to the Letter
of Agreement with the Town Manager (a copy of which is attached hereto).
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby directed
to execute said Amendment to the Letter of Agreement in the name and behalf of the Town of Los
Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos, California, held on the 6th day of November, 1995 by the following vote:

This Amendment to Letter of Agreement is entered in this day of
1995 and is effective as of September 4, 1995 by and between the Town of Los Gatos, a
municipal corporation ( "Town ") and David W. Knapp.
RECITALS:
WHEREAS, Town and David W. Knapp executed a Letter of Agreement approved on
August 20, 1990 which was amended by agreements dated August 20, 1990, March 2, 1992,
October 16, 1992, September 29, 1993, and April 4, 1995; and
WHEREAS, the Town Council has evaluated David W. Knapp's performance between
September 4, 1994 and September 4, 1995 and has determined that it deserves to be rewarded.
IT IS THEREFORE AGREED by parties as follows:
The Letter of Agreement, as amended, is amended to read as follows:
Increase salary to $8,250 per month effective September 4, 1995
2. The terms and conditions of the Letter of Agreement, except as herein and
previously amended, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Letter of
Agreement on the date written above, effective September 4, 1995.
