RESOLUTION OF THE TOWN OF LOS GATOS TO
AUTHORIZE TOWN MANAGER TO EXECUTE AGREEMENT WITH
PEEK TRAFFIC COMPANY FOR SIGNAL MAINTENANCE SERVICES
WHEREAS, the adopted 1995/96 operating budget (gas Tax Fund) provides for traffic
signal maintenance; and
WHEREAS, the current contract agreement has expired; and
WHEREAS, Peek Traffic Company has contracted services to the Town since 1982; and
WHEREAS, Peek Traffic company currently provides preventive maintenance,
emergency services and repair to twenty -three signalized intersections and one pedestrian crossing
within Town boundaries; and
WHEREAS, Peek Traffic Company is the only provider of this type of service in the
County.
THEREFORE, BE IT RESOLVED, by the Town Council of the Town of Los Gatos,
County of Santa Clara, State of California, that the Town Manager is authorized to execute an
agreement, and attached hereto as Exhibit A with Peek Traffic Company for signal maintenance
services.

THIS AGREEMENT is made and entered into in the Town of Los Gatos, County of
Santa Clara, State of California, by and between the TOWN OF LOS GATOS, a municipal
corporation [hereinafter Town], and Peek Traffic Company [hereinafter Contractor], as of the
first (1) day of September, 1995.
RECITALS
(A) Contractor represents that it is a qualified and competent supplier of the services to
be provided under this Agreement.
IT IS AGREED AS FOLLOWS:
L Terms. Contractor hereby agrees to maintain twenty three (23) signalized
intersections and one (1) pedestrian signal on a monthly basis as described in Exhibit A as
follows: Term of this Agreement is from the date above to June 30, 1998.
a. Price. Town shall pay Contractor on the basis of work completed as specified in
Attachment 1, but not to exceed a total amount of $1,876.56 per month. Payment shall be net 30
days.
b. Escalation. One year from the date of this agreement to provide traffic signal
maintenance pursuant to scope of services, and each anniversary thereafter, the monthly price
paid for such services shall be adjusted upward or downward, increased or decreased, in direct
proportion to the increase or decrease in the Consumer Price Index (CPI). The CPI shall be the
U.S. Department of Labor, Bureau of Labor Statistics Consumer Price Index, All Items, All
Urban Consumers, San Francisco - Oakland -San Jose, 1981 -84 -100 index issued for September of
each year. The beginning index for September 1995 is 152.3.
2. Time of the Essence. Prompt performance of the services is essential to this
Agreement.

4. Contractor shall carry out this project under the direction of the Parks, Forestry &
Maintenance Services Department.
5. Compliance with Laws. The Contractor shall comply with all applicable laws,
codes, ordinances, and regulations of governing federal, state and local laws. Contractor
represents and warrants to Town that it has all licenses, permits, qualifications and approvals
of whatsoever nature which are legally required for Contractor to practice its profession.
Contractor represents and warrants to Town that Contractor shall, at its sole cost and expense,
keep in effect or obtain at all times during the term of this Agreement any licenses, permits,
and approvals which are legally required for Contractor to practice its profession. Contractor
shall maintain a Town of Los Gatos business license pursuant to Chapter 14 of the Code of the
Town of Los Gatos.
6. Sole Responsibility. Contractor shall be responsible for employing or engaging all
persons necessary to perform the services under this Agreement.
7. Independent Contractor. It is understood that the Contractor, in the performance of
the work and services agreed to be performed, shall act as and be an independent contractor
and not an agent or employee of the Town. As an independent contractor he /she shall not
obtain any rights to retirement benefits or other benefits which accrue to Town employee(s).
With prior written consent, the Contractor may perform some obligations under this
Agreement by subcontracting, but may not delegate ultimate responsibility for performance or
assign or transfer interests under this Agreement.
8. Equal E=Ioyment.-Q1212!2rumity. Contractor warrants that it is an equal opportunity
employer and shall comply with applicable regulations governing equal employment
opportunity. Neither Contractor nor its subcontractors do and neither shall discriminate
against persons employed or seeking employment with them on the basis of age, sex, color,
race, marital status, sexual orientation, ancestry, physical or mental disability, national origin,
religion, or medical condition, unless based upon a bona fide occupational qualification
pursuant to the California Fair Employment & Housing Act.
9. Insurance.
A. Minimum Scope of Insurance:
i. Contractor agrees to have and maintain, for the duration of the contract,
General Liability insurance policies insuring him/her and his /her firm to

an amount not less than: one million dollars ($1,000,000) combined
single limit per occurrence for bodily injury, personal injury and
property damage.
ii. Contractor agrees to have and maintain for the duration of the contract,
an Automobile Liability insurance policy ensuring him/her and his /her
staff to an amount not less than one million dollars ($1,000,000)
combined single limit per accident for bodily injury and property
damage.
iii. Contractor shall provide to the Town all certificates of insurance, with
original endorsements effecting coverage. Contractor agrees that all
certificates and endorsements are to be received and approved by the
Town before work commences.
iv. Contractor agrees to have and maintain, for the duration of the contract,
professional liability insurance in amounts not less than $1,000,000
which is sufficient to insure Contractor for professional errors or
omissions in the performance of the particular scope of work under this
agreement.
B. General Liability:
i. The Town, its officers, officials, employees and volunteers are to be
covered as insured as respects: liability arising out of activities
performed by or on behalf of the Contractor; products and completed
operations of Contractor, premises owned or used by the Contractor.
This requirement does not apply to the professional liability insurance
required for professional errors and omissions.
ii. The Contractor's insurance coverage shall be primary insurance as
respects the Town, its officers, officials, employees and volunteers.
Any insurance or self - insurances maintained by the Town, its officers,
officials, employees or volunteers shall be excess of the Contractor's
insurance and shall not contribute with it.
Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the Town, its officers, officials, employees
or volunteers.
iv. The Contractor's insurance shall apply separately to each insured against
whom a claim is made or suit is brought, except with respect to the
limits of the insurer's liability.
C. All Coverages: Each insurance policy required in this item shall be endorsed to
state that coverage shall not be suspended, voided, cancelled, reduced in
coverage or in limits except after thirty (30) days' prior written notice by
certified mail, return receipt requested, has been given to the Town. Current
certification of such insurance shall be kept on file at all times during the term
of this agreement with the Town Clerk.
D. In addition to these policies, Contractor shall have and maintain Workers'
Compensation insurance as required by California law and shall provide
evidence of such policy to the Town before beginning services under this
Agreement. Further, Contractor shall ensure that all subcontractors employed
by Contractor provide the required Workers' Compensation insurance for their
respective employees.
10. Indemnification. The Contractor shall save, keep and hold harmless indemnify
and defend the Town its officers, agent, employees and volunteers from all damages,
liabilities, penalties, costs, or expenses in law or equity that may at any time arise or be set up
because of damages to property or personal injury received by reason of, or in the course of
performing work which may be occasioned by a willful or negligent act or omissions of the
Contractor, or any of the Contractor's officers, employees, or agents or any subcontractor.
11. Waiver. No failure on the part of either party to exercise any right or remedy
hereunder shall operate as a waiver of any other right or remedy that party may have
hereunder, nor does waiver of a breach or default under this Agreement constitute a continuing
waiver of a subsequent breach of the same or any other provision of this Agreement.
12. Modifications. No modification, waiver, termination, or amendment to this
Agreement is effective unless made in writing signed by the Town and the Contractor.
13. Severability. If any term of this Agreement is held invalid by a court of
competent jurisdiction, the remainder of this Agreement shall remain in effect.
14. Goverring Law. This Agreement, regardless of where executed, shall be
governed by and construed according to the laws of the State of California. Venue for any
action regarding this Agreement shall be in the Superior or Municipal Court of either the
County of Santa Clara or the County of San Mateo.
15. Entire Agreement. This Agreement sets forth the entire understanding between
the parties.

Section 11 - Special Conditions
11 -01. STATEMENT OF WORK
The contractor shall furnish all labor, equipment and materials and perform all work
necessary to maintain and repair all of the traffic signals operated by the agency. The work
to be done consists of providing preventive maintenance, traffic signal repairs, service,
accident damage repairs, records and supervision for the maintenance of traffic signals within
the agency. The contractor shall furnish all tools, equipment, apparatus, facilities, labor,
services, and materials and perform all work necessary to maintain in good workmanlike
manner all of the traffic signals or systems listed in the agreement covering the work. This
contract covers street safety lighting when the safety light is on the same pole as the traffic
signal, the wiring, lighting lamps, reflectors, photo cells, ballasts, and appurtenances will
handled under the signal maintenance contract and paid for as Traffic Signal Repairs.
The purpose of this contract is to maintain the traffic signal systems to operate in a manner
that they were originally intended, so as to guide, regulate, warn, and facilitate the orderly
movement of traffic with due regard for the safety of life, limb, and property of motorists and
pedestrians who use the streets. Therefore, TIME IS THE ESSENCE OF THIS
CONTRACT.
The various classifications of signal maintenance and repair work include the following:
A. Preventive Maintenance
This work consists of a continuous program of periodic inspections, cleaning,
adjusting, service and repair of all traffic signal systems. The contractor shall carry
on a program of continuing comprehensive preventative maintenance designed to
eliminate or reduce the incidence of malfunctions, reduce complaints, and extend the
useful life of the equipment. The program shall include, but is not limited to, the
overhaul of the controllers, group revamping of signal lights, and painting of signal
equipment and controller cabinets.
B. Normal Traffic Signal Repair
This work consists of correcting signal malfunctions of any kind except those which
are the result of accident damage, vandalism, acts of God, pavement failure, or
obsolescence. Normal signal repair includes repair needed to correct equipment
deterioration, malfunction or other equipment failure.

C. Accident Damage Repair
This work consists of repairing damage to traffic signal systems resulting from traffic
accidents. Accident damage repair work includes cleanup of debris from an accident,
erection of barricades or signs, or hookup of a temporary signal or controller.
The contractor shall, if necessary, install and connect temporary poles and signals,
and shall do whatever is required to give adequate warning to the public of any
dangerous conditions to be encountered as a result thereof, and he shall also erect and
maintain such warning and directional signs as may be furnished or required by the
Agency. Such work shall be considered accident damage repair.
D. Signal System Modification Work
This work consists of special signal installation, modification, or repair work
specifically authorized by the Engineer.
11 -02. PROSECUTION OF THE WORK
The contractor shall prosecute the work in the following manner:
A. The contractor shall at all times maintain a force of qualified Traffic Signal
Maintenance workmen sufficient to perform the work required and described herein.
The force of qualified workmen shall be sufficient to respond to emergency calls
which may be received at any time and to promptly make temporary and permanent
repairs. The contractor shall not subcontract any part of this maintenance contract
work and shall not retain another organization to perform maintenance or overhaul
of traffic signal mechanisms unless specifically authorized by the Agency. The
contractor shall retain on a full -time basis qualified engineering or technical
personnel capable of and available for maintenance and overhaul work on the control
mechanisms and must have as part of his work -force personnel having a minimum
of two (2) years of working experience on the types of controllers shown on the
Agency's attached equipment inventory. The contractor shall also provide adequate
shop facilities, tools and testing equipment to accomplish such work. Service shall
be provided on a 24 -hour per day, 7 -day per week basis. Immediate action shall be
taken to safeguard the public at any time a signal installation becomes partly or fully
inoperative from any cause whatsoever.
The maximum response time for emergency repairs
and accident damage repairs shall be two hours.
Permanent repairs shall be completed as soon as
possible, and in all cases, in less than 30 days, unless

extended in unusual circumstances by the Engineer.
(The Engineer may extend the maximum response
time if materials are unavailable) The work shall be
performed to the satisfaction of the Engineer. The
contractor shall conduct all operations so as to cause
the least possible inconvenience to the public.
The minimum acceptable operating capability of any
temporary replacement in a signal system shall
include all those functions of the permanent
installation including, but not limited to, pedestrian
signals, pedestrian push buttons and two functioning
traffic signal heads facing each approach pending
permanent repair of the system, unless otherwise
authorized by the Engineer.
B. The contractor shall designate representatives in his organization one of whom shall
be available at all times to the Engineer for consultation at no added expense to the
Agency.
This consultation shall consist of cost estimates for traffic signs, repairs, accident
damage repairs, and replacement of obsolete or deteriorated equipment, explanations
of functional capabilities and operational characteristics of the signal systems and
recommendations on anticipated changes in the signal systems.
The contractor shall famish the names, addresses, and telephone numbers of his
representatives to the Engineer.
C. The Preventive Maintenance Program shall include, but is not limited to the
following:
Monthly inspection of each controller unit at which time the following steps
will be taken:
a) Vacuum cabinet and remove any foreign material.
b) Check timing of individual signal phases and adjust to maintain the
real time intervals within five (5 %) per cent of the interval on the
timing cards, interval timing circuits and interconnect systems and
appurtenant devices.
C) Check and, if necessary, correct timing of yellow (caution) intervals
on all phases by use of stopwatch.

d) Check detector units and pedestrian buttons.
e) Visually inspect all relays, clocks, dials, photocells, cabinet locks,
and switches, etc., and make routine adjustments or minor repairs if
necessary.
f) Correct or report other deficiencies.
g) Record arrival time, work done, date, and name of contractor's
employee.
h) Walk the intersection and visually inspect all signal heads for proper
operation, alignment, broken lenses, etc.
2. The contractor shall replace or repair all defective parts of the controller
mechanisms as the occasion arises or conditions indicate that such changes
or repairs are necessary to maintain efficient operation.
3. The contractor shall clean and polish all lenses and reflectors annually and at
this time replace broken parts or change parts and align signal heads, adjust
louvers, clean and adjust all Mastarm signs as is necessary.
4. Controller units, auxiliary equipment, and appurtenances, such as contractors,
detectors, transformers and related items shall be serviced and overhauled as
indicated below, or if not specified, as recommended by the manufacturer.

Overhaul shall include cleaning, replacement or worn parts, time checks, tube
check and replacement, necessary adjustments, lubrication and testing. Solid
state equipment need not follow the above schedule, but will be maintained
as recommended by the manufacturer.

The contractor shall accept the cost and responsibility for replacing parts to
the control mechanisms under the provisions of the preventative maintenance
program. When total controller mechanisms become obsolete or deteriorated
to the point of being beyond repair, the contractor shall report such conditions
to the Agency and demonstrate or provide evidence that replacement is
necessary. The contractor shall prepare estimates indicating the breakdown
of material and labor costs for replacement of control mechanisms and submit
this information to the Agency. No permanent change of control mechanisms
shall be done without prior approval of the Agency.
5. The contractor shall replace at his expense all vehicle signal lamps in red and
green indications on a regular group basis at intervals not to exceed twelve
(12) months and as burnouts occur. Lamps in the yellow indications may be
replaced at intervals not to exceed twenty -four (24) months or on every
second general relamp and as burnouts occur. Lamps in flashing beacons
shall be replaced at intervals not to exceed twelve (12) months and as
burnouts occur.
Lamps for vehicular signal faces shall conform to the Institute of Traffic
Engineers "Standard for Traffic Signal Lamps" and the following:
Lamps for the 8 inch indications shall be 665 lumen rated initial output, 120
volt, 8,000 hour rated life, clear, traffic signal lamps.
Lamps for the 12 inch indications shall be 1,950 lumen rated initial output,
120 volt, 6,000 hour rated life, clear, traffic signal lamps.
6. The following records shall be maintained by the contractor covering signal
maintenance activities:
a) Record log to be kept in controller cabinet and properly noted by the
serviceman at the time of his regular monthly routine inspection and
any repair work or modifications, using a form approved by the
Engineer.
b) Signal timing charts to be kept in controller cabinet to record signal
timing and dates of changes. Only the Engineer shall authorize
timing changes, except that the contractor may make changes
required on a temporary basis due to maintenance operation such as
when detectors fail
C) A duplicate record of all service calls, repairs, and pertinent data
pertaining to each individual intersection to be kept on file in the

contractor's office and available to the Agency on request.
d) A triplicate record provided by the City shall be filled out each time
the contractor performs any work described in Section 11 -01,
Statement of Work. A stock of blank records will be provided in
each controller cabinet. After completing the maintenance record, the
contractor shall leave the third copy in the cabinet. The second and
original copies shall be returned to the contractor's signal
maintenance supervisor, who shall review the work performed and
initial the report. The contractor shall keep the second copy for this
records. The original copy
7. The contractor shall be responsible for furnishing all spare standby
controllers necessary to maintain the continued safe, efficient operation of the
signals whenever the original unit is withdrawn for maintenance repair or
alteration. Standby controllers shall be of the same State - designated type as
those in operation at the intersection unless specific authority is granted for
variance by the Engineer for each individual occurrence. No separate extra
rental or compensation shall be paid for such usage of standby controllers.
D. All component parts of each system shall be maintained at all times to perform the
functions for which they were designed unless authorized to the contrary by the
Engineer.
E. Any maintenance operations found unsatisfactory, any equipment found not properly
maintained, or any repair or extra work found necessary by the Engineer shall be
reported to the contractor and confirmed in writing. Upon receipt of such report, the
contractor shall immediately make the necessary corrections and perform any work
necessary to bring the system up to the prescribed standard. The contractor shall
submit a report to the Engineer indicating that the work covered by the Engineer's
report has been completed, giving the date of completion of the work.
F. The contractor shall submit to the Engineer a report of any major breakdowns of
individual pieces of equipment due to mechanical failure, any major repairs to any
equipment and the reason for repairs and a recommendation for any major repairs t
equipment that the contractor deems necessary for proper performance.
G. The contractor shall erect flags, signs, flashing lights, and barricades as may be
required to properly protect his workmen and the motoring public when repairs are
being performed on or near the roadway. All signs and devices used shall conform
to the current "Manual of Warning Sign, Lights and Devices for Use in Performance
of Work Upon Highways" as published by the State of California, Department of
Transportation.

Failure on the part of the contractor to provide adequate signing and barricading will
be the authority for the Agency to provide such protection as is necessary by city
forces or independent contractor. All costs of protection so provided shall be
deducted from the monthly maintenance charges of the contractor until the bill is
satisfied.
Repetitive failure shall be sufficient cause to the Agency to cancel the agreement
H. The contractor shall promptly report to the Engineer any unauthorized construction
or repair work being done by others upon the owner's equipment being maintained
by the contractor. The contractor shall also report any construction or repair work
in progress which work may endanger or damage the equipment of the system. The
Agency shall keep the contractor informed as to street work or development which
affects the system.
I. The contractor shall notify the Sheriffs Department or Police Department and the
Engineer, or his authorized representative, of any signal turn -offs or turn -ons
necessitated by his operation when such turn-offs or turn -ons will require Police
assistance. Turn -offs or turn -ons shall not be made until enforcement personnel are
present, unless verbal permission is obtained from the Engineer or his authorized
representative of use substitute traffic control.
J. The contractor shall maintain coordination with the Telephone Company in the event
of malfunctions in the radio received and/or telephone interconnect systems which
such malfunctions indicate problems in the master radio control equipment or
telephone central equipment.
K. The contractor shall promptly notify the Engineer of the disablement of any piece of
equipment on any system due to an accident or other causes, such as damaged cable,
broken parts, or other difficulties when such pieces of equipment cannot be readily
repaired making it necessary to discontinue normal operation of all or part of the
installation. The County Sheriffs Department or City Police Department shall also
be notified of such occurrences.
L. Whenever it is necessary to block any traffic lanes to complete any portion of the
work, the contractor shall notify the County Sheriffs Department or Agency's Police
Department, as well as the Public Works Department, and closure and times
scheduled shall be subject to the approval of the Engineer. At least one lane of traffic
shall be kept open in each direction at all times.
M. The contractor shall maintain adequate storage and shop repair facilities to perform
this contract, including a sufficient stock of spare parts, standby controllers, and
signal equipment to effect permanent repairs to the system within a thirty (30) day

period. Failure to effect permanent repairs within this time limit shall be sufficient
cause for the Agency to authorize repairs to be completed by others. Repetitive
failure shall be sufficient cause to the Agency to cancel the agreement.
N. The contractor shall deliver any salvaged or salvageable equipment or materials to
the location designated by the Engineer.
11 -03. MATERIALS AND —WORKMANSHIP
Unless otherwise specifically provided for in the Specifications, all workmanship,
equipment, materials, and articles incorporated in the work covered by this contract are to
be of the best grade of the respective kinds for the purpose. Where equipment, materials, or
articles are referred to in the specifications as "equal to" any particular standard, the Engineer
will decide the question of equality. All work to be done shall be in accordance with Section
86 and all other authorities cited, not including special conditions specifically discussed
herein, the standard specifications shall prevail.
Whenever replacement of material or equipment in accordance with the State specifications
may cause an obvious difference in either the appearance or operation of the system or would
be in any way incompatible with other equipment now in use, the contractor shall so inform
the Engineer, and if approved by the Agency, the contractor may replace such equipment in
kind or in modified form.
Where applicable, all materials shall bear the label of the Underwriters Laboratories,
Incorporated, and all work performed shall conform to the National Electric Code,
hereinafter referred to as the Code, the Electrical Safety Orders of the Division of Industrial
Safety, Department of Industrial Relations of the State of California, and the rules for
overhead and underground line construction of the California Public Utilities Commission,
local ordinances of the Agency, regulations of the local utilities, and to the satisfaction of the
Engineer. All phases of the work are subject to the inspection of the Public Works
Department.
11 -04 MEASUREMENT AND PAYMENT
A. Preventive Maintenance and Normal Traffic Signal Repair
The contractor shall provide all necessary labor, equipment and materials to provide
Preventative maintenance and normal traffic signal repair, as defined herein.
Compensation for this work shall be made at the monthly rate therefore based on the
appropriate unit price schedule.

B. Accident Damage Re air
The contractor shall provide all necessary labor, equipment and materials to provide
accident damage repair as defined herein. Compensation shall be made at the rates
for material, labor and equipment as established by the appropriate unit price
schedule.
C. Signal System Modification Work
The contractor shall provide all necessary labor, equipment and materials to provide
signal modification work as defined herein and as directed by the Engineer.
Compensation for the work shall be in accordance with the unit prices provided for
materials, labor and equipment under Accident Damage Repair.
D. Invoices
The contractor shall submit separate invoices for each traffic signal repair job to the
Engineer for approval by signature. The invoice shall indicate the actual labor (hours
per employment classification and individual classification rates), material, and
equipment units utilized with their cost to the Agency shown together with separate
indication of the profit charges.
E. New Signals
When new traffic signals are accepted into service by the Agency, they will be
included in the contract at the applicable labor, materials and overhead rates
commencing on the date of acceptance of the traffic signal work. The contractor
shall, upon notification by the Agency, begin immediately to service such signalized
intersections and shall provide traffic signal repair and service as required.
Preventative Maintenance and Traffic Signal Repairs shall be provided at the same
rates bid for the existing system.
F. Signals Under Construction
Any necessary service performed on a new traffic signal between the time of turn -on
and acceptance by the Agency will be paid for in the same manner as accident
damage repairs.
G. Signals Under Warranty
New signals which are covered by manufacturer's material and workmanship
warranty shall be serviced by the contractor, as in all other installations on the signal
system, except that where parts or materials are or become defective during this

warranty period, the contractor shall notify the Engineer so that the warranty may be
exercised. The Agency shall be responsible for exercising warranty and paying for
labor, equipment and materials as provided in these specifications.
H. Signal Modifications
Whenever the Agency deems it necessary to make moficiations to existing
equipment, the Engineer shall authorize the contractor to make the necessary
modifications. The contractor shall make such modifications only as authorized.
Payment for such changes shall be at the unit prices listed in the contract documents.
The Agency reserves the right to advertise for competitive bids to effect repairs or
modifications on any system.
I. Authorization
Authorization of Traffic Signal Repair may be given orally when the estimated cost
of traffic signal repairs is less than $1,000.00, and when the estimated cost for traffic
signal repairs is less than $2,500.00. All work in excess of these amounts must be
given in writing by the Engineer.
J. Unit Price Schedule
At all times these Specifications are in effect, the applicable unit price schedule (I,
II or III) shall be determined by the total number of intersections being maintained
for all agencies pursuant to these Specifications. Changes in the total number of
signals being maintained pursuant to these Specifications may occur for the
following reasons:
1. Signalized intersections may be added or deleted by any Agency after the
signal maintenance contract has been let.
2. Some of the Agencies may elect to enter into contracts with the contractor,
having effective dates which are deferred until after the expiration or
termination of existing signal maintenance contracts. Such changes by any
of the Agencies may change the applicable unit price schedule which is the
basis for payment to the contractor by all Agencies.
K. Escalation
One year from the date of the agreement to provide traffic signal maintenance
pursuant to these specifications, and each anniversary thereafter for the life of the
agreement, the unit prices bid will be increased or decreased by the percentage
increase or decrease in the comparable Consumer Price Index.
