RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING LETTER OF AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND TOWN MANAGER
WHEREAS, a Letter of Agreement between the Town of Los Gatos and the Town Manager David W.
Knapp was approved by the Town Council on August 20, 1990; and
WHEREAS, the Letter of Agreement had thereafter been amended on March 2, 1992, October 16, 1992,
September 29, 1993, April 4, 1995 and November 20, 1995 to adjust the Town Manager's compensation when
merited by prior performance and in proportion with increases granted to the Town's other employees; and
WHEREAS, the Town Manager's salary has not been adjusted since 1995; and
WHEREAS, after completing a review of the Town Manager's performance conducted between July 21,
1997 and September 15, 1997, the Town Council has determined that the Town Manager merits an increase in salary
in an amount proportionate with the 5.5% increase granted employees in the Town Employee Association for fiscal
1996 -97 and the 3.5% increase granted the same employees for fiscal 1997 -98.
RESOLVED, by the Town Council of the Town of Los Gatos, County of Santa Clara, State of California,
that the Town of Los Gatos enter into that Amendment to the Letter of Agreement with the Town Manager ( a copy
of which is attached and incorporated herein).
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby directed to execute said
Amendment to the Letter of Agreement in the name and on behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of Los Gatos,
California, held on the 6th day of October, 1997 by the following vote:

AMENDMENT TO TOWN MANAGER h �:
LETTER OF AGREEMENT
This Amendment to Letter of Agreement is entered into this day of
September, 1997 and is effective as of September 4, 1997 by and between the Town of Los
Gatos, a municipal corporation ( "Town ") and David W. Knapp.
RECITALS:
WHEREAS, Town and David W. Knapp executed a Letter of Agreement approved on
August 20, 1990 which was amended by agreements dated March 2, 1992, October 16, 1992,
September 29, 1993, April 4, 1995 and November 20, 1995; and
WHEREAS, between July 21, 1997 and September 15, 1997, the Town Council
evaluated David W. Knapp's performance and determined that it deserves to be rewarded.
IT IS THEREFORE AGREED by the parties as follows:
The Letter of Agreement, as amended, is amended to read as follows:
Increase salary to $9,031 per month effective September 4, 1997
2. The terms and conditions of the Letter of Agreement, except as
herein and previously amended, shall remain in full force and
effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Letter of
Agreement on the date written above, effective September 4, 1997.
