FOR VALUE RECEIVED, the undersigned, Charities Housing Development
Corporation of Santa Clara County, a California nonprofit public benefit corporation ( "Maker "),
hereby promises to pay to the order of Los Gatos Senior Homes LLC, a California limited
liability company ("Holder"), on demand, or in the event no demand has theretofore been made,
on December 31, 2089 (the "Maturity Date "), the amount of Twenty -Five Thousand Dollars
($25,000.00).
If any payment hereunder shall be due on a legal holiday under the laws of the State of
California or any other day on which commercial banks in the City of Santa Clara, California
are obligated or authorized by law to close, such payment shall be made on the next succeeding
business day.
All payments hereunder are payable in lawful money of the United States of America to
Holder at Holder's office located at 1400 Parkmoor Ave, San Jose, California 95126, or such
other place in California as Holder reasonably designates, in immediately available funds. This
Note shall be governed by and construed and enforced in accordance with the laws of the State
of California. No provision of this Note shall alter or impair the obligation of Maker, which is
absolute and unconditional, to pay the principal on this Note in the manner herein prescribed.
Maker and any endorsers of this Note hereby waive diligence, presentment for payment,
demand, notice of dishonor and protest of this Note and further agree that none of the terms or
provisions of this Note may be waived, altered, modified or amended except as Holder may
consent thereto in a writing duly signed for and on its behalf.
IN WITNESS WHEREOF, Maker has caused its duly authorized officer to execute and
deliver this Note as of the date and place first written above.
