1978-087-Authorizing Senior Citizen Transportation AgreementRESOLUTION NO. 1978 -87 A RESOLUTION AUTHORIZING SENIOR CITIZEN TRANSPORTATION AGREEMENT BE IT RESOLVED by the Town Council of the Town of Los Gatos, County of Santa Clara, State of California, that the Town of Los Gatos enter into that AGREEMENT entitled SENIOR CITIZEN TRANSPORTATION AGREEMENT with Yellow Checker Cab Company, Inc., a copy of which is attached hereto, and that the Mayor is authorized and she is hereby directed to execute said Agreement in the name and in behalf of the Town of Los Gatos. MAYOR OF THE TOWN OF LOS GATOS ATTEST: (� � t Q'111177LCa/ CLERK OF TJ5E TO OF LOS GATOS SENIOR CITIZEN TRANSPORTATION AGREEMENT This agreement is made between the Town of Los Gatos (Town), a California general law city, and Yellow Checker Cab Co., a California corporation (Company). The purpose of this agreement is to provide for a special program (the program) to provide for the transportation needs of older and disabled persons in Los Gatos. The parties agree: 1. During the term of this agreement, Company will provide local trip taxi transportation for identified participants at a flat rate to be paid by the Town. 2. Term of Agreement. The term of this agreement is from June 6, 1978 through June 30, 1979, provided, however, that this agreement may be terminated sooner, on thirty (30) days' written notice, given by either party to the other. 3. Local Trip. A local trip is a trip that begins and ends in the area composed of the Town, unincorporated territory of the County of Santa Clara surrounded or virtually surrounded by the Town, and the territory within two- tenths of a mile of the Town limits. 4. Identified Participants. An identified participant is a person who, before the beginning of a trip, shows to the driver of one of Company's taxicabs an identification card issued by the Town showing that he or she is qualified to be a passenger at the rate specified in this agreement and presents to the driver a ticket issued by the Town for use in the program. -1- 5. Use of Tickets. Company will not take tickets from persons other than identified participants, nor for other than local trips. 6. Payment. Besides taking the ticket, Company will not charge identified participants for local trips, except that when either the origin or destination, or both, of the local trip is outside the Town limits and not in unincorporated territory of the County of Santa Clara surrounded or virtually surrounded by the Town, Company will charge the participant an additional $0.25 sum. On presentation by Company, the Town will pay Company $2.10 for each ticket Company has collected in the manner provided in this agreement. 7. Records and Procedures. Company will keep records of the date, time, origin, destination and mileage of every trip made in the course of the program and will present both a copy of the records and the tickets he has collected to the Town monthly within twelve (12) days of the end of the contract month during which the tickets were collected. A contract month is the period including the eighteenth of a calendar month through the seventeenth of the following month. The tickets the Town will issue will be valid for use during the term of this agreement; Company will not accept tickets for rides at any time when the tickets are not valid. Company will preserve for at least six months, and make available to the Town on reasonable notice for inspection and copying, any log of calls for taxi service that is kept in the normal course of business. 8. Price and Availability of Tickets. The parties have discussed a price at which the Town intends to sell the tickets to participants in the program, but this agreement is not intended to regulate that price, and -2- the Town may charge any price it wishes, or no price at all, for the tickets. There is no limit on the number of tickets to be provided by the Town. However, the Town shall only provide tickets to persons who have an identification card. 9. Issuance of Identification Cards. The Town will take reason- able precautions to assure that it issues identification cards only to residents of Los Gatos who are at least 62 years old or who are disabled. 10. Sharing Rides. Company may, when it can do so without undue delay or inconvenience to any of its passengers, transport a participant in the program at the same time as one or more other passengers (who may or may not be participants) and collect a ticket from each participant and fare, on the regular basis, from the nonparticipant passenger or passengers. This Part 10 does not modify the rules of Town Code section 29 -6 requiring that the consent of passengers who are not participants in the program be obtained before additional passengers are accepted, and concerning charges for more than one nonparticipant passenger. Further, where there are more than one participant who share a taxicab from a single place of origin to a single destination, Company may collect only one ticket from the participants. 11. Equal Service. Except as provided in Part 10, Company will provide participants with service of equal quality to that it provides its other customers. 12. Insurance. At all times during the term of this agreement, Company will keep in effect public liability insurance, in policy forms acceptable to the Town, covering its taxicab business in Los Gatos and the -3- vicinity in the following amounts; will have the insurance policies endorsed to show the Town of Los Gatos and its officers and employees, as such, as additional insured; and will deliver to the Town a certificate showing such insurance coverage containing a 30 -day notice of cancellation or other termination clause. ulsumM cvi $100,000 /one person's injury or death $300,000 /one accident resulting in injury or death to more than one person $ 25,000 /damage to property of others resulting from any one accident 13.
