RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO EXECUTE AN AGREEMENT WITH
'PRINTRAK INTERNATIONAL INC. TO PURCHASE NT -BASED MULTICAPTURE
WORKSTATION
WHEREAS, the Town wishes to purchase software and equipment to upgrade the "in- house"
booking system to be Y2K compliant; and
WHEREAS, the Town wishes to upgrade its existing "in- house" booking system to be
comparable with the new system installed by the Santa Clara County Department of Corrections; and
WHEREAS, Printrack International Inc. is the only vendor that can provide the necessary
equipment to communicate and access the database at the Santa Clara County Department of
Corrections; and
NOW THEREFORE, BE IT RESOLVED, by the Town Council of the Town of Los Gatos,
that the Town Manager is authorized to execute an agreement with Printrak International Inc. for the
purchase of equipment and software, and other services to upgrade existing "in- house" booking systems
as attached and incorporated herein as Exhibit A in the name and on behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of Los
Gatos, California, held on the 17th day of May, 1999 by the following vote:

Dear Mr. Bylenga:
This will serve to accept the proposal of Pinnacle Technologies ( "PTI ") dated April 27, 1999 to
the Town of Los Gatos for the purchase of the above referenced equipment, and to establish an
agreement. The terms and conditions of the Agreement are those contained in that proposal, a
copy of which is attached hereto and the contents of which are fully incorporated herein, along
with the following additional conditions:
1. That Pinnacle shall procure and maintain insurance in accordance with Town
standards throughout the term of this Agreement, our concern being that Pinnacle
will have staff working on site for installation and service of the equipment during
the warranty period. I note that Pinnacle has already submitted proof of
insurance.
2. That Pinnacle's obligation to perform under this Agreement shall occur upon
being provided with Town purchase order.
3. That the Town reserves the right to reject any substitute hardware provided by
PTI.
Should you agree with these terms, please indicate so by signing in the space provided below,
and returning same to the Town for final approval. We will provide you with a copy of the fully
executed agreement. A purchase order should follow soon thereafter.
