RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER
TO EXECUTE AN AGREEMENT WITH
JESKELL, INC.
FOR THE PURCHASE OF EQUIPMENT ASSOCIATED WITH
THE COMPUTER SYSTEMS UPGRADE AT THE POLICE DEPARTMENT
IN THE AMOUNT OF $52,196.22
WHEREAS, The CIP Budget provides for the purchase of the Computer
Systems Upgrade; and
WHEREAS, staff recommends the purchase of the hardware for the Computer Systems
Upgrade from Jeskell, Inc.; and
WHEREAS, staff prepared a request for quote and solicited from four hardware
suppliers; and
NOW, THEREFORE, BE IT RESOLVED by the Town Council of Los Gatos, County
of Santa Clara, State of California, that Jeskell, Inc. is declared to be the satisfactory vendor for
the purchase of the hardware for the Computer Systems Upgrade; and
BE IT FURTHER RESOLVED that the Town Manager is hereby authorized and
directed to execute an agreement (Exhibit A) for the purchase of the hardware for the
Computer Systems Upgrade on behalf of the Town in the amount of $52,196.22.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos, California, held on the 19 " day of December, 2005 by the following

THIS AGREEMENT is made and entered into in the Tarn of Los Gatos, County of Santa
Clara, State of Califomia, by and between the TOWN OF LOS GATOS, a municipal corporation
[hereinafter Town), and Jeskell, Inc. [hereinafter Vendor], as of the _ day ,
2005.
RECITALS
(,A,) Quotations were sought by the Town for the purchase described in this Agreement,
and Vendor was found to be the lowest responsible supplier for this purchase.
(B) "Vendor represents that it is a qualified and ,competent supplier of the items to be
purchased under this Agreement.
IT IS AGREED AS FOLLOWS;
Sn n� plies and T .'Vendor hereby agrees to deliver to Town at 110 East Main
Street, Los Gatos, CA. 95030 the items and materials described in Exhibit A hereto.
The terms and conditioner are as follows:
Town shad pay Vendor the amounts defined in Exhibit A, F.0,13-, and
which inolude sales tax and delivery charges. Payment shall be net 30 days
from delivery.
2. ; ' r . The delivery of the items and materials shall be no later than
March 1, 2006. Delivery shall be made between 8:40 a.m. and 4:30 p.m. on
weekdays that are not Town. Holidays.
3, 3 ar ant . Purchase of items and materials will include both a. software and
hardware - maintenance agreement with IBM for a period of 3 years.
