RESOLUTION OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO EXECUTE AN AMENDMENT
TO THE PROFESSIONAL SERVICES AGREEMENT WITH INNOVATIVE
CLAIMS SOLUTIONS, INC., TO EXTEND THE CONTRACT FOR ONE YEAR
TO PERFORM WORKERS' COMPENSATION CLAIMS ADMINISTRATION
WHEREAS, on September 30, 2002, the Town of Los Gatos entered into
an agreement with Innovative Claims Solutions, Inc., to serve as the third party
administrator for the Town's Workers' Compensation program.
WHEREAS, an Amendment to the Agreement is necessary to extend the
agreement for another year to continue services related to Workers' Compensation
administration services.
NOW THEREFORE BE IT RESOLVED, by the Town Council of the Town
of Los Gatos, County of Santa Clara, State of California, that the Town of Los Gatos
enter into an Amendment to the Agreement (Exhibit A) to extend the agreement for
another year with Innovative Claims Solutions, Inc., for Workers' Compensation
administration services, and that the Town Manager is authorized, and is hereby
directed, to execute said Amendment to the Agreement in the name and on behalf of
the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 20 " day of June, 2005 by the following
vote:

AMENDMENT TO THE PROFESSIONAL. SERVICES AGREEMENT
BETWEEN THE TOWN OF LOS GATOS AND
INNOVATIVE CLAIMS SOLUTIONS, INCORPORATED
TO EXTEND THE CONTRACT FOR ONE YEAR TO
PERFORM WORKERS' COMPENSATION CLAIMS ADMINISTRATION
This AMENDMENT TO AGREEMENT is entered into this day of June, 2005 by and between the Town
of Los Gatos, State of California, herein called "Town ", and Innovative Claim Solutions, Inc., herein called
"Consultant."
RECITALS
A. Town and Consultant entered into an agreement to provide services in providing workers' compensation
administration consulting services.
B. Town desires to renew the contract for period of July 1, 2005 through June 30, 2006.
AMEND
1. Section 3 "Time of performance" of the Agreement is hereby amended to provide that the term of the
Agreement is for a period of one year July 1, 2005 through June 30, 2006.
2. Exhibit C "Compensation" of the Agreement is hereby amended to reflect that the Town pay Consultant a
fixed monthly fee of $3,357.00 monthly, totaling $40,284.00 for the period of the Agreement.
3. All other terms and conditions of the Agreement dated September 30, 2002 remain in full force and effect.
IN WITNESS WHEREOF, the Town and Consultant have executed this Agreement as of the date indicated
on page one (1).
