RECOMMENDATION
Authorize the Town Manager to execute the License Agreement between the Town of
Los Gatos and Los Gatos little League.
BACKGROUND
Los Gatos Little League is organized and chartered under the rules of Little League
Baseball, Inc. and the laws of the State of California, to provide organized baseball team
practice and competition for Los Gatos youth aged four (4) to fourteen (14). The Little
League has conducted operations at Baggerly and Balzer Fields under a license
agreement with Town since 1958. The license agreement has been extended twice, and is
now due to expire on February 28, 2011. The Town and Los Gatos Little League each
desire a new agreement between them setting forth the specific terms under which the
Little League may use Baggerly and Balzer Fields, the responsibility for maintenance of
the fields, the responsibility for the costs related to the use of the fields, and the
circumstances under which the Little League may make capital improvements to the
fields.
DISCUSSION
Negotiations with Los Gatos Little League on the terms of this License Agreement have
focused on the terms for exclusive use and maintenance of Balzer Field and Blossom Hill
Park- Baggerly Field. The main proposed terms of the license agreement are as follows:

1. The term of the agreement is 5 years, with an option of annual renewal for an
additional 5 years.
2. Exclusive use of Balzer Field and Baggerly Field during the following
periods:
a. Saturdays and Sundays from January to July;
b. Monday through Friday from 2:30 p.m. to dusk from February to July,
and September through October;
c. Saturdays and Sundays in September and October.
d. During designated Los Gatos Unified School District Vacation Days,
use from opening until dusk. LGLL shall be required to provide the
town a written list of such designated vacation days at the begimming of
each calendar year.
e. There are no designated use times in August, November, or December.
3. Los Gatos Little League will pay the Town $350 /month to cover a portion of
the cost of utilities for each park.
4. Los Gatos Little League will be responsible for the maintenance of the
facilities excluding the parking lot and restroom areas.
5. Los Gatos Little League will pay for half of any Capital Improvements
deemed necessary by the Town, with a maximum cap of $25,000. Los Gatos
Little League may make these payments in increments of $5,000.
6. Los Gatos Little League will be allowed to continue the use of sponsorship
banners on the outfield fences of Baggerly and Balzer Fields. These banners
shall be no greater than 4ft x 6 ft, and may only be displayed between
February I" and July 31" of each year.
CONCLUSION:
Staff is recommending that the Town Couu7cil authorize the Town Manager to execute the
License Agreement between Town of Los Gatos and Los Gatos Little League.
FISCAL IMPACT:
The proposed license agreement will provide utility cost sharing for Balzer Field and
Blossom Hill Park at approximately $4,200 per year. Payments will be made to the
Town by Los Gatos Little League on an annual basis as reimbursement for their share of
utility costs.

LICENSE AGREEMENT FOR USE OF BAGGERLY
AND BALZER FIELDS WITH THE LOS GATOS LITTLE LEAGUE
This LICENSE AGREEMENT is entered into this day , 2011,
by and between the Town of Los Gatos, State of California ( "Town "), and Los Gatos Little League, a
California nonprofit corporation ( "Licensee ").
RECITALS
A. Town is the owner of two (2) baseball facilities, one located in Blossom Hill Park and commonly
known as Baggerly Field, and the other located at 41 Miles Avenue and commonly known as
Balzer Field, each described more fully below.
B. Licensee is organized and chartered under the rules of Little League Baseball, Inc., and the laws
of the State of California, to provide organized baseball team practice and competition for Los
Gatos youth aged four (4) to fourteen (14).
C. Licensee has conducted baseball programs at Baggerly and Balzer Fields under contracts with
Town since 1958.
D. Town and Licensee each desire that Licensee continue to conduct its program at Baggerly and
Balzer Fields.
E. Town and Licensee each desire a new agreement between them setting forth in specific terms the
circumstances under which Licensee may use Baggerly and Balzer Fields, responsibility for
maintenance of the fields, responsibility for the costs related to the use of the fields, and the
circumstances under which Licensee may make capital improvements to the fields.
AGREEMENT
NOW, THEREFORE, THE PARTIES HERE TO AGREE AS FOLLOWS:
Premises Licensed The following is the Premises that is the subject of this License Agreement:
(a) Baggerly Field at Blossom Hill Park, consisting o£
(i) One baseball diamond, including infield and outfield grass, and dirt
(ii) Fences surrounding the field of play
(iii) Bleachers
(iv) One electronic scoreboard
(v) Restroom/ snack shack building (includes one storage room and 2 bathrooms)
(vi) Two dugouts
(b) Balzer Field at 41 Miles Avenue, consisting of:
(i) One baseball diamond, including infield and outfield grass, and dirt

2. Licensed Use of Premises Licensee shall be entitled to exclusively use the Premises, except
bathrooms and parking, which are open to the public at large, during the following days /times:
(a) During the period from January 1 and January 31, on Saturdays and Sundays from the time of
the opening of the Premises pursuant to the policies and procedures of the Town until dusk.
(b) During the period from February 1 and July 31:
(i) On Monday through and including Friday, from two thirty (2:30 p.m.) to dusk.
(ii) During designated Los Gatos Unified School District Vacation Days, use will be
from opening until dusk. LGLL shall be required to provide the town a written list of
such designated vacation days at the beginning of each calendar year.
(iii) On Saturdays and Sundays only, from the time of the opening of the Premises
pursuant to the policies and procedures of the Town, until dusk.
(c) During the period from August 1 and August 31, there shall be no designated exclusive use
times. Use may be requested by LGLL through the Town and, granted if the Premises are
available.
(d) During the period from September 1 and October 31:
(i) On Monday through and including Friday, from two thirty (2:30 p.m.) to dusk.
(ii) During designated Los Gatos Unified School District Vacation Days, use will be
from opening until dusk. LGLL shall be required to provide the town a written list of
such designated vacation days at the beginning of each calendar year.
(iii) On Saturdays and Sundays only, from the time of the opening of the Premises
pursuant to the policies and procedures of the Town, until dusk.
(e) During the period from November 1 and December 31, there shall be no designated exclusive
use times. Use may be requested by LGLL through the Town and, granted if the Premises are
available.
(f) Notwithstanding the exclusive right to use the Premises during specified periods as set forth
herein, Town retains the right to enter the Premises at any time so long as the entry does not

unreasonably interfere with Licensee's use of the Premises. Town reserves the right to enter
Premises at any time for emergencies.
3. Term of License Unless terminated pursuant to the terms of this Agreement, this
License Agreement shall expire five (5) years from , 2011 (the date approved by the
Town of Los Gatos Town Council.). The term of this License may be extended for one additional five (5)
year period upon mutual written consent of the parties.
4. Maintenance Licensee shall be fully responsible for maintaining the Premises, excluding the
restrooms and parking areas. Licensee shall pick up and dispose of litter, trash or recyclables in
the restrooms and parking areas during the hours of exclusive use of the Premises as described in
Section 2 above. This maintenance shall include but is not limited to: cutting, fertilizing,
watering, weed control, and when necessary replacing grass areas, dragging and filling holes in
the dirt areas, repairing and replacing premises fencing and backstops, cleaning and repairing
scoreboards and bleachers, and repairing irrigation facilities on the premises. The snack shack
shall be maintained in a clean and sanitary condition, and shall comply with all regulations
regarding food service. Trash and recyclables must be properly disposed of. Town shall have the
right to approve any vendor used by Licensee for landscape maintenance. Licensee shall submit
information about any proposed landscape maintenance vendor not less than 60 days prior to
changing landscape maintenance companies.

5. Capital Improvements and Repairs
(a) Licensee shall not undertake any capital repairs or improvements to the Premises without first
obtaining the written consent of Town and without obtaining all permits and approvals as
required by Town Code, policies and guidelines, or as otherwise required by law.
(b) Should it become necessary to make any capital repairs or improvements to the common
buildings (restrooms /snack shack) of the Premises, including roof or plumbing repairs or
replacement, Licensee shall pay its proportional share of those costs which is hereby agreed
to be fifty percent (50 %), but shall not exceed a total of twenty -five thousand dollars
($25,000) over the initial term of this License Agreement. In the event that the cost of any
capital repair or improvement exceeds five thousand dollars ($5,000), Licensee may make
periodic payments of the amount in excess of five thousand dollars ($5,000) over the
remaining initial term of this License Agreement. In no event shall any periodic payment be
made in an amount less than five thousand dollars ($5,000) per year. The necessity of such
repairs or replacements shall be determined at the sole discretion of Town, which shall
provide Licensee with sixty (60) days written notice of its intent to undertake any such
project. Town shall make all reasonable efforts to schedule repairs and replacements at dates
and times that will minimize impact on Licensee's operations, which shall include consulting
with Licensee prior to scheduling any such work. Licensee shall cooperate to the fullest
extent reasonable with Town's efforts to complete repairs or replacements. Town shall
invoice Licensee for its share of repair or replacement costs, which shall be paid by Licensee
within thirty (30) days of the invoice date.
(c) In no event shall Town be responsible for the cost of any capital improvements or repairs to
the Premises other than to the common buildings as described herein. Licensee shall be

solely responsible for all damage to the Premises or other property, whether real or personal,
including broken glass, resulting in any way from Licensee's use of the Premises. Licensee
shall report to Town the occurrence of all such damage within twenty -four (24) hours of
occurrence or knowledge by licensee, or, in the case of damage occurring between 5:00 p.m.
on Friday through dusk the following Saturday, by no later than 9:00 a.m. the following
Monday. Licensee shall not be responsible for any damage to Premises that occurs not
related in any manner from Licensee's use of the Premises.
(d) Any capital improvements or repairs, whether undertaken or paid for in whole or in part by
Town or Licensee, shall be the sole property of Town and shall remain with the Premises
upon expiration or termination of this License.
Utility Costs Except as provided in paragraph 4(b) of this License Agreement, Licensee shall
pay the costs of providing water, power and sewer services to the Premises which is hereby
agreed to be three hundred fifty dollars ($350) per month. The parties shall renegotiate the
amount to be paid by Licensee in the event of a significant increase in the costs of providing
water and power to the Premises.
Payment Licensee shall make all payments, whether or not invoiced by Town, required pursuant
to paragraphs 4, 5 and 6 herein on July 1 of each year that such payments are due. All payments
shall be made in the form of a cashier's check or other form of payment satisfactory to Town and
shall specifically reference this License Agreement. All payments shall be mailed by first class
mail or delivered in person and addressed as follows:

8. Assignment Licensee shall not assign any portion of this License, or allow any use of the
Premises by any other person or entity contrary to the terms of this License Agreement, without.
prior written approval of Town. This prohibition shall not extend to any person or entity using
the Premises during the dates and times that use is not exclusive to Licensee.
9. Personal Property Personal property of Licensee shall be Licensee's sole responsibility to
acquire, repair, replace and store. Licensee shall remove its personal property at the expiration or
termination of this License Agreement. Any personal property not so removed shall become the
sole property of Town.
10. Insurance
(a) Minimum Scope of Insurance:
(i) Licensee agrees to have and maintain, for the duration of the contract, General
Liability insurance policies insuring the Licensee, its officers and employees to an
amount not less than: one million dollars ($1,000,000) combined single limit per
occurrence for bodily injury, personal injury and property damage. Insurance is to be
placed with insurers with a current Best's rating of no less than B +.
(ii) Licensee agrees to have and maintain for the duration of the contract, an Automobile
Liability insurance policy insuring the Licensee, its officers and employees to an

amount not less than one million dollars ($1,000,000) combined single limit per
accident for bodily injury and property damage.
(iii) Licensee shall provide to the Town all certificates of insurance, with original
endorsements effecting coverage. LICENSEE shall provide all certificates and
endorsements before term of License begins.
(b) General Liability:
(i) The Town, its officers, employees and volunteers are to be covered as additional
insured as respects to liability arising out of activities occurring on or related to the
occupancy and use of the Premises by the Licensee.
(ii) The Licensee's insurance coverage shall be primary insurance as respects the Town,
its officers, officials, employees and volunteers. Any insurance or self - insurance
maintained by the Town, its officials, employees or volunteers shall be excess of the
Licensee's insurance and shall not contribute with it.
(iii) Any failure to comply with reporting provisions of the policies shall not affect
coverage provided to the Town, its officers, officials, employees or volunteers.
(iv) The Licensee's insurance shall apply separately to each insured against whom a
claim is made or suit is brought, except with respect to the limits of the insurer's
liability.
(c) All Coverages. Each insurance policy required in this Paragraph 10 shall be endorsed to state
that coverage shall not be suspended, voided, canceled, reduced in coverage or in limits
except after thirty (30) days' prior written notice by certified mail, return receipt requested,
has been given to the Town. The Licensee shall ensure that current certification of such
insurance is on file at all times during the term of this agreement with the Town Clerk.
(d) Workers' Compensation. In addition to these policies, Licensee shall have and maintain
Workers' Compensation insurance as required by California law. Further, Licensee shall
ensure that all contractors employed on the Premises by the Licensee provide the required
Workers' Compensation insurance for their respective employees.
(e) Property Insurance. Town shall have no obligation to maintain any insurance of the Premises
or any personal property placed on the Premises. Licensee shall be solely responsible for
obtaining whatever insurance coverage that the Licensee believes may be appropriate to
protect and indemnify the licensee for loss to the Premises or to any personal property that
the Licensee may place on the Premises.
11. Taxes Licensee shall pay to the County of Santa Clara or the State of Califomia any and all
taxes that may be due for use and occupancy of the Premises when the taxes are due, and the
Licensee shall pay all permit, inspection, and license fees, and other public charges or
assessments that arise from the Licensee's use or improvement of the Premises during the term of
this License Agreement.
12. Indemnification Licensee agrees to indemnify, hold harmless, and defend the Town, its officers,
employees, volunteers, and agents, from and against any and all damages, claims or liability,

penalties, costs or expenses in law or equity that may at any time arise from any loss, damage, or
injury to persons or property occurring in or about the Premises that arises out of or incident to
the Licensee's use of the Premises, including use by anyone that the Licensee has permitted or
allowed to use the Premises. This obligation to indemnify, hold harmless, and defend applies
whether or not the incident or claim or liability is or may be related to negligence on the part of
the Town.
13. Damage and Destruction
(a) Damage or destruction of any portion of the Premises by any cause shall not terminate this
License Agreement or otherwise affect the respective obligations of the two parties, any
present or future law to the contrary notwithstanding, except pursuant to the provisions of this
Paragraph 12.
(b) If because of the destruction or damage to the Premises, the Premises is entirely unsuitable or
inadequate for the use specified herein, Licensee shall be entitled to a pro rata rebate of the
fee paid to the Town calculated by multiplying the daily fee by the number of days remaining
on the term of this License Agreement after the date of the damage or destruction of the
Premises.
(c) Under no circumstances does the Town have any obligation to provide the Licensee with an
alternative property to conduct its operations, and the Licensee is solely responsible for
obtaining such insurance as the Licensee deems appropriate to protect its interests should
damage or destruction to the Premises occur.
14. Compliance with Town Code Licensee shall comply with all provisions of the Town Code,
including the provisions of Chapter 19 of the Code concerning Parks and Recreation, except that
Licensee shall not be required to obtain use permits.
15. Termination
(a) Should Town terminate prior to the end of the term of this License Agreement, Licensee shall
be entitled to a pro rata rebate of the amount equal to the daily fee multiplied by the number
of calendar days of the term remaining after the effective date of termination.
(b) Licensee shall promptly terminate its use of the Premises at the termination of this License
Agreement, leaving the Premises in the same condition it was received, in good order and
repair, reasonable wear and tear and damage by the elements excepted. All improvements
and alterations made by the Licensee shall become the Premises of the Town upon
termination of the License Agreement. Any improvement, fixture or personal property not
removed by the Licensee within thirty (30) days of the termination of this License Agreement
shall become the property of the Town and may be disposed of as the Town in its sole
discretion deems advisable.
(c) License shall continue in full force and effect unless prior to February I st of any calendar year
of the License, Licensee provides written notice to Town Manager and Director of Public
Works that Licensee desires to terminate the License for convenience and, upon such notice,
the License Agreement shall terminate on June 30 of the same calendar year.
16. No Property Rights Nothing in this License Agreement is in any way intended to establish,
convey, create or otherwise grant to Licensee any form of property rights in the Premises, nor

shall such rights be established, conveyed, created or otherwise granted by Licensee's use of the
Premises pursuant to this License Agreement. Licensee hereby acknowledges that is currently
has no property interest in the Premises or any improvements thereto or fixtures location thereon,
and that any claim it may have to same is hereby and forever waived.
17. Notices Notices to be given under this License Agreement shall be addressed as follows:

Notices shall be delivered by first class, postage prepaid mail or in person. If mailed, a notice
shall be deemed effective on the fifth day following deposit in the U.S. Mail.
18. Waiver No failure on the part of either party to exercise any right or remedy hereunder shall
operate as a waiver of any other right or remedy that party may have hereunder, nor does waiver
of a breach or default under this License Agreement constitute a continuing waiver of a
subsequent breach of the same or any other provision of this License Agreement.
19. Entire Agreement This License Agreement constitutes the complete and exclusive statement of
the License Agreement between Town and Licensee. No terms, conditions, understanding or
agreements purporting to modify or vary this License Agreement, unless hereafter made in
writing and signed by the party to be bound, shall be binding on either party.

RECOMMENDATION
1. Consider Los GatosLittle League's request (Attachment 1) to install sponsorship banners onthe
outfield fence at Baggerly Field and Balzar Field.
2. Adopt resolution (Attachment 2) authorizing the Town Manager to approve an amendment to
the license agreement with Los Gatos Little League to allow installation of sponsorship banners
on the outfield fence at B aggexly Field and Balzar Field.
BACKGROUND
In May 1996, Los Gatos Little League requested that the Town of Los Gatos consider renaming the
Blossom Hill Little League `Baggerly Field." In March 1997, the Town Council authorized the
naming Blossom Hill Little League field at Blossom Hill Park `Baggerly Field." As noted in the
minutes of the meeting, the Town Council also stated that no further sign be added to the outfield
fence but that donors to the Little League could have their name displayed (Attachment 3).

DISCUSSION
Staff received a request dated January 6, 2006 from David Burt, Events Coordinator, of the Los
Gatos Little League to display sponsorship banners on the outfield fences at Baggerly Field and
Balzer Field. With the loss of fields at the schools, new field locations are needed due to the school
construction and there is a cost associatedwith using them. The Leagae has leased fields from Union
SchoolDishict, Los Gatos High School, and the Jewish Community Center. The additional cost to
the league has strained their budget and the league has raised player registration fees. Fees from the
sponsorship banners wouldhelp offsetthe increase infieldcosts aswould sponsorship banners. The
sponsorship banners would be approximately four feet tall by six feet wide and would be placed in
the inside of the outfield fence. The b anners would go up no sooner than one week prior to the day
of the first official season game and come down no later than one week after the last official game.
Approving this request of the Little League to add sponsorship signs to the outfield walls will require
the Town Council to amend the current agreement, which does not address this issue.
The minutes of the March 3. 1997 Council meeting reflect an intent at the time, and this amendtent
to the agreement of July 28, 2005 with the Little League will clarify the agreement by specifically
allowing the placement of sponsorship banners during the Little League season.
CONCLUSION

Re: Sponsor Banners at Baggerly and Balzer Fields
Los Gatos Little League is requesting permission from the Town to display sponsorship barmers
at Baggerly Field and Balzer Field for the duration of the 2006 baseball season.
With construction at Dave's Avenue and Blossom Hill Schools we, have lost most of our baseball
fields for one or two years and are leasing space from the Union School District, Los Gatos High
School and the ICC. This additional cost is putting quite a strain on out budget even though we
have raised the player registration fees for the 2006 season:
In addition to creating a community partnership with our organization, these temporary banners
would help us generate enough revenue to continue the Little League program through these
difficult budgetary times. Most Little League Baseball groups in our area, including Saratoga and
Lincoln Glen, have bad local business sponsorship banners posted at their fields for years. It's
just a part of their program. In fact, several Los Gatos businesses have purchased signs at the
Saratoga Little League field because we haven't had it available here in our town. When I played
Little League Baseball.'here in Los Gatos, we bad local businesses names on our hats and
j erseys... Sporleader Shell, La Hacienda and Villa Felice to name a few. Local business
sponsorship is and always will be apart of Little League Baseball
Our signs would be approximirmly four feet tall by six feet Ride and facing in toward the field at
-- - field level. * They would very difficult to see from anywhere - outside -the baseball -field itself .- -- -- - - - - - and shouldn't create any issues with the neighbors of both fields. They would be professionally
constructed and similar in size and design. We would put them up at the beginning of the
_ baseball season and take them down at its conclusion. Below is an example of a Sarato ga Little
League sign.

Last year Saratoga Little League sold 60 sponsorship banners which hang at Congress Springs
park all season long. We. have not set any pricing as yet, but expect that we could hang thirty at
each field.

WHEREAS, on July 28, 2005, the.Town approved alicense agreement with Los Gatos
Little League for the use of Baggerly and Balzer Baseball Fields.
i WHEREAS, Los Gatos Little League has requested an amendment to their
license agreement to allow the installation of sponsorship banners on the outfield fence at
Baggerly Field and Balzar Field,
RESOLVED, by the Town Council of the Town ofLos Gatos, County of Santa Clara,
State of Cali forma, that an amendment to the License Agreement with L6 Gatos Little League may
be approved by the Town Manager to allow for the installation of sponsorship banners on the
outfield fence at Baggerly and Balzer Baseball Fields.
