APPROVING AN AGREEMENT FOR PROFESSIONAL SERVICES IN CONNECTION WITH THE DESIGN OF THE STREET REPAIR AND RESURFACING PROJECT D2-17 WHEREAS, on June 18, 2001, the Town Council/Redevelopment Agency of the Town of Los Gatos adopted its budget for the period 2001-2006; and WHEREAS, the budget includes funding for the Consultant Services for the Street Repair and Resurfacing Project; :and WHEREAS, it is necessary for the Council/Agency to secure professional engineering assistance to complete the final design of the Street. The Town/Agency is considering undertaking activities to develop its 2002 Street Repair and Resurfacing Project. B. The Town/Agency desires to engage-an Engineering Design Consul ant o provide consulting- . services in conj unction with Project 02-17 - S reet Repair and Resurfacing. Program because of Consultant's experience and qualifications to perform the desired work.. C. The Consultant represents and affirms that it is qualified and willing to perform the desired work pursuant to this Agreement. AGREEMENTS NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS: 1. Scope of Services. The Consultantshall provide the following services .listed below.. A. Research .and data gathering B. Preparation of Project Base maps C. Pavement Evaluation and Geotechnical related work D. Project Design.and Preparation of Construction Documents E. Project Assistance During Bidding Period F. Project .Assistance during Construction period A. Time of Performance. The services of the Consultant are to commence upon the execution of this Agreement and issuance of an Agen~~urchase order, with completion of the program by June 30, 298` as provided for in Consultant's proposal (attached hereto as Exhibit "A" and incorporated by reference herein). B. Compliance with Laws. The Consultant shall comply with all applicable laws, codes, ordinances, and regulations of governing federal, state and local laws. Consultant represents and warrants to Town/Agency that it has all licenses, permits, qualifications and approvals of whatsoever nature which are legally required for Consultant to practice its profession. Consultant represents and warrants to Town/Agency that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Agreement any licenses, permits, and approvals which are legaliyrequired for Consultant to practice its profession. Consultant shall maintain a Town of Los Gatos business .license pursuant to Chapter 14 of the Code of the Town of Los Gatos. ~...J C. All reports, information, data, and exhibits prepared or assembled' by Consultant in connection with the performance of its services pursuant to this Agreement are confidential until released. by the Town/Agency to the public, and the Consultant shall not make any of the these documents or information available to any individual or organisation not employed by the Consultant or the Town/Agency without the. written consent of the. Town/Agency before such. release, The. Town/Agency acknowledges that. the: reports to be prepared by the Consultant pursuant to this Agreement are for the purpose of evaluating a defined project, and Town/Agency's use of the information contained in the reports prepared by the Consultant in connection with other projects shall be solely at Town/Agency's risk, unless Consultant expressly consents to such use in writing. Town/Agency further agrees that it will not appropriate any methodology or technique of Consultant which. is and has been confirmed in writing by Consultant to be a trade secret of Consultant. B. Compensation. Compensation for Consultant's professional services steal l not exceed $ 264,271, and. payment shall be based upon Town/Agency's approval of each. task. Billing shall be accompanied by a detailed explanation of the work performed by whom at what rate and' on what date. Also, plans, specifications, documents or other pertinent materials shall be submitted for Town/Agency review,. even. if only in partial or draft form. Payment shall be net thirty (30) days. Independent Contractor.. It is understood that the Consultant, in the performance of the work and services agreed to be performed, shall act as and be an independent contractor and not an agent or employee of the Town/Agency. As an independent contractor he/she shall not obtain any rights to retirement benefits or other bene:fits which accrue to Town/Agency employee(s). With prior written consent, the Consultant may perform some obligations under this Agreement 'by subcontracting, but may not delegate ultimate responsibility for performance or assign or transfer interests under this Agreement. Consultant agrees to testify in any litigation brought regarding the subject of the work to be performed .under this Agreement. Consultant shall be compensated for its costs and expenses in preparing for, traveling to, and testifying in such matters at its then current hourly rates of compensation, unless such litigation is brought by Consultant or is :based on allegations of Consultant's negligent performance or wrongdoing. K. Conflict of Interest. Consultant understands that its professional responsibilities is solely to the Town/Agency. The Consultant has and shall not obtain any holding or interest within the Town/Agency of the Town of Los Gatos. Consul ant has no business holdings or agreements with any .individual .member of the Staff or management of the Town/Agency or its representatives nor shall it enter into any such holdings or agreements. In addition, Consultant warrants that it does not presently and shall not acquire any direct or indirect interest adverse to those of the Town/Agency in the subject of this :Agreement, and it shall immediately disassociate itself from such an interest should it di cover it has done so and shall, at the Town/Agency's sole discretion, divest itself of such interest. Consultant shall not knowingly and shall take reasonable steps to ensure that it does not employ a person having such an interest in this performance of this Agreement. N. Insurance, A. Minimum Scope of Insurance.: i, Consultant agrees to have and. maintain, for the. duration of the contract, General Liability insurance policies insuring him/her and his/her firm to an amount not Iess than: one million dollars ($1,000,000) combined single limit per occurrence for bodily injury, personal injury and property damage. ii. Consultant agrees to have and maintain for the duration of the contract, an Automobile Liability insurance. policy ensuring. him/her and his/her staff to an amount not. less than. one m lion dollars ($1,OD0,000) combined single limit per accident for bodily injury and property damage. iii. Consultant. shall provide to the Town/Agency all certificates of insurance, with original endorsements effecting coverage. Consultant agrees that alt. certificates and endorsements are to be received and approved by the Town/~gency before. work commences. iv. Consultant agrees to have and maintain, for the duration of the contract, professional liabil%ty insurance in amounts not less than $1,000,000 which is sufficient to insure Consultant for professional errors. or omissions in the performance of the particular scope of work. under this .agreement. B. General' Liability: i. The Town/Agency,. itsofficers, officials, employees and'volunteers are to be covered. as insured asrespects; liability arising out ofactvities performed by or on behalf of the Consultant;. products 'and. completed operations of Consultant, premises owned or used by the Consultant. This requirement does not apply to the professional' liability insurance required for professional errors .and omissions. ii. The Consultant's insurance coverage shall be primary insurance as respects the Town/Agency, its officers, officials, employees and volunteers, Any insurance or self-insurances maintained by the Town/Agency, its officers, officials, employees or volunteers shall be excess of the Consultant's insurance and shall not contribute with it. iii. ~'' •y failure to comp y with reporting pry 'lions of .the policies shall not a~~ect coverage .provided to the Town/tigency, .its officers, officials. employees or volunteers.. iv. All Coverages: Each insurance policy rrequired in this item shall be endorsed to state that coverage shall not be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30) days' .prior written .notice by certified mail, return receipt requested, has been given to the Town/Agency. Current certification of such insurance shall be kept on file at ali times during the term pf this agreement with the Clerk/ ecretary of the Town/Agency. D. In addition to these poticies, Consultant shall have and maintain Workers' Compensation insurance as required by California law and shall ..provide. evidence of such policy to the Town7Agency before beginning services under this Agreement. Further, Consultant shall ensure that all subcontractors employed by Consultant provide the required Workers' Compensation insurance for their respective employees. O. Indemnification. The Consultant shall save, keep and. hold .harmless indemnify and defend the Town/Agency its officers, agent, employees and volunteers :from all damages, liabilities, penalties, costs, or expenses in law or equity that .may at any time arise or be set up because of damages to' property or personal .injury received by reason of, or in he course of ;performing work which may be occasioned by a wi'Ilful or negligent act or omissions of the Consultant, or any of the Consu'ltant's officers, employees, or agents or any subeonsultant. P. Waiver. No failure on the part of either party to exercise any right orremedy hereunder shall.operate as a waiver of any other right or remedy that party may have .hereunder, nor does waiver of a breach or default under this Agreement constitute a continuing waiver ofa subsequent breach of the same or any other provision of this Agreement. Q. Governing Law. This Agreement, regardless of where executed, shall be governed by and construed to the laws of the State of California. Venue for any action regarding this Agreement shall be in the Superior Court of the County of Santa Clara. R. Termination of Agreement. The Town/Agency and the Consultant shall have the right to terminate this agreement with or without cause by;giving not less than fifteen (15) days written notice of termination. In the event of termination, the Consultant shall deliver to the Town/Agency all plans, files, documents, reports, ,.performed to date by the Consultant. In the event of such termination, Town/Agency shall pay Consultant an amount that bears the same ratio to the maximum contract ,price as the work delivered to the Town/Agency bears to completed services contemplated under this Agreement pursuant to Attachment 2 hereto, unless such termination is made for cause, in which event, compensation, if any, shall be adjusted in light of the particular facts and circumstances invo ved in such termination, S. - : Amendment. No modification, waiver,. mutual. termination, or amendment of this Agreement is effective unless made in writing and signed by the Town/Agency and the ConsultanC. T. Disputes. In any dispute over any aspect of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees, including costs of appeal. U. Entire A reement. This Agreement, including Attachment 2, constitutes the complete. and exclusive statement of the Agreement between Town/Ageney and' Consultant. No terms, conditions, understandings or agreements purporting to modify or vary this Agreement, unless hereafter made in writing and' signed. by the party to be bound,, shall be binding on either party.. Sheehy Vice President, Civil Engineering Tuwrr of Lvs Gatos Pavement Reconstruction Program R--G Project Description ' As discussed at the re- ro osal conference the Town's Fiscal Year 02/03 Pav p p p ement Resurfacing Program is part of the Town's Capital Improvement Program, being a continuation ' of the Town's ongoing street maintenance program. A map of the Town was provided at the .conference that identifies those streets included in the. Fiscal Year 02/03 Project. This map shows approximately 90 separate streets, or portions of streets, scattered throughout the Town. These ' streets, totaling nearly 18 .lineal .miles, range from local neighborhoods with relatively flat grades, to steep, winding streets in the. foothills :east of Los Gatos :Boulevard'. Other streets include the congested Main S reet around. the Civic Center and downtown, as well as side streets ' in the downtown area. The p an shows three different levels of resurfacing treatment, .ranging from a slurry seal {approximately 44,000 lineal feet of street); to asphaltic concrete (AC) overlay {approximately 40,000 lineal feet of street) to full reconstruction (approximately 12,000 lineal ' feet of street). For those streets identified to receive either slurry seal or AC overlay, we understand the intent is to remove failed portions of existing pavement by "dig-out" prior to the surface treatment. In addition, existing. cracked, broken or up-lifted .curb and gutter :along the ' project streets will be reconstructed as a part of the project. The Towns budget for thi Pavement Resurfacing Project is $3.7 million. During the preparation of this :proposal, Ruth and Going. staff .drove many of the project streets. It was observed that the streets are varied in condition and have differing levels of existing improvements. Some of the streets have existing curb and gutter, while .only portions of other streets are fully improved. .Many of the streets have no existing .curb and gutter, but rather have only: an earthen shoulder. In the hills, the streets typically have an :unlined wale paralleling the edge. of pavement. Where no curb and gutter exist, the pavement is often broken and uneven. ' Since it was raining on the day of the visit, pondng water was observed in many areas, showing signs of flat cross or longitudinal slopes. Corrections of existing drainage deficiencies is not within the cope of this proposal. I-Iowever, where possible on those streets receiving an AC ' ovet~lay, existing :substandard cross slopes might be improved by increasing the thickness of .the pavement overlay at the crown. :Scope of Seruices. ' The design scope for this project is somewhat 'broadly defined because of the nature of pavement evaluation .and reconstruction. Therefore; for purposes of establishing a basis of proposing a fee for the design services, we propose the following Scope of Services. L i_ u Research and Data Gathering: The first Task after receipt of authorization to proceed -wild be for the project Team to become .more familiar with the project. During this Task, the Team will :gather the available data, including the previously prepared Pavement Management Study and all design plans for the streets identified as being in the Pavement Resurfacing :Project. Team members will contact the various utility companies and agencies to obtain available plans and information fo identify the location, type and size of utilities that exist within the streets scheduled. for reconstruction. Town o~'Los Gntos Pcrvensent Reconstruction .Program Prrge 1 R-G While data is being gathered','Team members will conduct a field review of each of the streets ' with Public Works staff from the Town. The purpose of the Held' review will be to identify and come to concurrence as to precise limits of the work, areas where subsurface geotechnical borings should be conducted, and areas. where existing curb and. gutter should be replaced. The ' limits o€ concrete replacement, "d'ig-outs", etc.,. will be identified with paint in the field, and ultimately shown. on the design plans. Geotechnical and Pavement. Evaluation: The identification. of the streets within this year's Pavement Resurfacinng Project is based on the findings of the Pavement- Management. Study prepared for the Town. several years ago. Since that Study was prepared. several years ago, of particular importance to the project will be the validation that the Endings of the Study are still applicable today. For example, it 'must be determined if the recommendation to slurry seal. a street is the correct answer for the street. as it exists today, or if the street more properly requires an AC overlay. Whenever the evaluation disagrees with the recommendation of the Study, a new recommendation will. be provided. Therefore, the. Team's geotechnicaI and pavement consultants,. Parikh Consultants and Chec Consultants,. will review the previously prepared Pavement Management Study and other available as-built plans. In addition, they will perform a visual review of each street planned. for work iii. the project, noting defects; traffic levels and other pertinent factors. Lastly, Parikh Consultants will drill borings and collect R-value samples. for the pavement design at up to 9 separate locations throughout the project. There is no additional field exploration or Dynaflect testing, proposed. It is assumed that by scheduling the borings to be done early in the day that formal traffic control' will' not be required. Therefore,: other than placement of cones,, this scope specifically excludes traffic control. The and' result. of this multi-prong evaluation will. be to agree or disagree with the Study's recommendations for each of the protect streets. The findings will be surnrnarized in a report that wil'1 provide an obj;ectiwe, independent appraisal' of the findings and' recommendations outlined in the original Pavement Management Study, together with an analysis of the field exp#orations performed as a part of this project. While this report wild. not be a full geotechnical or pavement report, it wily provide design recommendations for pavement structural sections based on Traffic Index values provided. by the Town for each street. Preparation of Base Mappings Base sheets for the design of the project :are envisioned to be 5-0 scale digitally rectified. aerial photographs of the project. streets on 24 x 36 inch sheets. Where the streets are linear, they will be stacked' two or three to a sheet in order to minimize the total number of sheets. Where there is a cluster of streets,. such. as the Garden Hi '1 or Hernandez/Pennsylvania/Wissahickon neighborhoods, it is envisioned that: the entire cluster will be shown in plan view on as few sheets as possible. Unfortunately,. rectified aerial photographs. are not conduci.we to the topography found along in the hills east. of Los Gatos Boulevard. Therefore,: our project photogramrnetrist, Aero-Geodetic Corporation, will prepare planimetrics of these streets as the base. Tbivn o/'.Los Gutos Pavement Reconstruction Program: Page 2 ~ ( R-_ G In order to prepare the aerial photogrammetry, it will be necessary to provide survey control ' sufficient to accurately scale the photograrnetric models. This will require painting control panels at regular spacing. The actual survey control will most probably be obtained using GPS survey. As cun•ently envisioned, a side benefit of the base mapping is that he phatographs will be available on CD's, which can be :provided to the Town for future reference and use. Design: After preparation of the base mapping, the Team will begin design of the resurfacing. As previously stated, the streets will be shown in plan view only. No profiles will be provided as a part of the construction .documents. The plan sheets will identify the type of surface .treatment ' each is to receive (i.e. a slurry seal or AC' overlay). Using. the information gathered during the field walk-throughs, the plan sheets will show the areas where failed pavement or curb and .gutter is to be removed and replaced. These replacement areas will be identified by tying them to ' existing .features in the field that .are to remain. For example, a "dig-out" :area might be labeled as "S' x 25' dig-out area", with a dimension tying it to the existing curb and nearest fire hydrant. The limits of the resurfacing, together with those areas where a grind is required, will .also be identified. Those streets that are to be .reconstructed will be shown on separate sheets, with all of the ' apurtentent design .information necessary for the contractor to reconstruct the street. However, it must be .noted that .since the base mapping will not include topographic information, grades for the riew design will not be provided. Rather, the reconstruction will be shown as a replacement ' in kind. It is envisioned that spot grades can be provided to .the contractor as a part of construction staking. ' The designers will ;prepare the technical specifications for the project. These technical specifications will be prepared in Caltrans, CSI or "Green Book" format to the satisfaction of the Town. These technical .specifications will be compiled with the General Conditions o be ' prepared by the Town. Included in the specifications will hbe the .necessary bid sheet, including quantities for the various .items of construction. :Due to the short design time for the project, it is envisioned that the there will be two separate ubrnittals to the Town.. The first submittal will be at .approximately the 50% design stage.. It will show the base sheets and initial design. Included in this submittal wi l be an engineer's opinion of probable construction cost, together with an outline of the specifications, The second submittal will be at the 95'% design stage. This submittal will be the complete plans. specifications and estimate. ~ Assistance During Bidding: During bidding of the project, the design team will be available to assist the Town as necessary. ' This could include .attendance at the pre-bid meeting, answering bidder's questions and c arifying the design .documents, and preparation of addenda. After receipt of the contractor's bids, Ruth and Going staff will be available to assist the Town in analyzing. the bids. Clara Valley Transportation Authority's Tasman Light. Rail project in East San Jose. ', Peter L. Huttlinger, CE -Project Manager Mr. Huttlsinger will serve as the Project. Manager for the Pavement Resurfacing projects. In his role as Project Manager, Mr. Huttinger will provide day-to-day technical direction to the Design ' Team, as wel'1 as serve as the Lead Civil Designer for the project. He will also serve as the principal contact between. the Gay's Project Manager and the. Ruth and' Going Team. During .more than 30 years of professional experience, Mr, Huttlinger has developed outstanding expertise in the preparation of construction drawings and specifications. Mr. Huttlinger is recently served as Project Engineer for the widening of the Trimble Road bridge over the Guadalupe River for the City of San Jose. Mr. Huttlinger recently completed the improvement plans for construction of snore than 50 separate bus stops on Monterey Street in San Jose .and Monterey Road in the County. He also served as the Project Engineer for the public street improvements required for the .expansion of the Valley Fair Shopping :Mall in San Jose. This project also required preparation of plans for the widening of the southbound. Route 17 on-ramp from Stevens Creek Boulevard to two lanes, and processing the plans through Caltrans for approval. Mr. Huttlinger also served as Project Manager and 'Engineer on the 1.,550-unit Silver Creek Valley Country Club development in San Jose. His other relevant public works experience includes the Silioon Valley Boulevard extension .across the Coyote River.. NIr. Huttlinger also oversees the activities of the field survey crew. Stephen P. Sherman , CE -Quality Control Engineer Mr. Sherman will serve as the Quality Control Engineer for the .Project Team. An integral element of a successful project is the implementation of the quality control program. Ruth .and Going, Inc. is committed to providing quality service .and awell-checked set of construction .documents for all our projects. Therefore, our quality control ,program :requires independent review of all documents by a senior level' engineer who is not involved in the project's design. In his capacity as Quality Control Engineer, Mr. Sherman will provide an independent review of all documents. This review will be performed at each submittal stage to ensure that awell- coordnated and checked set of plans and specifications are submitted. ' Ivlr. Sherman has more than 20 years experience as a Civil Engineer in project .management, .design, surveying, and construction of airport, highway, roadway, and utility improvements. He is currently ervmg as Deputy Project Manager and Project Engineer .for the Route 87 HOV Lane Widening project through downtown San Jose. He .also served as Project Engineer for the Route ' 85/101 Interchange project in Mountain View, which will be `complete in January, 2002. His relevant experience also includes the Brokaw Road Undercrossing of Route 101. in San Jose, the Route 1/Bay-Porter interchange Modification in Captola, and at the San Francisco International ' Airport. At the San Francisco International Airport, he .served as Project Civi Engineer responsible for site and utility design of two Parking Garages, Concourse H/BART Station, Rental Car Garage, and the .Rental Car Quick Turn Around (QTA) Facility. Fundamental ' technical issues included precisehorzontal control, extensive utility coordination, difficult storm drainage constraints, and interfaces with multiple adjacent projects. ' William H. ' and Going, Inc.,. he has been responsible for providing engineering design services on numerous roadway and land development projects. He recently served as Project Engineer fore approximately 1' mile of widening and. extension of Yerba Buena Road south of Aborn Road as a ' part of the: Evergreen. Campus Industrial Park. Mr. Sampson's other projects include responsibility for design. of the site improvements for Valley Christian High School site, a new $50 million high school in San Jose. Aida Fairman -Civil Designer _ Ms. Fairman will provide additional support as a Civil Designer. ~ Ms. Fairman has nearly 10 years experience in public works projects. She has served as Civil Designer on construction projects for streets, highways, utilities,. grading and drainage. Ms. ' Fairman is presently serving as Project Engineer for the City of Santa Clara Main Library replacement project, as wel'1 as the new Monterey Road Bus Stops for the Val'l'ey Transportation _ Authority. Mr. Parikh's firm, and Mr. Parikh personally, has been. very involved in providing geotechnical services on ' several City of San Jose projects and roadways, including several Ruth and Going project. Most recently, Mr. Parikh conducted all geotechnical investigations on the widening of the Trimble Road Bridge over the Guadalupe River. A sampling of lZis other San Jose project experience ' includes Skyport Drive over the Guadalupe River and the widening of Capitol Avenue for the Tasman East Light Rail. Y. David Wang, Ph.D., PE - Geotechnical Engineer Dr. Wang will assist Mr. Parikh in conducting all geotechnical. investigations, as well as preparation of all reports .and recommendations. ~ With more than 20 years in geotechnical engineering, Dr. Wang's principal experience is with transportation projects, conducting field investigations and laboratory analysis and preparing the ' necessary .reports and recommendations. His typical projects include the Brokaw Bridge at the Guadalupe River, Los Alamitos Creek .Bridge, and the Skyway Drive Underpass at Airport Boulevard. Dr. Wang .also provided .geotechnical investigation for pavement .rehabilitation and ' widening of Capitol Avenue for the Tasman East Light Rail ;project in San Jose. Schedule The schedule r p oposed for the project is very aggressive. Since there are no Town Council meetings during the month of August, it is critical that the award of the contract be issued in.July ' to insure. a summer construction start. Therefore, the project must be issued for bid in early J}ine. This leaves only 2 .months .for design. The schedule for this project will be found on the .next ~ page of this proposal. Fees ~ The Ruth and Going team proposes to plans, specifications .and estimate for the Town's Pavement Reconstruction Program for an estimated fee of $281,823. This fee is based on the scope of services outlined in this proposal. Charges will be made utilizing the Ruth and Going Charge Rate Schedule. Should the scope of services change, we reserve the right to negotiate modifications to this scope.
