RESOLUTION OF THE TOWN OF LOS GATOS
AMENDING EMPLOYMENT AGREEMENT BETWEEN
THE TOWN OF LOS GATOS AND CLERK ADIYIINISTRATOR
WHEREAS, an Employment Agreement between the Town of Los Gatos and the
Clerk Administrator, was approved by the Town Council on November 5, 2001; and
WHEREAS, the Employment Agreement provides compensation for the Clerk
Administrator; and;
WHEREAS, the Council intended for the compensation for the Clerk Administrator
and compensation for the Elected Town Clerk to be considered concurrently for retirement purposes;
and
WHEREAS, the California Public Employees .Retirement System does not permit
concurrentretirement coverage:for an.Elected and Appointed position; and
BE IT RESOLVED, and it is hereby resolved by the Town Council of the Town of
Los Gatos, County of Santa Clara, State of California, that the Town of Los Gatos amend the
Employment Agreement with the Clerk Administrator (a copy of which is attached hereto as Exhibit
A to this resolution); and
BE IT FURTHER RESOLVED, thatthe Mayor is authorized and is hereby directed
to execute said Employment Agreement in the name of and on behalf of the Town of Los Gatos.

of Los Gatos, California, held on the 17t" day of June, 2002 by the following vote:

FIRST AMENDMENT TO THE CLERK AUMINISTRATO~ A~~E N7['
This Amendment to Agreement is entered into this 17`" day of June 2002, and is effective
as of November 12, 2001, by and between the Town of Los Gatos, a municipal corporation ("Town")
and Marian Cosgrove.
RECITALS:

WHEREAS, Town and Maria. Cosgrove executed an Agreement approved on November
5, 2001; and
WHEREAS, the Town Comzcil intended for the compensation for the Clerlt Administrator
and compensation for the Elected Town Clerk to be considered concurrently for retirement purposes;
and
WHEREAS, the California Public Employees Retirement System does not permit concurrent
retirement coverage for an Elected and Appointed position
IT IS THEREFORE ACRE: + D by the parties as follows: .
L The Agreement is amended to read as follows:
Establish annual base salary at $56,000 effective November 12, 2001.
2. The terms ,and conditions of the Agreement, except as herein amended, .shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Clerk
Administrator Agreement on the date written above.
