RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
RESCINDING RESOLUTION NO. 2000-134 REGARDING AGREEMENT WITH
THE TOWN ATTORNEY, AND AMENIDING AGREEMENT BETWEEN THE
TOWN OF LOS GATOS AND TOWN ATTORNEY AND AUTHORIZING THE
MAYOR TO SIGN AMENDMENT
ON BEHALF OF THE TOWN DF LOS GATOS
WHEREAS, an Agreement between the Town of Los Gatos and the Town
Attorney, Orry P. Korb, was approved by the Town Council on April 7, 1997; and
WHEREAS, the Agreement provides that the Town Council shall evaluate
the Attorney's performance annually and may adjust the base salary or provide a one-
time, lump sum payment or some combination of both, based upon an assessment of the
Attorney's performance; and
WHEREAS, after completing a review of the Town Attorney's performance
between May 30,1999, and May 27, 2000, and compensation for comparable positions
inthe greater Bay area, the Town Council adopted ResolutionNo. 2000-1:34, increasing
the Town Attorney compensation effective May 28, 2000; and
WHEREAS, Resolution No. 2000-134 did not reflect the desired
compensation for the Town Attorney, as it did not incorporate the value of the employee
paid contribution to the Public Employees' Retirement System, as is done for all TEA,
Confidential, Management and. POA employees.
RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that Resolution No. 2000-134 is hereby rescinded; and
BE IT FURTHER RESOLVED, the Town of Los Gatos enter into an
amendment to the Agreement with the Town Attorney (a copy of which is attached and
incorporated herein).; and
BE IT FURTHER RESOLVED, that the Mayor is authorized and 1~ereby
directed to execute said Amendment to the Agreement in the name and behalf of the
Town of Los Gatos.

Town of Los Gatos, California, held on the 20t'' day of November, 2000 by the

.AMENDMENT TO THE TOWN ATTORNEY AGREEMENT
This Amendment to .Agreement is entered into this 20"' day of November 2000,
and is effective as of May 2$, 2000.,. by and between the Town of :Los Gatos, a
municipal corporation ("Town") .and Orry P. Korb.
RECITALS:
WHEREAS., Town and Orry P. Korb executed an Agreement approved on April
7, 1997; and
WHEREAS, the Town Council evaluated Orry P. Korb's performance for the
period between May 30, 1999, and May 27, 2000, and compensation for comparable
positions in the greater Bay area, and determined the Town Attorney compensation shall
be increased.
IT IS THEREFORE AGREED by the parties as follows:
1. The Agreement is amended to read as follows:
Increase annual base salary to $128,400 effective May 28, 2000;
Provide a $300 per month auto allowance effective June 1, 2000.
The Town Attorney will repay the Town the amount of any mileage
.reimbursements received during the relevant period, as will be determined
by the Finance Department.
2. The terms and conditions of the Agreement, except as herein amended, shall
remain in .full force and effect.
INWITNESS WHEREOF, the parties have executed this Amendment to the Town
Attorney .Agreement on the date written above.
