RESOLVED, by Town Council that TOWN OF LOS GATOS enter into an agreement with LPZA-Linhart Petersen Power Associates to provide Building Permit Plan Check & Inspection Services. This agreement is titled Agreement for Building Permit Plan Check and Inspection Consultant Services (Exhibit A). RECITALS A. Town is considering undertaking .activities to SUPPLEMENT ITS .ABILITY TO PROCESS AND ISSUE BUILDING PERMITS, PERFORM INSPECTIONS, AND ENHANCE CUSTOMER SERVICE AND EFFICIENCY. B. Town .desires to engage a BUILDING PERMIT PLAN CHECK AND INSPECTION Consultant to provide consulting. services to .ASSIST IN THE PROCESSING, PLAN CHECK, AND ISSUANCE DF BUILDING PERMITS AND/OR TO CONDUCT BUILDING INSPECTIONS, because of Consultant's experience and qualifications to perform the desired work. C. Consultant represents and affirms that it is qualified and willing to perform the desired work pursuant to this Agreement. Consultant shall .provide the. services .listed in the Consultant's Scope of Work, attached hereto as Exhibit "A" and by this reference incorporated :herein, and the services listed below. ^ Administrative Duties I. As .needed by Town, provide Building Permit flan Check .Services, including, but .not limited to: - .Providing initial plan check comments on submitted applications and plans., .Providing resubmittal plan check comments on revised .,.plans, - .Providing written copies of initial and resubmittal plan check comments. II. On an on going "as .needed basis", serve as, and perform the duties of "Building, Official" for Town of Los Gatos. III. On an ongoing "as needed basis", provide professionally qualified Building Inspectors to .perform building inspections :for Town. IV. When needed by Town, conduct investigations, special studies, and prepare reports regarding building permit ,plan check issues.. V. As requested by Town, provide copies of work products. of all comments, reports, and studies prepared for Town. Consultant shall provide electronic file copies of these documents in a WordPerfect 6.0 or .approved word processing software format via a 3 ll2 inch floppy disk medium on an as needed'basis . VI. On a continuous basis, provide a dedicated telephone .number with voice mail messaging and .pager service, exclusively for the purpose of Town contacting Consultant's designated representative. Consultant shall ensure that the designated representative shall return all telephone calls within a 24 hour period. VII. Provide a weekly updated listing/status report of all Building Permit Plan Checks :reviewed for Town of Los Gatos on Consultant's Company `JVeb Site. VIII. Provide a copy of Consultant's "Quality & Service: Plan Review Services Survey" Questionnaire for each building permit plan check applicant to fill out, and provide .Director of Community Development or Director of Parks and Public Works an annual report of the survey results. IX. On an on going "as needed basis", Plan Check Consultant shall review and comment on plans submitted to Town of Los Gatos .Development Review Committee (DRC). On and as needed basis, Plan Check Consultant shall .attend the weekly DRC meeting and .provide written deficiency comments regarding the submitted DRC applications. When needed by Town, Plan Check Consultant and/or Building Official shall attend staff level meetings with Town .staff, public officials, community leaders, developers, contractors and the general public (maximum of 4 additional meetings per ;month). ® Other miscellaneous services XI. Town may from time-to-time .have the need for other services not specifically listed in this document for which consultant has the necessary experience and capabilities to provide. Town or Redevelopment .Agency may authorize consultant to perform such selected services on an as-needed basis. 2. Time of Performance. The services of Consultant .are .for a fixed one year period that will commence upon the execution of the contract. Town retains the option with the mutual consent of Town Manager and Consultant to renew the .contract for a maximum of three optional years. Should Town not .renew a contract, the award and authorization of the contract shall automatically .expire. Town shall give Consultant at .least 15 days notice, prior to the cancellation or expiration of the contract. 3. Compliance with .Laws. Consultant shall comply with all applicable laws, codes, ordinances, and regulations of governing federal, state and local. laws. Consultant represents and warrants to Town that it has all licenses, permits, qualifications and approvals of whatsoever .nature which are .legally .required for Consultant to practice its profession. Consultant represents and warrants to Town that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Agreement any licenses, permits, and approvals which are legally .required for Consultant to practice its profession. Consultant shall maintain a Town of Los Gatos business license pursuant to Chapter 14 of the Code of Town of Los Gatos. 4. Sole ResponsiblitX. Consultant shall be responsible for employing or engaging all persons necessary to perform the services under this Agreement. 5. Information/Report Handling. All documents furnished to Consultant by Town and a l reports and supportive data prepared by Consultant under this Agreement are Town's .property and shall be delivered to Town upon the completion of Consultant's services or at Town°s written request. All reports, information, data, and exhibits prepared orassembled by Consultant in connection with the performance of its services pursuant to this.Agreement :are confidential until released by Town to the public, and Consultant shall not make any of the these documents or information a'va able to any individual or organization not employed by Consultant or Town without the written consent of Town before such release. Town Revised: July 14, 1999 Page 3 of 9 N:\DEV~ERW INU,P2A-CON.99 acknowledges that the reports to be prepared by Consultant pursuant to this Agreement are for the purpose of evaluating a defined project, and Town's use of the information contained in the reports prepared by Consultant in connection with other projects shall be solely at 'T'own's risk,. unless Consultant expressly consents to such use in writing. Town .further agrees that it will not appropriate any methodology or technique of Consultant which is and has been confirmed in writing by Consultant to be a trade secret of Consultant. 6. Compensation. Compensation .for Consultant's professional services shall be based upon Town's pre-approval of each task as noted in the Scope of Services. Compensation for each task shall not exceed the amount per task noted in Consultant's Schedule of Fees (attached hereto as Exhibit "B" and incorporated by reference herein) or as noted in Consultant's Schedule of Charges (attached hereto as Exhibit "C" and incorporated by reference herein). Billing shall be accompanied by a detailed explanation of the work performed by whom at what rate and on what date. Billing invoices submitted for payment must reference Town Purchase Order # ,and if applicable, the appropriate project address and Town Application Number (e.g. 112 E. Main St./Building Permit, B99-000001). Also, plans, specifications, documents or other pertinent materials shall be submitted for Town review, even if only in partial or draft form. Payment shall be .net thirty (30) days. Only one {1) purchase order number per invoice will be .accepted.. Consultant shall maintainthe records supporting this billing for not .less than three (3) years following completionof the work under this Agreement. Consultant shall make these records available to authorized personnel of Town at Consultant's offices during business hours upon written .request of Town. Assi ng ability and .Subcontracting. The services to be performed under this Agreement are unique and personal to Consultant. No portion of these services shall be .assigned or subcontracted without the written consent of Town. 10, Notices. It is understood that Consultant, in the performance of the work and services agreed to be performed, shall act as and be an independent contractor :and not an agent or employee of Town. As an independent contractor he/she shall not obtain any rights to retirement benefits or other benefits which accrue to Town employee(s). ~Nith prior written consent, Consultant may perform some obligations under this .Agreement by subcontracting, but may not delegate ultimate responsibility for performance or assign or transfer interests under this Agreement.. Consultant shall be compensated forts costs and expenses in preparing for; traveling. to, and testifying in such matters at its then current hourly rates of compensation, unless such litigation is brought by Consultant or is based on allegations of Consultant's negligent performance or wrongdoing. 12. Conflict of Interest. Consultant understands that its professional responsibilities is solely to Town. Consultant has and shall not obtain .any :holding or interest within Town. of Los Gatos. Consultant has no business holdings or agreements with any individual member of the Staff or management of Town or its representatives nor shall it enter into any .such holdings or agreements. In addition, Consultant warrants that it does not presently and shall not acquire any direct or indirect .interest adverse to those of Town in the subject of this Agreement, and it shall immediately disassociate itself from such an interest should it discover it has done so and shall, at Town's sole discretion, divest itself of such interest. Consultant shall not knowingly and ,shall take reasonable. steps to ensure that it .does not employ a person having such an :interest in this .performance of this Agreement. If after employment-of a person, Consultant discovers it has employed a person with a direct or indirect interest that would conflict with its performance of this Agreement, Consultant shall promptly notify Town of this employment relationship, and shall, at Town's sole discretion, sever any such employment relationship. 13. Equal Employment Opportunity. Consultant warrants that it is an equal opportunity employer and shall comply with applicable regulations ~ governing equal employment opportunity. l~teither Consultant nor its subcontractors do and neither shall discriminate against persons employed or seeking employment with them on the basis ofage, sex,'color, race, marital status., .sexual orientation, ancestry, physical or mental disability, national origin, religion, or medical condition, unless based upon a bona .fide occupational qualification :pursuant to the California Fair .Employment & Housing Act. 14, Insurance. A. Minimum Scope of Insurance: i. Consultant agrees to have and maintain, for the duration of the contract, General Liability insurance policies insuring :him/her and his/her .firm to an amount not less than: one million dollars ($1;000,000) combined single limit per occurrence for bodily injury, personal injury and ;property damage. ii. Consultant agrees to have and maintain for the duration. of the contract, an Automobile .Liability insurance •policy ensuring him/her and his/her staff to an amount not less than one million dollars ($1,000,000) combined single limit per accident .for bodily injury and property damage. Consultant .agrees that all certificates and endorsements are to be received and approved by Town before work commences. iv.. Consultant agrees to have and maintain, for the duration of the contract, professional liability-insurance in amounts not less than $1,000.,000 which is sufficient to .insure Consultant :for professional errors or omissions in the performance of the particular scope of work under this agreement. 13. General Liability; i. Town, its officers, officials, employees and volunteers are to be covered as insured as respects: liability arising out of activities performed by or on behalf of Consultant; products and completed operations of Consultant, premises owned or used by Consultant. This requirement does not apply to the professional liability insurance required for professional .errors and omissions. ii. Consultant's insurance coverage shall be primary insurance as respects Town, its officers, officials, employees and volunteers. Any insurance or self-insurances .maintained by Town, .its officers, .officials, employees or volunteers shall be excess of Consultant's insurance and shall not contribute with it. iii. Any failure to :comply with reporting provisions of the policies shall not affect coverage provided to Town, its officers, officials, employees or volunteers. iv. Consultant's insurance shall .apply separately to each insured against whom a claim is made or suit is brought, except with respect to the limits of the insurer"s liability. C. All Coverages: Each insurance policy required in this item shall be endorsed to state that coverage shall not be suspended, voided, canceled, :reduced in coverage or in limits except after thirty (30) days° prior written notice by certified mail, return receipt .requested, has been given to Town. Current certification of such insurance shall be kept on file at all firnes during the term of this agreement with 'Town Clerk. I~. In .addition to these policies, Consultant shall have and maintain Workers' Compensation insurance as required by California law and shall .provide evidence of such policy to Town before beginning services under this Agreement. Indemnification. Consultant shall save, keep and hold. harmless indemnify and defend Town its officers, agent, employees and volunteers from all damages, liabilities, penalties, costs, or expenses in law or equity that may at any time arise or be set up because of damages to property or personal injury .received. by reason of, or in the course of performing work which may be occasioned~by a willful or.negligent act or omissions of Consultant, or any of Consultant's off cers, employees, or agents or any subconsultant. 16. Waiver. No failure on the part of either party to exercise any right or remedy hereunder shall operate as a waiver of any .other right or remedy that party may have :hereunder, nor does waiver of a breach or default under this Agreement constitute a continuing waiver of a subsequent breach of the same or any other provision of this Agreement. 17, Governing Law. This Agreement, regardless of where executed, shall be governed by and construed to the laws of the State of California. Venue for any action .regarding this Agreement shall be in the Superior or 1Vlunicipal Court of the County of Santa Clara. 18. Termination of A;~reement. Town and Consultant .shall have the right to terminate this agreement with or without cause by giving .not less than fifteen {15) days written notice of termination. In the event of termination, Consultant shall deliver to Town all plans, files, documents, .reports, performed to date by Consultant. In the event of such termination, Town shall pay Consultant an amount that bears the same ratio to the maximum contract price as the work delivered to Town bears to completed services contemplated under this Agreement pursuant to the noted Scope of Services and Exhibit A hereto, unless such termination is made for cause, in which event, compensation, if any, shall be adjusted in light of the particular .facts and circumstances involved in such termination. 19, Amendment. No modification, waiver, mutual termination, or amendment of this Agreement is effective unless :made in writing and signed by Town and Consultant. 20. Disputes. In any dispute over any aspect of this Agreement, the prevailing party shall be entitled to reasonable attorney°s fees,. including costs of appeal. 21. Entire Agreement. This Agreement, including Exhibits A, B, & C, constitutes the complete and exclusive statement of the Agreement between Town and Consultant. No terms, conditions, understandings or agreements purporting to modify or vary this Agreement, unless hereafter made in writing and signed by the party to be bound, shall be binding on either party. Korb, Town Attorney Revised: July 14, 1999 Page 9 of 9 N:\DEV\ERW IN\LP2A-CON.99 EXHIBIT A Consultant's Scope of Work PLAN CHECK .REVIEW SERVICES Plan Review: LPzA will perform plan reviews to check plans for compliance with California Building Laws as generally found in Title 24 Parts 2, 3, 4, 5, 6, 8 and 12 including structural., fire/life safety disabled access, and energy conservation requirements-as amended by Town of Los Gatos. Comments Lists and Pick-up/Delivery: Plan reviews result in typed lists of comments which refer to specific details and drawings, and reference applicable code sections. LPzA will transport plans and comments to Town of Los Gatos in person, via FAX, and/or by a reliable overland carrier pre- approved byboth LPzA and Town of Los Gatos. Overnight delivery will be provide by LPZA at no additional cost to Town of Los Gatos. As needed. by Town, LPZA will provide plan cheek comments andperform rechecks directly to (1) Town, or (2) applicant/designer, returning approved documents to Town after the plan review process is completed. ?'urn Around Schedules: Plan reviews will generally be completed/returned to Town of Los Gatos within approximately ten (10) working days from the date that the plans are received by LPZA. Other turn-around schedules will be accommodated at the request of Town of Los Gatos for a predetermined fee amount. Larger, unusually complex plan reviewsZnay require up to a fifteen (15) day turn-around. On-site Plan check Services: Upon the request of Town of Los Gatos, LPZA will perform on-site plan review services on an as-needed basis or on a predetermined regular schedule, Technical Support: Upon mutual agreement of Town of Los Gatos and LPZA, :LPZA staff .(Kenneth C. Petersen or Susan Kautzer) will attend pre-construction orpre-design meetings, field visits upon request, provide support for field inspection personnel, and assist with walk-in public inquires on an as-needed basis. As~ determined by Town staff, LPZA will provide qualified staff to assist with answering public inquiriesregardingBuflding Department issues{e.g. Title 24/ADA Compliance, Uniform Building Code, Occupancy Limit inquiries, etc.) on an on-going "as-needed basis". .. EXHIBIT A BUILDING OFFICIAL Duties: LPZA will provide a staffmember (Kenneth C. Petersen) with the qualifications to serve as, and perform the duties of Building Official for Town of Los Gatos on an "on-call" as-needed basis for a predetermined. fee. Upon the request of Town of Los Gatos, this may include attendance at public meetings,. preparation of reports, special studies, Or other documents on an as-needed basis. Staffing Town Meetings: When needed by Town, LPZA staff (Kenneth C. Petersen or .Susan Kautzer) will -attend staff level .meetings with Town staff, public Officials, community leaders, developers, contractors and general public on an as-needed basis (maximum of 4 additional meetings per month) fora ,predetermined fee. INSPECTIONS SERVICES LPZA will provide building inspector(s) as requested by Town of Los Gatos. The scope of inspection .services to be provided will be defined as listed below or as defined uniquely for each project or as mutually predetermined by LPZA Nand Town of `Los Gatos. Inspector(s) will report directly to Director of Community .Development or other designee by Town of Los Gatos for all project-related work. In general, the inspection services to be provided may include; but are not limited to, field observations of all construction activity, preparation of daily .reports, updating of inspection. records/logs, and other duties as assigned. DEVELOPMENT REVIEW COMMITTEE .STAFF SUPPORT On an as-needed basis, LPZA will provide a staff member (Susan Kautzer), on behalf of the Building Department, to review and comment on applications submitted to Town's Development .Review Committee (DRC) for a predetermined fee. These duties may include, but are not limited to, research, field observations, pre-building permit application review, preparation of written comments, and attendance of the weekly DRC meeting. Written comments may be submitted via FAX in-lieu of attendance at the discretion of Town staff. OTHER MISCELLANEOUS DUTIES On occasion, Town may need for special tasks to be completed that are not expressly noted in the Scope of Services for which LPZA is qualified to undertake.. With the mutual consent of LPZA and Town, LPZA. will perform these tasks and be compensated. on a time and materials basis. N:\DEV~ERWIN~L.P2A-CON.X-A 2 Of 2 EXHIBIT B Consultant's Schedule of Fees • PLAN CHECK REVIEW SERVICES Basic Fees: For complete plan" review projects performed in LPZA's offices, fees will equal 80% of the plan check .fees collected by Town. For structure-only plan review projects performed in the LPZA's offices, fee will equa150% of the plan check fees collected by Town. For other special miscellaneous plan review projects (e.g. plurnbing/mechanical/electrical-only, unrenforced .masonry), fees will be based on the current LPZA hourly rate schedule and charges approved by Town. .Staffing Town 1l~eetings: When needed by Town, LPZA staff (Kenneth C. Petersen or .Susan. Kautzerj will attend staff level meetings with Town staff, public officials, community leaders, developers, contractors and the general public on an as-needed basis for a fee based on the current LPZA hourly rate schedule and charges approved by Town. Development Review Committee Attendance/Comments: For :reviewing pending development applications submitted to Town's Development Review Committee, LPZA's fees will be based on the current LPZA hourly rate .schedule .and charges :approved by Town. Other Fees: In addition to the Basic Fees described above, time atYd materials methods using the current LPZA hourly rate schedule will be used for .determining fees for the following types of services: l . Fees for problem plan checks which require more than a quick third check to approve the project, when mutually agreed between Town and LPZA, will be based on the current LPZA hourly rate schedule. BUILDING OFFICIAL Barsic Fees: For completing tasks and performing duties required of Town of Los Gatos Building Official, LPZA will be compensated at the hourly rate schedule and charges approved by Town. Staffing Town Meetings: When needed by Town, LPZA staff will attend staff level meetings with Town staff, public officials, community leaders, developers, contractors and the general public on an as-needed basis for a fee based on the current LPZA hourly rate schedule and charges approved by Town. OTHER MISCELLANEOUS DUTIES LPZA will be compensated on a time and materials basis, using the current LPZA Schedule of Charges (Exhibit C) approved by Town. Charges are made for technical typing and for time and costs of compiling and printing reports. Direct chazges are not made for general secretarial services, office management, accounting and maintenance since these items aze included in overhead.
