RESOLUTION OF TIDE TOWN OF LOS GATOS
AIVIBNDTNG LETTER OF AGREEIVIENT BETWEEN T'lf-IE 'T'OWN OF LOS Gt~~'OS
AND TOWN MANAGER AND AJTHORIZING MAYOR TO EXECUTE AGREEMENT
ON BEI~ALF OF TTIE TOWN OF I,OS (BA'I'OS,
WhiEAS, a letter of Agreement between the Town of Los Gatos and Town Manager,
David W. Knapp; was approved by the Town Council on August 20, 1990; and
WHE~AS, the Letter of Agreement had thereafter been amended on March 2, 1992,
October 16, 1992, September 29, 1993, April 4, .1995, November 20, .1995, October 8, 1997, and
September 21,.1998 to adjust the Town Manager's compensation when merited by prior performance
and in proportion with increases granted to the Town's other employees; and
VVHEIH+ ~iS, after completing a review ofthe Town Manager's performance conducted
between September 8,1998 and September 4,1999,. the Town Council has determined that the Town
Manager merits a 4®/o increase in salary.
YtIESOLVIED, by the Town Council of the Town of Los Gatos, County of Santa Clara,
State of California, that the Town of Los Gatos enter into that Amendment to the Letter of
Agreement with the Town Manager (a copy of which is attached and incorporated herein).
BE I~' FURTHE1t 1tESOI,VED, that the Mayor sauthorized, -and is hereby directed,
to execute said Amendment to the Letter of .Agreement in the -name and on behalf of the 'Town of
]Los Gatos,

AMENDMENT TO TOWN .MANAGER
LETTER OF AGREEMENT
This Amendment to Letter of Agreement is entered :into this day of
October 18, 1999 and is effective September 5, 1999 by and between the Town of Los Gatos, a
municipal corporation ("Town") and David W. Knapp.
RECITALS:
WHEREAS., Town and David W. Knapp executed Letter of Agreement approved on
August 20, 1990 which was amended by agreements dated March 2, 1992, October 16, 1992,
September 29, 1993., Apri14, 1995., November 20, 1995, October S, 1997, and September 21,
1999; and
WHEREAS, between eptember 8,-1998 and- September 4,1999, the Town Council
.evaluated David W. Knapp's performance and determined that it deserves to be rewarded.
IT IS THEREFORE AGREED by the parties as follows:
l . The Letter of Agreement, as amended, is amended to read as follows:
Increase salary to'$.9,861.85 per month effective September 5, 19.99.
2. The terms and conditions of the Letter of Agreement, except as herein and
previously amended, shall remain in full force end effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the .Letter of
Agreement on the date written above, effective September 5, 1999..
