proposed resolution did not include authority for the Town Manager to negotiate the agreement which would then be executed, also by the Town Manager. The attached resolution makes that

RESOLUTION NO. RESOLUTION AUTHORIZING THE TOWN MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT WITH THE COUNTY OF SANTA CLARA RELATING TO THE GOALS AND OBJECTIVES OF THE COUNTY REGIONAL
PUBLIC AND INTERNAL NOTIFICATION SYSTEM WHEREAS: The agreement is intended to establish governance and terms for access and use of COlli1ectCTY service. The COlmty is sponsoring a countywide
Regional Public and Internal Notification System ("System") for the primary intent of providing timely communicationto the public and its employees. The County will control the use and
access and is making the System available to cities and agencies within the County of Santa Clara. The agreement shall be effective as of the date of the last signature on the agreement.
A party may terminate the agreement in whole by providing thiliy (30) days notice to the other party. No amendments, changes, modifications shall be made without prior express written
consent ofboth parties. Amendments shall not be effective or binding unless approved by the the county Director ofEmergency Preparedness or authorized designee. County agrees to provide
the party with access to the System at no charge during the term ofthe agreement only if they agree to the Agreement's terms and conditions. RESOLVE]): That the Town Manager is authorized
