FIGONE, TOWN MANAGER SUBJECT: AUTHORIZE TOWN MANAGER TO APPOINT A DESIGNATED TOWN REPRESENTATIVE TO NEW KCAT BOARD RECOMMENDATION: Authorize Town Manager to appoint a designated Town representative to new KCAT Board. BACKGROUND: In January 2004, staffpresented concerns identified by the Town's access television consultant about the existing KCAT Board as the majority of the KCAT Board members were appointed by the Town Council. This type of Board structure, according to the Town's cable consultant, could legally compromise the Town due to First Amendment claims with respect to Board decisions relative to program content, and raise conflict of interest issues as it relates to the funding of KCAT. DISCUSSION: KCAT recently completed restructuring process, resulting in a community-based Board of seven (7) voting members. The Board consists of four (4) "Appointed Directors," chosen by a KCAT selection committee and three (3) "Designated Directors," comprised of one (1) Town representative and a total of two (2) representatives from the School Districts. The restructuring requires that the Town appoint a Designated Director to represent the Town at KCAT Board meetings. It is recommended that the Council authorize the Town Manager to appoint a Designated Director for the Town. It is anticipated that Jenny Haruyama, Administrative Analyst for the Town Manager's Office will be appointed as the KCAT Designated Director. FISCAL IMPACT: There is no fiscal impact a6sqciated with the recommended appointment.
