to provide professional auditing sen'ices for the Town of Los Gatos. '\) /BACKGROlT:NTI: On April 11,2004, a request for proposal for professional auditing services was sent out to several
qualified firms of certified pub lic accountants to audit the Town's financial statements for the fiscal years ending June 30, 2004, 2005, and 2006, with an option to extend the contract
two (2) additional fiscal years. Seven certified public accounting firms submitted their proposals, After a prequalifying round byTown staff, three firms were invited to an oral interview.
The three invited fim1s were: Caporicci & Larson, Maze & Associates, and C.J, lJhlenberg LLP, While each of the three firms are highly rated and well qualified, staffhas selected C.J.
lThlenberg LLP as the most qualified certified accounting firm to provide the Town's professional auditing services. DISCUSSION: C.J. lThlenberg LLP is a local firm specializing in governmental
accounti'ng, auditing and consulting, The present partnership was fonned in 1947 and has continued with the same focus and dedication to government clients, C.J. Uhlenberg LLP was selected

OF LOS GATOS. (June 21, 2004) proposed services, experience, and the need to rotate the Town's auditing services. The current auditing firm, Maze & Associates has provided the Town's
professional auditing services for eleven consecutive years. The Finance Committee is in agreement with the Town's staff decision.. The auditor's role is to express an opinion on the
fair presentation of the Town's general purpose financial statements for the year ending June 30, 2004, and basic financial statements thereafter, in conformity with generally accepted
accounting principles. In addition, the auditor detemlines whether Town's fiscal operations were conducted in accordance with legal and regulatory requirements. A separate report on
the fair presentation of the financial statements in conformity with generally accepted accounting principles is prepared for the Redevelopment Agency Component Unit. CONCLUSION: Staff
is recommending the adoption of the resolution authorizing the Town Manager to execute an agreement with C.J. Uhlenberg LLP for the fiscal years ending June 30, 2004, 2005, and 2006,
with an option to extend the contract two (2) additional fiscal years to provide professional auditing services for the Town of Los Gatos. FISCAL IMPACT: Funding is included in the Adopted
FY 2004/05 Operating Budget, program 2050-61502. Attachments: Resolution authorizing Town Manager to execute an agreement with C.J. Uhlenberg LLP to provide professional auditing services
for the Town of Los Gatos.

SER\-;ICES FOR THE TO\VN OF LOS GA10S \VHEREAS, the Tov/n desires to obtain services to provide professional auditing services for the Town of Los Gatos. WHEREAS, e.G. Uhlenberg is fully
qualified to provide professional auditing services, THEREFORE, BE IT RESOL\-!ED, by the Town Council of the Town of Los Gatos, County of Santa Clara, State of California, that the Town
of Los Gatos enter into an agreement with e.G. Uhlenberg LLP for service to provide professional auditing services, ,'lith annual audit amounts not to exceed $43,500 for FY 2003/04,540,370
for FY 2004/05, and 543,256 for FY 2005/06, \'lith an option to extend the contract two (2) additional fiscal years, and that the Town Manager is authorized, and is hereby directed,
to execute said agreement in the name and on behalfof the Tov,/O of Los Gatos. PASSED AND ADOPTED at a regular meeting of the Town Council of the Tov,:n of Los Gatos, California, held
