In November 2002 , the Town Council adopted an ordinance defining a "formula retail business"
as a retail business which, along with seven or more other business locations is required by
contractual or other arrangement to maintain any of the following: standardized merchandise,
services, decor, uniforms, architecture , colors, signs or other similar features. Town Code
Section 29 .20.185 requires a Conditional Use Permit (CUP) for a formula retail business of any
size in the C-2 zone. The proposed business, Bluemercury, falls under the definition of a
formula retail business and requires a CUP.
Bluemercury is a retail store offering beauty products such as skin care, hair care, makeup, and
fragrances with an ancillary personal service (spa) use. Town Code Section 29.20.185 requires a
CUP for a personal service business in the C-2 zone. The proposed spa service would be
ancillary to the retail use .
The l ,044-sqaure foot tenant space is located on the west side of N. Santa Cruz, 140 feet north of
W . Main Street. Previous tenants include Peabody Fine Art Gallery and most recently Wink and
Willo , a women 's clothing retail store.

PROJECT DESCRIPTION:
A. Conditional Use Permit
When reviewing a Conditional Use Permit, the deciding body should consider the
information in the applicant's business plan; however , the key consideration should be the
explicit proposed use since the business plan can change from owner to owner. The
explicit use may be, and is often , defined in the recommended conditions of approval as a
"use" condition. The CUP runs with the land , and the deciding body should review
applications based on the explicit use as opposed to the applicant or the applicant's
business plan.
B. Location and Surrounding Neighborhood
The project site is located on the west side ofN. Santa Cruz Avenue, 140 feet north ofW.
Main Street.
C. Zoning Compliance
Both a formula retail and personal service use is allowed in the C-2 Zoning District subject
to the approval of a Conditional Use Permit.
ANALYSIS:
A. Project Summary
Bluemercury is requesting to operate a formula retail business with spa services. The
majority of the 1 ,044-square foot tenant space is proposed to be dedicated as retail space
with makeup , skin care, hair care, and fragrance products. Approximately 72 square feet in
the back of the tenant space is proposed to be used as a spa room for facials , waxing, and
microdermabrasion. The applicant is proposing to operate from I 0 a.m. to 8:00 p.m.
Monday through Saturday and 11 a.m. to 6 p.m. Sunday. The spa operating hours are the
same as the retail operation. The spa services will be on an appointment basis provided by
one employee.
Exhibit 5 describes the proposal further and provides the applicant's justification for the
proposal.
B. Formula Retail
Town Code requires a CUP for a formula retail business of any size in the C-2 zone
(Section 29.20.185). The proposed formula retail business will occupy a space not

previously occupied by a formula retail business . Bluemercury will be the tenth formula
retail business located within subarea B (Exhibit 7).
The General Plan states that retail uses should be emphasized in the Central Business
District where the subject space is located . Bluemercury has 60 stores nationwide, with
three stores in California. Bluemercury would contribute to the retail mix at the southern
end of N . Santa Cruz Avenue and enhance the existing retail businesses in the Central
Business District due to their minimal presence in California. Staff supports the project for
these reasons.
C. Parking and Traffic
The previous retail use and the proposed formula retail use have the same parking and
traffic generation rates, therefore, neither parking nor traffic will be impacted by the
proposed application.
D. General Plan
The goals and policies of the 2020 General Plan applicable to this project includes but is
not limited to:
• Policy LU-9.2 -Maintain a variety of commercial uses, including a strong Downtown
commercial area combined with Los Gatos Boulevard and strong neighborhood
commercial centers to meet the shopping needs of residents and to preserve the small-
town atmosphere.
• Goal LU-1 0 -To preserve Downtown Los Gatos as the historic center of the Town
with goods and services for local residents while maintaining the existing Town
identity, environment and commercial vitality.
E. Environmental Review
The project is Categorically Exempt pursuant to the adopted Guidelines for the
Implementation of the California Environmental Quality Act, Section 15301 : Existing
Facilities.
F. Conditional Use Permit
In order to grant approval of a Conditional Use Permit for a Formula Retail Business, the
deciding body must make the following findings:
(1) The proposed use of the property is essential or desirable to the public convenience or
welfare; and

(2) The proposed use will not impair the integrity and character of the zone; and
(3) The proposed use would not be detrimental to public health, safety or general welfare;
and
(4) The proposed use of the property are in harmony with the various elements or
objectives of the General Plan and the purposes of the Town Code.
In regards to the first finding, the proposed use would be considered desirable in that the
proposed use will contribute to the retail mix in the Central Business District. As required
by finding two, the proposed use is retail with a minimal store presence in California and
will not take away from the retail oriented focus of the Central Business District. In
regards to the third finding, the formula retail business will not be detrimental to public
health, safety or general welfare, and the proposed permit conditions regarding operating
hours, maximum number of spa employees, and stations will mitigate potential impacts. In
regards to the final finding, the proposed use is in harmony with the General Plan and
Town Code as addressed in the preceding discussion.
PUBLIC COMMENTS:
The applicant has provided a letter that provides input from commercial neighbors (Exhibit 6).
In addition, staff received an email from Andrew Wolfe, a downtown tenant who has concerns
the proposed business will not enhance the downtown business environment (Exhibit 8).
SUMMARY AND RECOMMENDATION:
A. Summary
Staff has recommended conditions of approval consistent with the applicant's proposed use
regarding the number of spa employees, stations, and operating hours. Traffic and parking
will not be impacted by the proposed use.
B. Recommendation
Based on the analysis above, staff recommends approval of the Conditional Use Permit
subject to the recommended conditions of approval. If the Planning Commission finds
merit with the proposed project, it should:
I. Find that the proposed project is Categorically Exempt pursuant to the adopted
Guidelines for the Implementation of the California Env ironmental Quality Act,
Section 15301: Existing Facilities (Exhibit 2); and

2. Make the required findings as required by Section 29.20.190 of the Town Code for
granting approval of a Conditional Use Permit (Exhibit 2) (Note: if the application

for the Central Los Gatos Redevelopment Project that it meets the uses set forth in
the Town's General Plan (Exhibit 2); and
4. Approve Conditional Use Permit application U-15-005 with the conditions
contained in Exhibit 3.
If the Commission has concerns with the proposed use, it can:
I. Co ntinue the matter to a date certain with specific direction; or
2 . Approve the application with additional and/or modified conditions; or
3. Deny the application and make the required findings for denial (Exhibit 2) (Note: if
the application is denied the provided findings for approval would be removed from
Exhibit 2).

TO THE SATISFACTION OF THE DIRECTOR OF COMMUNITY DEVELOPMENT:
Planning Division
1. APPROVAL: This application shall be completed in accordance with all of the
conditions of approval listed below. Any changes or modifications made to the
approved plans shall be approved by the Director of Community Development, the
Development Review Committee, the Planning Commission, or Town Council,
depending on the scope of the change(s).
2. EXPIRATION OF APPROVAL: The Conditional Use Permit will expire two years
from the date of approval, unless it is used before expiration. Section 29.20.335
defines what constitutes the use of an approval granted under the Zoning Ordinance.
3. HOURS OF OPERATION : Maximum hours of operation shall be 10 :00 a.m. to 8:00
p.m. Monday to Saturday and 11 a.m. to 6 p.m. Sunday.
4. USES: The approved use is for a formula retail store with an ancillary spa room,
providing only spa services identified in condition #5 and shall not permit, hair, nails,
or massage services
5. SPA SERVICES: The approved spa u se is for facials, peels, waxing , and
microdermabrasion.
6. SPA EMPLOYEE: There shall be no more than one employee and one station for the
spa room.
7. SPA ROOM: The tenant space dedicated to spa services shall not exceed 72 square
feet.
8. SIGN PERMIT: A sign permit is required for any new signs or any change of existing
stgns.
9. CERTIFICATE OF USE AND OCCUPANCY: A Certificate of Use and Occupancy
must be obtained prior to commencement of use .
10. BUSINESS LICENSE: A business license is required from the Town of Los Gatos
Fi nance Department prior to commencement of use.
11. TOWN INDEMNITY: Applicants are notified that Town Code Section 1.10.115
requires that any applicant who receives a permit or entitlement from the Town shall
defend, indemnify, and hold harmless the Town and its officials in any action brought
by a third party to overturn, set aside, or void the permit or entitlement. This
requirement is a condition of approval of all such permits and entitlements whether or
not expressly set forth in the approval.

Per the se cond tec hnica l review, there were some questions as to t he business and functionality of bluemercury's
operations. Please find our answers to these questions below:
• Hours of operation -Based on a survey of the tenants in los Gatos, we would plan on our hours being
from 10:00AM -8:00PM Monday -Saturday and from ll:OOAM-G:OOPM on Sunday
• Employee count-We would employee 5-6 people from the community.
• Del ivery information-Our deliveries are made via USPS, UPS and FedEx appr oximately 2-3 days per
week
• Spa services-These are by appointment; however, we accommodate walk-in clients if we have
availability. The spa operating hours are the same as the retail store, though there may instances when
the spa is not open. For example, if we have only one spa employee, she can only work five days. The
remaining two days of the week, the spa would be closed.
As stated in our last submission, we have a m in imal presence in California (only three stores are open, two of which
opened in 2015). Due to a lack of human resources in the state, we have been unable to dedicate someone to solicit the
opinions of other tenants. However, we feel confident that we would be welcomed and looked upon as a positive
addition to the downtown shopping district

v. A hazardous waste facility proposal is subject to the California Health and Safety Code, Article 8 . 7,

As noted in the letter of justification, our brand is known in the most noteworthy communities as the
place to receive first-class products, services, and customer assistance . We offer a convenience factor·
for this client so that she does not have to venture to the more highly trafficked, congested malls to
purchase these amenities. Our diversified product and brand assortment will greatly differentiate us
from other retailers in the market, thereby adding value and uniqueness to the downtown shopping
district.
We are quite proud of our store design and have been profiled in numerous national publications
highlighting our brand and interior esthetic. The press book that was submitted with our application
showcases the attention to detail with our finishes and fixturing, always keeping the customer at the
forefr.ont of our design ideas. Therefore, we believe that our concept will be complementary to the
other businesses in Los Gato s and aqd value to the shopping experience of the consumer. Finally, there
is nothing in our buildout or business model that would be detrimental or harmful to the health, safety,
or general welfare of the customer or downtown area , in general.
We welcome this Conditional Use Permit process as it maintains the integrity and culture of downtown
Los Gatos. It is common for other neighboring businesses to thrive due to our loyal following and traffic
that is drawn to our locations. Due to our minimal presence in California (we only have three stores
open , two of which opened in 2015) and thus lack of human resources in the state, we have been
unable to solicit the opinions of other tenants {Comment #3). However, we feel confident that we
would be welcomed and looked upon as a positive addition to the downtown shopping district.

I am a tenant at 20 S. Santa Cruz Ave and a homeowner in Los Gatos. I received notice of a conditional use application
for Bluemercury on the ne xt block over. I would like to encourage the commission to DENY this permit.
I encourage allowing formula retail where it adds to the diversity of downtown business, provides a unique product or
service, or sill substantially attract new customers to the downtown area . Bluemercury fits none of these
requirements. It provides a product-spa and makeup-that is already prevalent downtown. It will compete with local
businesses rather than enhance them . It will bring no new tourists or residents into town. It will not enhance the
business environment. There are far better possibilities.
