8 OPTIONS

D "in-perpetuity" maintenance @ 20% per year. This is a yearly fee or can be paid on contract signing.
In perpetuity maintenance starts second year (first year is included in base payment for autoChalk
system). Fully covers all software and hardware with no end of life for the products as long as yearly
fees are paid. Includes unlimited telephone and remote support, advice and recommendations with respect to issues affecting autoChalk, one visit per 12 to 18 months, move of equipment to a
replacement vehicle (maximum once every two years) and service calls more frequently if product is not performing properly and is not serviceable from remote location. Includes all defects and wear
caused by normal operation. Does not include accident, deliberate damage, misuse or failure of customer repaired components.

Notes:
1 Minor changes are completed without charge. Changes requiring more than 3 days (aggregated) will be charged at Tannery's published rate. A project plan and fixed price will be offered for
consideration.
2 Damage to equipment (software or hardware) will be repaired and billed to Customer.
3 Material or design defects fixed at no charge.
4 Terms are net 30 days.
5 Lead time for delivery ranges from 10 weeks to 16 weeks
6 Client to provide a dry well lit heated area to install equipment
7 Staff to be trained include one technical liaison for remote troubleshooting. All trainees require basic
computer skills.
8 Performance of autoChalk Mobile can be adversely impacted by improper user operation or by other
vendor's applications. Other software may require disabling or adjusting.
9 Deposit of 30% at contract inception, remainder due within 30 days of project completion.
10 The warranty does not cover the following (with respect to autoChalk Mobile or autoChalk Office or
autoChalk Handheld or autoChalk Parkade) unless specifically authorized in writing by Tannery o Items deliberately damaged
o Accidental damage whether due to misuse, accident, environment, vandalism, etc.
o Antivirus software or other applications introduced to the laptop
o Performance compromised by other configurations or applications added to the laptop
o Viruses or malware that have infiltrated the laptop or office platform or system devices used by autoChalk
o 3rd party components added to autoChalk (additions or replacements)
o Alteration of autoChalk in any fashion
o When the client (including the PEO) does not operate autoChalk in the prescribed manner or cooperate with Tannery
o If the vehicle or network (internet, wireless internet) or other supportive systems are not working satisfactorily
o Other vendors working with the city and to which autoChalk must interface to and their systems are not properly performing
o If faults have not been reported promptly to Tannery
o When the appropriate fees (deposit, purchase, hold back or maintenance) have not been paid
11 An ongoing fee for maintaining the cloud based services will be required.
12 Tannery Creek does not sell data collected. The data is considered the property of the city/town.
