RESOLUTION OF THE TOWN OF LOS GATOS
APPROVING AMENDMENT TO THE LETTER OF AGREEMENT
BETWEEN THE TOWN OF LOS GATOS AND TOWN ATTORNEY
BE IT RESOLVED, and it is hereby resolved by the Town Council of the Town
of Los Gatos, County of Santa Clara, State of California, that the TOWN OF LOS GATOS
enter into that Amendment to the Town Attorney Employment Agreement with Mary Jo
Levinger (a copy of which is attached hereto); and
BE IT FURTHER RESOLVED, that the Mayor is authorized and is hereby
directed to execute said Agreement in the name of and in behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 2nd day of October, 1989 by the following vote:

AMENDMENT TO
TOWN ATTORNEY EMPLOYMENT AGREEMENT
This AMENDMENT TO AGREEMENT is entered into this 2nd day of
OCTOBER , 1989 and is effective as of the 25th day of June, 1989, by and
between the TOWN OF LOS GATOS, a municipal corporation ( "Town ") and MARY JO
LEVINGER ( "Levinger').
RECITALS:
WHEREAS, Town and Levinger executed a Town Attorney Employment Agreement
on November 29, 1983, and Amendments to Town Attorney Employment Agreement on
August 6, 1984, on June 17, 1985, on September 2, 1986, on August 7, 1987, and on
November 7, 1988.
WHEREAS, the Town C )rmance evaluation of Levinger.

1. Section C -6 is ame
"6. Town shall pw, vv-lo of Levinger's 7% employee contribution to the
Public Employees Retirement System (PERS)."
2. Section C -1 is amended to read as follows:
111. The salary shall be $70,220.80."
3. Levinger shall receive a $2,000 performance bonus for 1988 -1989.
4. The terms and conditions of the original Agreement, except as herein
amended, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Town
Attorney Employment Agreement on the date written above, effective June 25, 1989.
