RESOLUTION OF THE TOWN OF LOS GATOS
AUTHORIZING TOWN MANAGER TO SIGN A CONTRACT
WITH HAMMETT & EDISON TO CONDUCT A TECHNICAL
AUDIT OF THE TOWN'S CABLE TELEVISION CONTRACT
FOR CONSIDERATION OF A TRANSFER OF THE CABLE FRANCHISE
FROM HEARST CABLEVISION OF CALIFORNIA TO
BRENMORE, INCORPORATED
WHEREAS, the Town's franchise with Hearst Cablevision of California
began in February, 1983; and
WHEREAS, Hearst Cablevision requests a transfer of the franchise to
Brenmore, Incorporated to complete the sale of the system; and
WHEREAS, in accordance with the Town Code the transfer of the cable
system requires the Town Council's approval. The Council will be interested in reserving
all rights under Government Code Section 53066 to protect the Town's cable subscribers.
Staff will be discussing with Hearst and Brenmore the transferee's ability to (1) guarantee
the quality of service, (2) control rates to subscribers, (3) pay the 5% franchise fee to
the Town, (4) demonstrate the transferee's experience and financial responsibility, and
(5) provide any other safeguards determined to be in the best interest of the Town.
WHEREAS, in accordance with the Town Code and the Franchise
agreement with Hearst, staff has notified Hearst that the Transfer will not occur until a
System and Services Review has been conducted. This is a public hearing to review
existing services and discuss the possibilities of new or additional services in the future;
and
WHEREAS, staff recommends that a performance audit of the system be
conducted by an independent consultant with the fees to be paid by the franchisee; and

WHEREAS, the Franchise Agreement provides for the franchise to pay up
to $7,500 for this audit.
NOW, THEREFORE, BE IT RESOLVED, that Council authorizes the Town
Manager to enter into a contract with Hammett & Edison to provide this service.

Town of Los Gatos, California, held on the 7th day of AUGUST , 1989
by the following vote:
