RESOLUTION OF THE TOWN OF LOS GATOS
APPROVING THE COST SHARING AGREEMENT BETWEEN
THE TOWN AND THE COUNTY OF SANTA CLARA
FOR THE STUDY OF STATE ROUTE 17 AT LEXINGTON RESERVOIR
INTERCHANGE AND FRONTAGE ROAD
RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that the TOWN OF LOS GATOS enter into an
agreement entitled, "Cost Sharing Agreement to Provide Local Funds to the State
of California Department of Transportation for the State Route 17 at Lexington
Reservoir Interchange and Frontage Road Project ", with the County of Santa
Clara, a copy of which is attached hereto.
FURTHER RESOLVED, that the Mayor is authorized, and hereby directed to
execute said Agreement in the name and in behalf of the TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 3rd day of April, 1989 by the
following vote:

COST SHARING AGREEMENT TO PROVIDE LOCAL
FUNDS TO THE STATE OF CALIFORNIA DEPARTMENT OF TRANSPORTATION
FOR THE STATE ROUTE 17 AT LEXINGTON RESERVOIR
INTERCHANGE AND FRONTAGE ROAD PROJECT
THIS AGREEMENT is made by the TOWN OF LOS GA'TOS, a municipal
corporation whose address is 110 East Main Street, Los Gatos, California,
95030, hereinafter referred to as, "TOWN" and the COUNTY OF SANTA CLARA,
STATE OF CALIFORNIA, hereinafter referred to as, "COUNTY ".
RECITALS
A. The COUNTY, on June 24, 1936, passed and adopted a Resolution of
the Board of Supervisors requesting and consenting to funding
assurance by COUNTY to provide local funds to the State of
California, Department of Transportation, hereinafter referred to
as "STATE" for the State Route 17 at Lexington Reservoir
Interchange Special Study.
B. The Resolution stated the COUNTY would contribute up to the
maximum amount of $100,000 (One Hundred Thousand Dollars), or a
like amount of contract services, or a combination thereof, toward
the study cost.
C. The Resolution further stated that COUNTY'S contribution would be
pooled from the following public and private sources:
$50,000 (Fifty Thousand Dollars) from the County of Santa
Clara Transportation Agency.
$30,000 ('Thirty Thousand Dollars) from the County of Santa
Clara Parks and recreation Department
$10,000 (Ten Thousand Dollars) from the Town of Los Gatos.
$10,000 (Ten Thousand Dollars) from a public contribution.
D. The COUNTY and STATE on October 21, 1936, entered into an
Agreement (STATE Document No. SC1 -43 -5875) which provides for
STATE to be the Lead Agency and for COUNTY to contribute the sum
of $100,000, or a like amount of contract services or a
combination thereof, toward the Study Cost.
NOW THEREFORE, in consideration of the recitals and mutual promises
contained herein, TOWN and COUNTY agree as follows:
1. COMPLETION OF STUDY. COUNTY agrees to complete the STUDY under
the direction of the STATE.

2. CONTRIBUTION OF LOCAL FUNDS TO STATE. County agrees to contribute
or a like amount of contract services, or a
combination thereof toward the Study Costs.
3. CONTRIBUTION OF TOWN FUNDS TO COUNTY. TOWN agrees to contribute
to COUNTY funding pool the amount of $10,000.00 as listed in the
June 24, 1986 Resolution. Payment shall be due within 60 days
from execution of this agreement.

shall be deemed given when made in writing and delivered to:
