RESOLUTION APPROVING THE AGREEMENT WITH
LAWRIE & ASSOCIATES FOR PROPERTY ACQUISITION
SERVICES FOR THE DOWNTOWN PARKING ASSESSMENT DISTRICT
RESOLVED, by the Town Council of the Town of Los Gatos, County of Santa
Clara, State of California, that the TOWN OF LOS GATOS enter into an agreement
with LAWRIE & ASSOCIATES for property acquisition services for the Downtown
Parking Assessment District, and that the Town Manager is authorized, and is
hereby directed, to execute said agreement in the name and in behalf of the
TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos held on 7th day of November , 1988 by the
following vote:

WITNESSETH:
TOWN proposes to acquire property for the Downtown Parking
Assessment District. TOWN desires to secure professional right -
of -way services in conjunction with this project.
It is hereby mutually agreed as follows:
1. CONTRACTOR agrees to perform to the reasonable
satisfaction of the TOWN, the services described in the
Request for Proposal, dated October 7, 1988.
2. CONTRACTOR agrees to indemnify and hold harmless the
TOWN, its officers, agents and employees, from and
against any and all liability, claims, suits, loss,
damages, costs, and expenses arising out of or resulting
from any negligent acts, errors, or omissions of
CONTRACTOR, its officers, employees, agents or
subcontractors in the performance of their services under
this contract.
3. CONTRACTOR agrees to submit bills to the TOWN monthly;
TOWN agrees to reimburse CONTRACTOR monthly within thirty
(30) days from submittal.
This Agreement contains the entire understanding between the
parties with respect to the subject matter herein. There are no
representations, agreements, arrangements, or understandings
(whether oral or written) between or among the parties relating to
the subject matter of this Agreement which are not fully expressed
herein. This Agreement may not be amended except pursuant to
written instrument signed by all parties.
