A RESOLUTION AUTHORIZING THE TOWN MANAGER
TO NEGOTIATE AND THE MAYOR TO EXECUTE
AGREEMENTS WITH EUREKA FEDERAL SAVINGS AND
LOAN ASSOCIATION AND THE LOS GATOS MUSEUM
ASSOCIATION.
WHEREAS, the Town Council is desirous of entering into
agreements with Eureka Federal Savings and Loan Association
and the Los Gatos Museum Association;
NOW, THEREFORE, BE IT RESOLVED that the Town Manager is
so authorized to negotiate such agreements.
BE IT FURTHER RESOLVED that the Mayor is authorized and
is hereby directed to execute said agreements in the name and
in behalf of the Town of Los Gatos,
PASSED AND ADOPTED by the Town Council of the Town of Los
Gatos at a regular meeting held. this 18th day of February, 1986
by the following vote:

AGREEMENT TO CANCEL LEASE OF FORBES MILL ----- - - - -_.
THIS AGREEMENT, made and entered into this 26th day of February ,
1986, by and between the TOWN OF LOS GATOS, a mun— icipal corporation of the
State of California, hereinafter called "TOWN" and "EUREKA FEDERAL SAVINGS
AND LOAN ASSOCIATION, hereinafter called "EUREKA ";
WHEREAS, EUREKA desires to end the lease agreement with TOWN for the
premises known as Forbes Mill, entered into June 17, 1981 for a term
commencing June 1, 1981 and terminating May 31, 1990;
WHEREAS, TOWN agrees to said cancellation as of March 1, 1986, under
certain conditions;
NOW THEREFORE, the parties hereby agree as follows:
1. TOWN shall permit the cancellation of the lease of those premises and
appurtenances located northwest of Church and East Main Streets in the
Town known as Forbes Mill, consisting of the two -story building located on
Parcel C of Tract 6700, recorded November 16, 1979 in Book 454 of Maps at
1 -19.
2. EUREKA shall do the following:
a. Donate to TOWN all existing fixtures, improvements, displays,
(excluding artifacts and pictures owned by Eureka or others) and
exhibits owned by EUREKA;
b. Donate to the Los Gatos Museum Association sufficient funds to
cover all utilities costs at Forbes Mill Museum until and
including June 30, 1986; and
C. Donate to the Los Gatos Museum Association sufficient funds to
cover the costs of providing reception services at Forbes Mill
Museum at a level consistent with the current coverage until and
including June 30, 1986.
3. TOWN shall not incur any financial obligation related to the Forbes
Mill Museum beyond the current agreement to pay for grounds maintenance.

Re: Support for the Los Gatos Museum
and the Forbes Mill Museum
To the Board of Directors:
Due to the consolidation of the Los Gatos Museum and the Forbes
Mill Museum and the agreement by Eureka Federal Savings and Loan
Association to pay to the Los Gatos Museum Association
1) sufficient funds to cover all utility costs at Forbes Mill
Museum until June 30, 1986, and 2) sufficient funds to cover the
costs of providing reception services at Forbes Mill Museum at
a level consistent with current coverage until June 30, 1986, it
is the understanding of the Town of Los Gatos that the Los Gatos
Museum Association agrees to do the following:
1. Continue to provide financial support, reception services
and volunteer efforts for the Los Gatos Museum.
2. Provide financial support, reception services and volunteer
efforts for the Forbes Mill Museum.
The Town of Los Gatos will not incur any financial obligation
related to the Forbes Mill Museum or the Los Gatos Museum beyond
the current agreement to pay for grounds maintenance at both
facilities and for electric, water, and refuse collection at the
Los Gatos Museum property.
If the Los Gatos Museum Association agrees with the terms set
forth in this letter agreement, please sign below and return a
copy to me.
