[%K]NCIL ` ` SIGNED:___ M11HYUR OF lftll.,� TOWN OF LOS OPTOS ATTEST: ------ ---`-- L �K T)WNOF � ' AGREEMENT FOR INSTALLATION OF SOLAR HOT WATER SYSTEM ON UNITS AT 210 -220 MILLBRAE LANE This agreement is made and entered into, effective upon the last date this document is signed by the parties hereto, by and between TOWN OF LOS GATOS, hereinafter called "Town," a city, and MILLBRAE ASSOCIATES, hereinafter called "Developer," whose place of business is 1030 South Winchester Blvd., San Jose, California 95128 and is made with reference to the following facts: 1. On April 25, 1984 the Town Planning Commission approved Architecture and Site Application S -84 -12 for a six unit condominium project at 210 -220 Millbrae Lane which plans included a solar hot water system for each unit. 2. Developer deleted the solar hot water systems, substituting other conservation measures in compliance with the State energy conservation regulations (Title 24) after conferring with Town staff. 3. On July 26, 1985 Developer submitted request for amendment to the conditions of approval of said application to eliminate the solar hot water systems. 4. Developer's request (S- 84 -12A) will be heard by the Town Planning Commission on August 28, 1985. 5. Developer seeks partial occupancy of five of the six units on the property. 6. Town desires to ensure the provision of the solar hot water system for the units if the Planning Commission denies the request for modification of the conditions of approval. Based on the foregoinq recitals, the parties hereto agree as follows: 1. Developer will deposit with Town a cashier's check in the amount of Thirteen Thousand One Hundred Fifty Dollars ($13,150.00) which is the contract bid by Bright Construction for the installation of six (6) solar domestic hot water systems. The contract bid is attached hereto as Exhibit "A" and incorporated by reference herein. 2. Provided Developer complies with the cashier's check deposit. requirement, Town will allow partial occupancy of the project not to exceed five (5) units. 3. In the event the Town Planning Commission denies Application S- 84 -12A, or if appealed to the Town Council, the Town Council denies Application S- 84 -12A, the Developer shall install said solar hot water systems by January 1, 1986. If the Developer fails ±n install solar hot water systems by said date, Town shall expend the funds deposited by Developer to install the solar hot water systems in the units. rN 4. In the event the Town Planning Commission approves Application S- 84 -12A, or developer performs the installation of the said solar hot water system, Town shall refund to Developer the amount of Thirteen Thousand One Hundred Fifty Dollars ($13,150.00). 5. Developer will hold harmless and indemnify Town, its officers, employees and agents from any sort of loss, damage or liability, suits, actions and claims, including cost and expense of defenses and responses, arising from any occurrence in act or omission concerning the installation of the solar hot water systems by Town, its employees or agents. 6. Completion of all other required work is a necessary prerequisite to the occupancy and use of the property in the manner proposed by Developer, and no final certificate of occupancy or approval of utility service shall be issued until all of the work, other than the work required by this agreement, is completed. 7. In the event of litigation to enforce the terms of this agreement, the prevailing party shall have its costs and reasonable attorney's fees and expenses. Multipoint Freeze Sensing When providing recirculate or draindown freeze protection with Independent Energy, Inc. solar controls, Independent Energy, Inc. requires multipoint freeze sensing for compliance with its California Warranty (on controls sold through distribution and warrantied by Independent Energy, Inc.). In addition, warranty coverage is extended only to those controls installed with freeze protection overriding the turn on /turn off differential. Independent Energy, Inc. strongly recommends this practice for controls installed in the remainder of the U.S. and abroad where its one year warranty is in effect. 030.1 S: Wire GC -1 snap switch sensor in series with standard IE sensor wired to "collector" or "freeze" terminal strip position. Properly terminate all power wiring in compliance with all local and NEC codes. 3. Double check to ensure that input and output electrical ratings of control are not exceeded.
