1985-087-Authorizing The Town Manager To Execute An Agreement Between The Town And Hughes, Heiss & Associates For Town Manager RecruitmentRESOLUTION NO. 1985 -87 A RESOLUTION AUTHORIZING THE TOWN MANAGER TO EXECUTE AN AGREEMENT BETWEEN THE TOWN AND HUGHES, HEISS & ASSOCIATES FOR TOWN MANAGER RECRUITMENT BE IT RESOLVED, and it is hereby resolved that the Town Council of the Town of Los Gatos, California, does hereby authorize and direct the Town Manager to execute an agreement providing services for Town Manager recruitment with the firm of Hughes, Heiss & Associates (a copy of which is attached hereto). Ventura, and Mayor Joanne Benjamin NOES: COUNCILMEMBERS None ABSENT: COUNCILMEMBERS None ABSTAIN: COUNCILMEMBERS None SIGNED: k ''"r .J'LLI r� s R, TOWN OF LOS OS ATTEST: CLERK OF THE TOWN OF LOS G S AGREEMENT This Agreement, made as of the 17th day of June, 1985, is by and between the Town of Los Gatos (hereinafter called the "Town ") and located at 110 E. Main Street, Los Gatos, California, and Hughes, Heiss & Asso- ciates (hereinafter called the "consultant "), located at 675 Mariners Island Boulevard, Suite 108, San Mateo, California 94404. I. RECITALS The Town desires to undertake a recruitment for a Town Manager and has approved the use of the consultant to assist in this recruitment. The consultant is qualified to conduct this recruitment and agrees to assist the Town in doing so. II. SCOPE OF WORK The consultant shall perform the following work tasks in assisting the Town in the recruitment of a new Town Manager: (1) Develop a "candidate profile" for the position of Town Manager. (2) Develop and place "eye catching" advertisments in selected publications. (3) Prepare and send a brochure to candidate sources and prospective candidates. (4) Prepare video tape program to heighten candidates' interest and acquaint them with the Town of Los Gatos. (5) Conduct telephone sourcing program to further identify and interest highly qualified candidates. (6) Closing deadline for receiving resumes. (7) Develop a "Personal Profile" Questionnaire to be completed by the more qualified candidates. (8) Closing deadline for receiving self- assessment questionnaires. (9) Screen applications to identify the top ten to fifteen candi- dates. (10) Complete personal interviews with selected semi - finalists to assist in the screening process. -2- (11) Prepare a progress report on top candidates and their backgrounds and qualifications. (12) Meet with the Town Council to screen candidates further to develop finalist list. (13) Develop possible questions and approach for the Town Council to use in interviewing finalists. (14) Interview finalists and make a selection. (15) Conduct reference checks of top candidate(s). (16) Negotiate compensation and appoint new Town Manager. (17) Notify all candidates. The above work tasks are intended to be a summary of the work tasks outlined in the proposal submitted by consultant dated May 28, 1985. III. CONSULTANT FEE The Town shall pay the consultant a fixed fee of $9,500 for recruit- ment services performed. The Town also shall pay the consultant for reimbursable expenses, at cost, incurred during the recruitment for advertisements, travel, telephone, clerical services and printing. The consultant shall provide the Town with an itemization of these expenses at the end of each month for payment. IV. TERMINATION This Agreement may be terminated by either party after written notice to that effect has been given to and received by the other party. In the event that termination of this Agreement occurs, the consultant shall be paid for services satisfactorily completed and reimbursable expenses incurred as mutually determined by the Town and consultant. V. ASSIGNMENT This Agreement is not assignable by either party, hereto, to any other party. -3- VI. TIMTNG The recruitment for a new Town Manager shall be completed by the consultant by October 1, 1985, or before.
