A RESOLUTION AMENDING SERVICE AGREEMENT
WITH GATES, McDONALD & COMPANY.
BE IT RESOLVED, and it is hereby resolved, by the Town Council of
the Town of Los Gatos, County of Santa Clara, State of California, that
the Town Manager is authorized to execute that AMENDMENT TO SERVICE AGREE-
MENT between the TOWN and GATES, McDONALD & COMPANY for administration of
the Town's Self- Insurance Program (copy attached hereto).
PASSED AND ADOPTED BY THE TOWN COUNCIL OF THE TOWN OF LOS GATOS,
CALIFORNIA, at a regular meeting held this — 18th day of
July 1983, by the following vote:
AYES: COUNCIL MEMBERS Joanne Benjamin, Terrence J. Daily,
Thomas J. Ferrito and Mayor Brent N. Ventura

AMENDMENT TO SERVICE AGREEMENT
That certain service agreement entered into on April 20, 1977, by and be-
tween TOWN OF LOS GATOS (hereinafter referred to as "Town ") and GATES,
McDONALD & COMPANY (hereinafter referred to as "Company ") is hereby amended
as follows:
Paragraph 2, Page 1, Term, shall be amended to read:
"This agreement shall be for a period of three years, commencing on
July 1, 1983 and terminating on June 30, 1986, provided, however.,
that the said agreement shall, unless terminated as herein provided,
be self - renewing on a year -to -year basis thereafter."
Paragraph 3, Page 1, Consideration, shall be amended to read:
"The service fee for the first year shall be $4,400, payable quar-
terly at the rate of $1,100,, The service fee for the second year
shall be $4,800, payable quarterly at the rate of $1,200, The ser-
vice fee for the third year shall be $5,200, payable quarterly at
the rate of $1,300."
Paragraph 5 -f., Page 5, Safety Engineering, shall be amended to read:
"Company shall furnish to Town loss control services during the
three -year contract term, as requested by Town and utilized at
Town's discretion, The fee for said services shall be $350 per

day in the first year, $400 per day in the second year, and $450
per day in the third year."
All other terms and conditions shall remain in force.
This amendment supersedes any and all previously executed amendments to that
certain service agreement entered into on April 20, 1977.
IN WITNESS WHEREOF THE PARTIES HERETO HAVE EXECUTED THIS AMENDMENT on the
