1983-082-Authorizing The Town Manager To Execute An Agreement Between The Town Of Los Gatos And Hughes, Heiss & AssociatesRESOLUTION NO. 1983 -82 A RESOLUTION AUTHORIZING THE TOWN MANAGER TO EXECUTE AN AGREEMENT BETWEEN THE TOWN OF LOS GATOS AND HUGHES, HEISS & ASSOCIATES BE IT RESOLVED, AND IT IS HEREBY RESOLVED by the Town Council of the Town of Los Gatos that the Manager is hereby authorized and directed to execute a contract between the TOWN OF LOS GATOS and HUGHES, HEISS & ASSOCIATES for provision of services relating to the recruitment of a Town Attorney. PASSED AND ADOPTED by the Town Council of the Town of Los Gatos, California, at a regular meeting held this 2nd day of May, 1983, by the following vote: AYES: COUNCIL MEMBERS Joanne Benjamin, Terrence J. Ventura NOES: COUNCIL MEMBERS None ABSENT: COUNCIL MEMBERS None ABSTAIN: COUNCIL MEMBERS None SIGNED: MAYOR HE TOWN OF LOS GATOS ATTEST: CLERK 0 THE TOWN OF LOS GATO�- AnPPPMFNIT This Agreement, made as of the 31st day of July, 1983, is by and between the Town of Los Gatos (hereinafter called the "Town ") and located at 110 E. Main Street, Los Gatos, California, and Hughes, Heiss & Asso- ciates (hereinafter called the "consultant "), located at 675 Mariners Island Boulevard, Suite 108, San Mateo, California 94404. I. RECITALS The Town desires to undertake a recruitment for a Town Attorney and has approved the use of the consultant to assist in this recruitment. The consultant is qualified to conduct this recruitment and agrees to assist the Town in doing so. II. SCOPE OF WORK The consultant shall perform the following tasks in assisting the Town in the recruitment of a new Town Attorney: (1) Determine most advantageous legal alternative; (2) Develop a "Candidate Profile" for the position of Town Attorney; (3) Develop and place advertisements in selected professional journals; (4) Prepare and send a mailer to candidate sources and prospective candidates; (5) Conduct telephone sourcing program to further identify and interest highly qualified candidates /firms; (6) Develop a "personal profile" to be completed by all finalists; (7) Closing deadline for receive applications; (8) Screen applications to identify the top ten to fifteen candidates; (9) Closing date for personal profiles from finalists; (10) Videotape interviews with more qualified candidates; (11) Prepare a progress report on top candidates and their backgrounds and qualifications; (12) Screen candidates further to top five to six finalists; (13) Conduct reference checks of finalists; (14) Develop possible questions and approach for Council to use in interviewing finalists. (15) Interview finalists and make a selection; (16) Negotiate compensation and appoint new Town Attorney; (17) Notify all candidates. The above scope of work is intended to be a summary of the work tasks outlined in the proposal submitted by consultant dated March 14, 1983. III. CONSULTANT FEE The Town shall pay the consultant a fixed fee of $6,000 for recruit- ment services performed. The Town also shall pay the consultant for reimbursable expenses, at cost, incurred during the recruitment for advertisements, travel, telephone, clerical services and printing. The consultant shall provide'the Town with an itemization of these expenses at the end of each month for payment. IV. TERMINATION This Agreement may be terminated by either party after written notice to that effect has been given to and received by the other party. In the event that termination of this Agreement occurs, the consultant shall be paid for services satisfactorily completed and reimbursable expenses incurred as mutually determined by the Town and consultant. V. ASSIGNMENT This Agreement is not assignable by either party, hereto, to any other party. EPA VI. TIMING The recruitment for a new Town Attorney shall be completed by the consultant by September 1, 1983, or before.
