RESOLUTION APPROVING TRAFFIC SIGNAL MAINTENANCE

RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that the TOWN OF LOS GATOS enter into
a revised agreement with SIGNAL MAINTENANCE, INC. (SMI) for the main-
tenance of the Town's traffic signals, a copy of which is attached hereto,
and that the Mayor is authorized, and is hereby directed to execute said
agreement in the name and in behalf of the TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town Council
of the Town of Los Gatos held on the 25th day of October , 1982,
by the following vote:
AYES: COUNCIL MEMBERS Ruth Cannon Thomas J. Ferrito,
MarLyn J. Rasmussen, Peter W. Siemens and Mayor
Brent N. Ventura

TRAFFIC SIGNAL MAINTENANCE
MUMEAS, the Town of Los Gatos, a Municipal Corporation of the State
of California, herein called TOWN, and SIGNAL MAINTENANCE, INC., a California
Corporation, herein called CONTRACTOR, entered into an agreement dated Sep-
tember 9, 1981, which agreement is attached hereto as Exhibit A; and
WHEREAS, Town and Contractor, desire to change the unit price schedule
which determines the contractor's payments pursuant to said agreement.
NOW THEREFORE, Town and Contractor in consideration of the mutual pro-
mises and covenants herein contained agree as follows:
1. All of the terms of said agreement are readopted and reaffirmed
except for the following.
a. The unit prices listed on the document entitled Bid Items for
Traffic Signal Maintenance for Various Cities, Town of Los Gatos, September 28,
1982 attached hereto as Exhibit B shall be used to determine the contractors
compensation pursuant to said agreement.
2. This addendum shall apply to charges for services beginning October 1,
1982.
IN FITNESS W=REOF, the parties hereto have caused this Agreement to be
executed by CONTRACTOR on the 4th day of November 1982 and by
TOWN on the 8th day of November , 1982.
