RESOLUTION AUTHORIZING REVISED AGREEMENT
WITH SANTA CLARA COUNTY (KNOWLES DRIVE
ASSESSMENT DISTRICT)
RESOLVED, by the Town Council of the Town of Los Gatos,
County of Santa Clara, State of California, that the TOWN OF
LOS GATOS enter into that revised agreement entitled, "REVISED
AGREEMENT WITH SANTA CLARA COUNTY FOR PARTICIPATION IN THE
KNOWLES DRIVE ASSESSMENT DISTRICT," a cony of which is attached
hereto, and that the Mayor is authorized, and he is hereby
directed, to execute said agreement in the name and in behalf
of the TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town
Council of the Town of Los Gatos held on the „ -g day of

AGREEMENT BETWEEN THE TOWN OF LOS GATOS AND
THE COUNTY OF SANTA CLARA FOR PARTICIPATION
IN THE KNOWLES DRIVE ASSESSMENT DISTRICT
This agreement is made and entered into, effective on the last date this
document is signed by the parties hereto, by and between the TOWN OF LOS GATOS,
a municipal corporation, hereinafter referred to as "TOWN ", and the COUNTY OF
SANTA CLARA, hereinafter called "COUNTY"
WHEREAS, COUNTY owns land as described on Exhibit "A ", hereinafter
referred to as "Parcel A ", and land described on Exhibit "B ", hereinafter
referred to as "Parcel B "; and
WHEREAS, COUNTY intends to sell Parcel B but has not yet done so.
WHEREAS, TOWN is in the process of making street, drainage and utility
improvements in the vicinity of Parcels A and B through a project known as the
Knowles Drive Assessment District herein after referred to as PROJECT; and
WHEREAS, COUNTY desires to have TOWN include in PROJECT street, drainage
and utility work that benefits Parcels A and B as shown on Exhibits C and D.
WHEREAS, COUNTY desires to defer payment for such work to permit payment
from the proceeds of the sale of Parcel B.
THE PARTIES HERETO AGREE AS FOLLOWS:
1. TOWN will provide COUNTY with copies of the plans specifications and
contract documents for PROJECT.
2, TOWN will award and administer the construction contract for said
PROJECT, and will inspect the work.
3. TOWN will provide COUNTY with an opportunity to inspect the work, to
insure conformity with the Plans and Specifications.
4. Within 30 days` after acceptance of the work by TOWN, TOWN will make a
final accounting of the cost of the work based on actual quantities of work
completed and accepted, and shall submit said final accounting to COUNTY.
5. Within 60 days after sale of Parcel B and in any event prior to
September 1982 COUNTY will pay TOWN the cost of the street, drainage and
utility improvements that benefit Parcels A and B as shown on Exhibits C and D
in accordance with said final accounting plus interest. Interest shall be paid
from the date of completion of the work to date of payment. Interest shall
accure at the rate of 12% per year.
