A RESOLUTION APPROVING AMENDMENTS TO THE
TOWN MANAGER EMPLOYMENT AGREEMENT, TO BE
EFFECTIVE JULY 1, 1981
RESOLVED, that the current Town Manager Employment Agreement
signed by the Town of Los Gatos and Town Manager David R. Mora on
January 6, 1981, is hereby approved for amendment as indicated in
the attached Exhibit "A "; and
BE IT FURTHER RESOLVED that the Mayor is hereby authorized
and directed to execute said amendments to agreement on behalf of
the Town of Los Gatos.
PASSED AND ADOPTED by the Town Council of the Town of Los
Gatos, California, at a continued meeting, held this 27th
day of July , 1981, by the following vote:

TOWN MANAGER EMPLOYMENT AGREEMENT AMENDMENTS
(Effective July 1, 1981)
Section C.1 is amended to read that:
"The base salary shall be $51,000. Town shall review said
salary annually at the time of adoption of the budget."
Section C.4 is retitled as follows:
"ICMA Deferred Compensation Program ".
Section C.4 is amended to read that:
"Town will execute the standard agreement with the International
City Management Association (ICMA) for Mora to participate in its Deferred
Compensation Program, provided that Town contributions shall be limited to
discretionary fringe benefit allocation funds available to Mora under the
Town's Management Compensation Plan."
EXHIBIT "A"
AMENDMENT TO
TOWN MANAGER EMPLOYMENT AGREEMENT
This AGREEMENT is entered into this 14_6- day of ;
1981, and is effective as of the 1st day of July, 1981, by and between the
TOWN OF LOS GATOS, a municipal corporation ( "TOWN "), and DAVID R. MORA
( "MORA ").
RECITALS:
1. TOWN and MORA executed a Town Manager Employment Agreement on
January 6, 1981.
2. The Town Council of TOWN has completed a performance evaluation
of MORA.
3. MORA has requested that TOWN amend Section C.4. of the Agreement.
AGREEMENT:
In consideration of the foregoing recitals, and of their respective
promises herein, the parties agree as follows:
1. Section C.I. of the Agreement is amended to read that:
"The base salary shall be $51,000. TOWN will review said
salary annually at the time of adoption of the budget."
2. Section C.4. of the Agreement is retitled as follows:
"ICMA Deferred Compensation Program ".
3. Section C.4. of the Agreement is amended to read that:
"TOWN" will execute the standard agreement with the Inter-
national City Management Association (ICMA) for MORA to
participate in its Deferred Compensation Program, provided

IN WITNESS WHEREOF, the parties have executed this Agreement on
