RESOLUTION AUTHORIZING AGREEMENT WITH
THE CITY OF CAMPBELL ( KNOWLES DRIVE
ASSESSMENT DISTRICT).
RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that the TOWN OF LOS GATOS enter
into that agreement entitled, "AGREEMENT BETWEEN THE TOWN OF LOS GATOS
AND THE CITY OF CAMPBELL FOR PARTICIPATION IN THE KNOWLES DRIVE
ASSESSMENT DISTRICT ", with the CITY OF CAMPBELL, a copy of which is
attached hereto, and that the Mayor is authorized, and he is hereby
directed, to execute said agreement in the name and in behalf of the
TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town
Council of the Town of Los Gatos held on the 18th day of May
1981, by the following vote:

This agreement is made and entered into, effective on the last date
this document is signed by the parties hereto, by and between the TOWN OF
LOS GATOS, a municipal corporation, hereinafter referred to as "TOWN ", and
the CITY OF CAMPBELL, a municipal corporation, hereinafter called "CITY ".
WHEREAS, TOWN intends to make certain street and drainage improvements
through a project known as the Knowles Drive Assessment District, herein-
after referred to as "PROJECT "; and
WHEREAS, CITY desires to have TOWN include in PROJECT certain street
and drainage work which is within the corporate limits of CITY, or which
benefits lands within the corporate limits of CITY.
THE PARTIES HERETO AGREE AS FOLLOWS:
1. TOWN will prepare or cause to be prepared Plans and Specifications
for PROJECT, including the work described on Exhibit "A" attached hereto,
which work benefits CITY.
2. TOWN will submit said Plans and Specifications to CITY for
approval.
3. Upon approval of said Plans and Specifications by CITY, TOWN
will advertise for bids and award a contract therefor to the lowest
responsible bidder.
4. Within 60 days after TOWN notifies CITY that TOWN has awarded a
contract for PROJECT, CITY will pay TOWN $77,919.00 which is the estimated
cost of CITY'S share of the work, including incidental costs as described
in Exhibit "A ".
5. TOWN will require Contractor to insure CITY to the same extent
Contractor insures TOWN.

6. TOWN will administer the contract for said PROJECT, and inspect
the work.
7. TOWN shall provide CITY with an opportunity to inspect the work,
to insure conformity with the Plans and Specifications, prior to
acceptance.
8. Within 30 days after acceptance.of the work by TOWN, TOWN will
make a final accounting of the cost of the work based on actual quantities
of work completed, and accepted, and shall submit said final accounting
to CITY.
9. If the estimated cost of the work described in Paragraph 4. above
is more than the actual cost of the work, based on said final accounting,
TOWN shall reimburse CITY the difference between the two sums within 30
days of said final accounting.
10. If the actual cost of the work, as determined by the final
accounting, is more than the estimated cost of the work described in
Paragraph 4. above, CITY shall'pay the TOWNT the difference in the two
sums within 30 days of said final accounting.
11. Upon completion of the project, the above described improvements
shall be operated and maintained by the agency having jurisdiction, except
that the traffic signal system at the intersection of Winchester Boulevard
and Knowles Drive shall be operated and maintained by TOWN with 25% of the
cost of operation and maintenance reimbursed to TOWN by CITY.
12. If TOWN has not awarded a.contract for PROJECT by January 1,
1982, this contract shall be null and void.
