RESOLUTION AUTHORIZING AGREEMENT WITH
COUNTY SANITATION DISTRICT NO. 4
( KNOWLES DRIVE ASSESSMENT DISTRICT).
RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that the TOWN OF LOS GATOS enter into
that agreement entitled, "AGREEMENT BETWEEN THE TOWN OF LOS GATOS AND
COUNTY SANITATION DISTRICT NO. 4 IN THE KNOWLES DRIVE ASSESSMENT DISTRICT ",
with COUNTY SANITATION DISTRICT NO. 4, a copy of which is attached hereto,
and that the Mayor is authorized, and he is hereby directed, to execute
said agreement in the name and in behalf of the TOWN OF LOS GATOS.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos held on the 4th day of May , 1981, by
the following vote:

AND COUNTY SANITATION DISTRICT NO. 4
Ii THE KNOWLES DRIVE ASSESSMENT DISTRICT.
This agreement is made and entered into, effective on the last
date this document is signed by the parties hereto, by and between the
701,%N OF LOS GATOS, a municipal corporation, hereinafter referred to as
"TOWN', and COUNTY SANITATION DISTRICT NO. 4, hereinafter called
"DISTRICT"'
WHEREAS, TOWN intends to make certain street and drainage i7provements
through a project known as the Knowles Drive Assessment District, herein-
after referred to as "PROJECT"; and
WHEREAS, DISTRICT desires to have TOWN include in PROJECT certain
sanitary sewer work in West Parr Avenue.
THE PARTIES HERETO AGREE AS FOLLOWS:
1. TOWN will prepare or cause to be prepared Plans and
Specifications for PROJECT, including the sanitary sewer work described
on Exhibit "A" attached hereto.
2. TOWN will submit said Plans and Specifications to DISTRICT
for approval.
3. Upon approval of said Plans and Specifications by DISTRICT,
TOWN will advertise for bids and award a contract therefor to the lowest
responsible bidder.
4. Within 60 days after TOWN notifies DISTRICT that TOWN has
awarded a contract for project, DISTRICT will pay TOWN $4,171.00, which
is the estimated cost of DISTRICT'S share of the work, including
incidental costs as described in Exhibit "A"

5. TOWN will require Contractor to insure DISTRICT to the same
extent Contractor insures TOWN.
6. TOWN will administer the contract for said PROJECT, and
inspect the work.
?. TOWN shall provide DISTRICT with an opportunity to inspect the
work, to insure conformity with the Plans and Specifications, prior to
acceptance.
S. Within 30 days acceptance of the work by TOWN, TOWN will make
a final accounting of the cost of the work based on actual auantities of
work completed, and accepted, and shall submit said final accounting to
DISTRICT.
9. If the estimated cost of the work described in Paragraph 4.
above is more than the actual cost of the work, based on said final
accounting, TOWN shall reimburse DISTRICT the difference between the two
sums within 30 days of said final accounting..
10. If the actual cost of the work, as determined by the final
accounting, is more than the estimated cost of the work described in
Paragraph 4. above, DISTRICT shall pay the TOWN the difference in the
two sums within 30 days of said final accounting.
ll. TOWN agrees to collect and pay to DISTRICT the front footage
and acreage fees described on Exhibit "B ".

12. If TObIN has not awarded a contract for PROJECT by January 1,
1 982, this contractt shall be null and void.
