A RESOLUTION APPROVING AGREEMENT AND
FIRST ADDENDUM THERETO BETWEEN TOWN
OF LOS GAT0S AND SENIOR COORDINATING
COUNCIL.
DE IT RESOLVED, and it is hereby resolved by the Town Council of
the Town of Los Gatos, County of Santa Clara, State of California, that
the T0NU of Los Gatos enter into an agreement /oUd addendum thereto)
with the Los Gatos Senior Coordinating Council, a copy of which is
attached hereto; and
RE IT FURTHER RESOLVED that the Mayor is authorized and is hereby
directed to execute said agreement in the name and in behalf of the Town
of Los G3t0s,

AGREEMENT BETWEEN THE TOWN OF LOS GATOS AND
THE LOS GATOS SENIOR COORDINATING COUNCIL
THIS AGREEMENT between the Town of Los Gatos
( "Town "), a general law city of the State of California,
and the Los Gatos Senior Coordinating Council ( "SCC "), a
non - profit charitable corporation,
WHEREAS:
W I T N E S S E T H:
1. SCC is a voluntary organization concerned
with maintaining the quality of life and meeting the needs
of residents of the Los Gatos area 60 years of age or older,
and requires funding from the Town as well as other sources
to carry out its objectives.
2. The Town recognizes the needs of its seniors
and the role and value of SCC in meeting those needs, and is
willing to provide funding and services for that purpose under
appropriate conditions.
3. SCC formally contracted with Catholic Social
Services of Santa Clara County to provide staffings for its
activities. The SCC wishes the flexibility to hire or con-
tract out for its own employees or services for said purpose,
with administrative assistance from the Town as necessary.
NOW, THEREFORE, THE PARTIES AGREE:
1. Duties of SCC.
The Town hereby designates SCC as its primary

representative in matters involving seniors, and looks to
SCC to implement local interests and goals in that area as
well as the goals of the National Older American's Act, and
other statutes which impact upon services for the elderly.
In response to that charge, SCC agrees in general to provide
leadership and planning services for elderly people, promote
coordination of agencies and groups serving the aged, gather
and disseminate information, and provide or promote other
services for elderly people who reside in Los Gatos and its
area of influence, including, but not limited to transporta-
tion, housing, emergency aid, voluntary visiting programs,
senior discounts, information and referral relative to public
and private services, outreach to the homebound seniors,
enrichment programs, etc. Special interest shall be given to
the promotion of self- sufficiency and reciprocal services among
seniors.
The specific tasks to be accomplished by the SCC
in a given time period shall be agreed upon from time to time
by written addenda attached to this contract and referring to
this paragraph.
2. Funding And Services.
In exchange for performance of the duties set
forth in Paragraph 1 and attached addenda, the Town shall
pay SCC the amounts agreed on in the addenda, in equal bi- monthly
payments. If SCC chooses to hire its own employee instead of
dealing with an independent contractor, the Town shall also
provide SCC with certain financial services such as assistance

with payroll and withholding; provided that any such
employee shall not be deemed to be an employee of the Town
for any purpose. The Town may also provide SCC with legal
and other services as requested and approved by proper
subcommittees of the Town Council.
3. Guidelines.
In carrying out its tasks hereunder, the SCC shall
observe the following guidelines:
a. The SCC may employ such persons, services,
or agencies as it deems necessary to carry out its tasks.
b. Those employed by the SCC shall neither
take nor encourage individual or concerted political action
in affairs involving the Town, but may provide educational
information both pro and con on matters which may relate to
senior citizens.
c. The SCC will comply with all applicable
laws and regulations, including those pertaining to use of
financial grants.
4. Coordination.
The SCC will notify the Town Council, through the
Office of the Town Manager, of all programs and meetings of
the SCC. A Council member selected by the Town Council will
be invited to attend each of the meetings and to express his
individual opinions or the Town's position or both in any
matter considered by the SCC. The SCC will not begin or
continue any programs in connection with this contract if
the Town Council, in a formal action, disapproves the program.

5. Records.
The SCC shall keep detailed records reasonably
necessary to yield an accurate and verifiable accounting of
its activities related to this contract and will maintain
the records for at least three years after completion of
performance of this contract. SCC shall let the Town's
auditors and any auditors acting for the governmental agency
which provided funds to be used for payment for performance
of this contract to have access to those records and to the
other business records of the SCC. The SCC shall also ensure
that all of its subcontractors comply with the terms of this
paragraph.
6. Term.
This contract shall be deemed to expire at the end
of each addendum attached hereto unless another addendum is
executed prior to said expiration.

FIRST ADDENDUM TO AGREEMENT BETWEEN TOWN
OF LOS GATOS AND SENIOR COORDINATING COUNCIL
(November 1, 1980 -June 30, 1981)
A. Funding.
The Town shall grant SCC a total of $14,000 for
the period of this Addendum, said funds to be used exclusively
for staff and materials to accomplish the objectives set forth
in this Addendum and the Agreement to which it is attached.
B. Objectives.
The specific objectives for the Contract of this
Addendum shall be the following:
1. To continue all existing programs, including
but not limited to staffing the Senior Coordinating Council
Office in the Neighborhood Center and coordinating senior
services for the 60 and over population in accessible facili-
ties.
2. To analyze the 1975 -76 Town of Los Gatos
Needs Assessment and any more recent assessments done by
CSDC, the 1980 census data, and other studies available to
the Council.
3. Based upon the assembled data and analyses,
to evaluate present activities of the Council and staff.
4. To prioritize and set time lines for implemen-
tation or expansion of programs to meet at least two identified
needs.

C. Action Steps.
The SCC undertakes to accomplish the foregoing
objectives on the following schedule:
1. By December 30, 1980, complete analysis of
data.
2. By April 30, 1981, accomplish objective
number 4.
