A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE
TOWN OF LOS GATOS AND SANTA CLARA COUNTY FOR
SENIOR NUTRITION PROGRAM FUNDING.
BE IT RESOLVED and it is hereby resolved by the Town Council of the
Town of Los Gatos, County of Santa Clara, State of California, that the
Town of Los Gatos enter into that AGREEMENT with the County of Santa Clara
providing increased funding for the County's Senior Nutrition Program (a
copy of which is attached hereto); and
BE IT FURTHER RESOLVED that the Mayor is authorized and is hereby
directed to execute said Agreement in the name and on behalf of the Town
of Los Gatos.

of the Town of Los Gatos, California, held on the I 2nd day of
September , 1980, by the following vote:

AGREEMENT
BY THIS AGREEMENT made and entered into on the Day of 1980,

Hereinafter Referred to as CCNTRACTOR,in Considerations of their Mutual Covenants,
the Parties Hereto Agree as Follows:
CONTRACTOOR shall Provide or Furnish the Following Specified Services and /or
Materials:
Increase the average number of budgeted meals per day at the First United
Methodist Church of Los Gatos for the County's Senior Nutrition Project as set
forth in Exhibit A.

TERMS The Services and /or Materials Furnished Under this Agreement Shall Commence
on July 1, 1980 and shall be Completed Before June 30, 1981.
COMPENSATION For the Full Performance of this Agreement, Town shall pay CONTRACTOR
the amount set forth in Exhibit A.
This amount shall not exceed $9,818.00 for the entire contract period.
GENERAL TERMS AND CONDITIONS:
Hold Harmless. Contractor agrees to hold harmless the Town, its Officers, Agents
and Employees from any and all damage caused by or arising out of Contractor's
performance of this agreement.
Non- Discrimination. No discrimination shall be made in the employment of
persons by Contractor under this agreement because of the race, color, creed,
national origin, age, ethnic background, religion, sex, condition of physical or
mental handicap, or marital status, in violation of law.
Independent Contractor Status. At all times Contractor shall be deemed to be an
independent contractor and Contractor is not authorized to bind the Town to any
contract or other obligations.

The County of Santa Clara, in conjunction with its Senior Nutrition Project,
shall augment its prograun of ra al service at t ;he Los Gatos Nutrition site,
known as the First United Methodist Church of Los Gatos, by increasing the
average number of home- delivered meals served per clay by 30.

The `form shall pray to the Contractor one -half of the swn of the actual. cost
of providing the additional_ daily ideals less one -half the amount collected
from participants attributable to such additional meal service. However,
the sum due from Town to Contractor shall riot exceed $9,818.00 for the
entire contract period.
III. Compliance with Program Requiremc -nts
Meal service shall be provided in full compliance with the policies
established by its Board of Directors, applicable policies and regulations
of the County of Santa Clara, and federal policies and regulations governing
senior nutrition programs under Title III of the Older Americans Act.
IV. Reports
Contractor shall cooperate with the Town in subifi- ttirig whatever reports
concerning its performance under this agreement that may be required by
Town. Reports will be filed at least annually of the number of meals served
under the terms of this agreement.
V. Subcontractin;
Contractor may furnish the services provided for in this agreement through
one or more subcontractors or, agents to be selected by Contractor.
VI. Availability of Funds
Payment for all services provided under this contract is contingent upon the
availability of appropriated and /or allocated County funds. In the event of
reduction, suspension or discontinuance of such funds, Contractor shall give
fifteen (15) days' written notice to Town prior to the effective date of
such change.
Changes 2his agreement sha�1 not be assigned or traLSferreo ,without the written
consent of the Town. No changes or variations of any kind are authorized without
the written consent of the respective parties. Nothing herein shall prevent
Contractor from subcontracting or delegating the services provided for herein to
subcontractors or agents of Contractor.
