RESOLUTION OF THE TOWN OF LOS GATOS
AUTHORIZING THE EXECUTION OF AN
AGREEMENT BETWEEN THE TOWN AND HUGHES,
HEISS & ASSOCIATES
RESOLVED, by the Town Council of the Town of Los Gatos,
that the TOWN enter into an agreement with Hughes, Heiss $
Associates as Consultant, a copy of which is attached hereto,
and that the Mayor is directed to execute the agreement on
behalf of the TOWN. adjourned
PASSED at a /regular meeting of the Town Council of the
Town of Los Gatos held on the 5th— day of August 1980,

AGREEMENT
This Agreement, made as of the Sth day of August, 1980,
1¢ RECITALS
The Ton desires to undertake a recruitment for a Town
Manager and has approved the use of the consultant to assist in
this recruitment. she Consultant is qualified to conduct this
recruitment and agrees to assist the gown in doing soy
R SCOPE OF WORK
The consultant shall perform the following tasks in assisting
the Town in the recruitment of a now Town manager:
`Y Develop and place advertisements in selected
(2) Develop "Candidate profile" € r the position
of Town Manager after nterviews with Councilmembers,
( ) Contact sources and possible candidates through
various approaches, including mailers, telephone
calls and interviews.,
( ) Screen applicants, identify the most qualified
candidates and prepare a progress report,
(5) Conduct further candidate evaluations, have
personal profiles completed and identify the
top candidates,
(6) Conduct reference checks of Town Manager
position finalists,
(7) Present Council with candidate assessments
and questions to ask in the final interviewing
process,
(8) Serve as a resource to the Council, if desired,
during the final candidate interviews,
The above scope of work is intended to be a summary of the
work tasks outlined in the proposal submitted by consultant dated
August 1, 198V
1115 CONSULTANT FEE
The Town shall pay the consultant a fixed fee of $5,000
for recruitment services performed, A progress payment of $2,500
shall be made to the consultant on September 15, 1980 and the
remaining $2,SOO when all work tasks are cwapletad�
The Town also shall pay the consultant for reimbursable
expenses, at cost, incurred during the recruitment for advert ise-
mentso travel, telephone, clerical services and printing. The
consultant shall provide the To with an itemization of these
expenses at the end of each month for payment, The Town Council
shall approve any reimbursable expenses which exceed $1,000,

i Z TERMINATION
This Agreement may be terminated by either Party after
written notice to that effect has been given to and received by
the other party. in the event that termination of this Agreement
occurs, the consultant shall be paid for services satisfactorily
completed and reimbursable expenses incurred as mutually determined
by the Town end consultant,

This Agreement is not assignable by either party, hereto,
