SUBJECT: AUTHORIZE THE TOWN MANAGER TO EXECUTE A THIRD AMENDMENT TO
THE AGREEMENT FOR SERVICES WITH ST. FRANCIS ELECTRIC TO
INCREASE COMPENSATION FOR UNFORESEEN SERVICES FOR F ISCAL Y EAR
2017/18 IN THE AMOUNT OF $15 ,000, FOR A TOTAL CONTRACT AMOUNT
NOT TO EXCEED $150,000 FOR FY 17/18 ONLY.
RECOMMENDATION :
Authorize the Town Manager to execute a third amendment to the Agreement for Services with
St. Francis Electric to i ncrease compensation for unforeseen services for Fiscal Year 2017/18 in
the amount of $15,000 for a total contract amount not to exceed $150 ,000 for FY 17/18 only .
BACKGROUND :
On May 5, 2015, Council a uthorized the Town Manager to execute an Agreement for Services
with St. Francis Electric for maintenance and repair of traffic signals and street lights and for
U nderground Service Alert (U SA ) locating (Attachment 1). The agreement became effective
July 1, 2015 , with options to extend through June 30, 2020 in an amount not to exceed
$120,000 annually , subject to Town Council budget appropriations for the scope of services.
On June 21, 2016 , Council authorized a first a mend ment to the A greement for Services to
increase the compensation for traffic signal and street light repair services to $135,000 annually
effective July 1, 2016. In addition, the amendment added $10,000 for Fiscal Year 201 5/16, due
to unexpected repair s and increasing number of USA markings. Finally, the first amendment
extended the contract period to June 30, 2017.
In 2017, a second amendment to the Agreement was made to add prevailing wage language
and extend the contra ct period through June 30, 2020 while all other terms and compensation
remained unchanged.

DISCUSSION :
The current not to exceed contract amount is $135,000 annually for routine maintenance and
repair of street lights and traffic signals, and for USA locating services. In Fiscal Year 2017/18,
there were unexpected extra repair s and additional maintenance costs for the Town’s traffic
signal fiber optic cable, which resulted in higher than expected repair costs. Staff estimates an
additional $15 ,000 will be needed to fund the unforeseen expenses through the end of the
2017/18 Fiscal Year.
CONCLUSION :
Authorize the Town Manager to execute a third amendment to the Agreement for Services with
St. Francis Electric to increase compensation for Fis cal Year 2017/18 in the amount of $15,000,
for a total contract amount not to exceed $150,000 for this single fiscal year .
FISCAL IMPACT :
The one -time increase of $15,000 for the u nforeseen repair services will be absorbed within the
FY 2017/18 Streets & Signals program budget.
ENVIRONMENTAL ASSESSMENT :
This is not a project as defined under CEQA, and no further action is required.
