1991-127-Appointing Town Attorney Katherine AndertonRESOLUTION 1991 -127 RESOLUTION OF THE TOWN OF LOS GATOS APPOINTING TOWN ATTORNEY KATHERINE ANDERTON THE TOWN COUNCIL OF THE TOWN OF LOS GATOS RESOLVES AS FOLLOWS: Katherine Anderton is appointed Town Attorney effective June 1, 1991, to serve upon the terms and conditions of employment contained in the contract attached hereto and incorporated by reference. PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of Los Gatos, California, held on the 3rd day of June, 1991 by the following vote. RECITALS A. Town desires to employ Anderton as Town Attorney to fulfill the duties set forth in Section 2 -6 of the Town Code of Los Gatos. B. Anderton desires to render legal services to the Town as its Town Attorney. AGREEMENT In consideration of the foregoing recitals, and of their respective promises herein, the Town and Anderton agree as follows: 1. Appointment. Town appoints Anderton and Anderton agrees to serve as Town Attorney. 2. Term. This Agreement shall commence June 1, 1991 and extend indefinitely until terminated as provided hereinafter. 2. Compensation. Anderton shall receive the following compensation: a. Salary. Annual base salary shall be $82,500. The Town Council shall review the base salary six months after execution of this Agreement and at least annually thereafter. b. Performance Bonus. The Town Council shall evaluate Anderton's performance annually and pay Anderton a performance bonus which shall vary in amount depending on the quality of services received during the previous year. C. Retirement. Town shall pay both the employer and the employee share of Anderton's contribution to the Public Employees' Retirement System, (PERS). d. Benefits. Town shall provide Group I benefits to be selected by Anderton from the Town's Management Cafeteria Benefit Options Plan. e. Job Related Expenses. Within budget limitations the Town shall reimburse Anderton for costs of professional education and membership and attendance at meetings of professional groups such as the State Bar of California, atny005 \atny \anderton.con 1 June 4, 1991 the Santa Clara County Bar Association, California Women Lawyers, The League of California Cities (Attorney's Department), and the Bay Area City Attorney Association, and other local civic or service organizations. f. Vacation. Anderton shall receive three weeks of vacation. g. Sick Leave. Anderton shall be credited with twelve (12) days of sick leave at the commencement of this Agreement. These days may never be cashed out. Sick leave shall continue to accrue on the same terms and at the same rate as for other Town management employees. h. Miscellaneous. Any benefits and conditions not specifically mentioned in this Agreement shall be provided in accordance with the conditions and standards applicable to all Town employees in accordance with the Town Management and Compensation Plan. 4. Termination. This Agreement may be terminated in the following manner: (a) by Anderton giving Town thirty (30) days written notice; (b) by majority vote of the Town Council; or (c) at any time by any other method agreed upon by both parties in writing. In the event of termination by majority vote of the Town Council for reasons other than cause, Anderton shall be paid six (6) months compensation including PERS contribution and benefits, and shall receive compensation for accrued vacation and sick leave. 5. General Provision a. Amendment. The Town Council may from time to time amend this Agreement or fix other terms and conditions of Anderton's employment, either by written addendum attached hereto or by resolution, provided that such amendments are not inconsistent with the provisions of this Agreement, the Town Code, or any other law. b. Application of General Rules. As to any matter not expressly covered in this Agreement, Anderton shall be subject to the same rules and policies as any other management employee of the Town. atny005 \atny \anderton.con 2 .Tune 4, 1991 C� C. Integration. This Agreement is the entire agreement between the parties, except for amendments as provided herein. d. Successors. This Agreement shall be binding on Anderton's heirs and successors. e. Notices. Notices shall be given by first class mail addressed as follows: Town Anderton Mayor, Town of Los Gatos Civic Center P.O. Box 949 Los Gatos, CA 95031 Katherine Anderton 1475 Redwood Drive Santa Cruz, CA 95080 Notice shall be deemed given as of the date of personal service or as of the date of deposit in first class mail.
